There is hereby established a board of trustees of the Woodland Cemetery. The number of trustees shall be seven (7), and the trustees shall serve for a term of four (4) years, or until their successors are appointed and qualified. Three (3) of the initial trustees shall be appointed for a two (2) year term, and four (4) shall be appointed for a four-year term. Thereafter, all members will be appointed for four-year terms. All trustees shall be appointed by the city council. The Woodland Cemetery board of trustees shall elect its own officers annually and shall adopt its own bylaws and rules and regulations, including rules and regulations regarding interment in Woodland Cemetery.

(a) 
The Woodland Cemetery board of trustees shall be responsible for the operation and maintenance of the Woodland Cemetery. The board of trustees of the Woodland Cemetery is authorized to establish the price to be charged for the sale of lots located in the Woodland Cemetery, and the president or vice-president of the board of trustees is authorized to execute deeds conveying said lots.
(b) 
All money received from the sale of cemetery lots in Woodland Cemetery shall be placed in a fund which shall be designated as the Woodland Cemetery Fund. The board of trustees is authorized to use said funds for the expenses of operating and maintaining the Woodland Cemetery, to include the purchase of additional equipment, operating expenses and other expenses. Special endowments and gifts designated to the Woodland Cemetery may be received by the board of trustees and shall be used in the manner designated by the donor. In the event special endowments and gifts are given to the Woodland Cemetery without any designation as to use, these funds shall be used as directed by the board of trustees. In addition, all funds received for grave permits will also be used as directed by the board of trustees.

In the event the money received from the sale of cemetery lots and gifts and endowments made to the Woodland Cemetery does not produce a sufficient amount of money to provide for the operation and maintenance of the Woodland Cemetery, the city agrees that it will provide, from the general funds of the city, such funds as are necessary to assure that the Woodland Cemetery is maintained as directed in the deed of conveyance from the Rosebud Cemetery Association to the city dated January 19, 1951 and recorded in Volume 216, page 363 of the Deed Records of Falls County.

The board of trustees is authorized to appoint a sexton, who shall perform the duties of sexton as provided by the rules and regulations adopted by the board of trustees. His wages and terms of employment shall be fixed by the board of trustees.
