The Roy H. Laird Memorial Hospital board of directors shall consist of nine (9) members, one (1) of whom shall be the then-elected and serving chief of the medical staff of the hospital. The remaining eight (8) members shall be appointed by the council, each for a three-year term.

Any vacancy created by death, resignation or removal shall be filled by appointment for the unexpired period of the term. The term of appointed members shall commence on January 1 of each year and continue for three (3) years from such date. Terms of the members will be staggered with two (2) to three (3) appointments each year to maintain continuity of the membership of the board. The members of the board of directors shall manage, operate and administer the Roy H. Laird Memorial Hospital and shall have all the necessary rights, powers, authority, duties and responsibilities to perform such function, to the exclusion of the city council including but not limited to the following:
(1) 
Manage and control the day-to-day business and affairs of the hospital;
(2) 
Set, adopt or approve policies affecting the operation of the hospital, its personnel, and its relations to patients and the general public;
(3) 
Exercise exclusive administrative control of all personnel, employees and staff of the hospital and all administrative matters pertaining to the hospital;
(4) 
Make a final disposition of all matters pertaining to medical staff privileges at the hospital.

The powers delegated in this division to the board shall not include the execution of any contract, the term of which exceeds a period of one (1) year.

The chief of the medical staff elect for the ensuing year shall serve as a participating but nonvoting member of the hospital board.

(a) 
The bylaws of the Roy H. Laird Memorial Hospital board as amended shall continue to serve as the official rules and regulations for the operation and administration of the Roy H. Laird Memorial Hospital except to the extent that any provision therein conflicts with or is contrary to the provisions, spirit or intent of sections 6.06.061 and 6.06.062.
(b) 
A copy of the bylaws of the Roy H. Laird Memorial Hospital board will be on file at the Roy H. Laird Memorial Hospital as well as the city manager’s office.

It is expressly declared that nothing in this division is intended nor shall it be construed to change or affect the authority of the city to issue certificates of obligation as allowed by law for the benefit of the Roy H. Laird Memorial Hospital, or to receive and invest the income distributions from the Roy H. Laird Memorial Hospital Endowment Trust on behalf of Roy H. Laird Memorial Hospital.

The hospital board shall prepare and submit to the council for its approval a proposed annual budget of the hospital.

The hospital board shall:
(1) 
Strictly comply with the applicable competitive bidding requirements of the charter pertaining to the purchase of supplies, materials, equipment or contractual service, except professional services involving more than one thousand dollars ($1,000.00).
(2) 
Strictly comply with the applicable competitive bidding requirements of the charter pertaining to the sale of personal property belonging to Roy H. Laird Memorial Hospital valued at more than one thousand dollars ($1,000.00).
