(a) 
There is hereby created a Keep Edgecliff Village Beautiful Board for the town. The board shall consist of five (5) residents of the town who shall serve without pay and at the pleasure of the board of aldermen. The members shall be nominated and selected by the mayor with the consent of the board of aldermen.
(b) 
One (1) member shall be a representative from the town’s garden club. One (1) member shall be a representative from the parks and recreation board. Said representatives shall be active members of their respective organizations. The representatives of the garden club and parks and recreation board shall be selected by their respective organizations and presented to the mayor for consent by the board of aldermen.
(c) 
In the event the town’s garden club or the parks and recreation board fail to appoint a member, the mayor, with approval of the board of aldermen, shall appoint a person to fill that position.
(d) 
The members shall be identified by place numbers one (1) through three (3), plus the garden club member and the parks and recreation board member. Upon initial appointment, members in the even-numbered places and the garden club member shall be appointed to serve terms expiring September 1, 2015, and the member appointed to the odd-numbered place and the parks and recreation board member shall serve terms expiring September 1, 2014. Thereafter, the term of office shall be three (3) years, beginning on September 1st of the year of appointment or until successors are appointed and qualified.

Any vacancies on the board occurring other than by expiration shall be filled by the mayor with the consent of the board of aldermen for the unexpired term. Any vacancies in the positions assigned to the garden club and parks and recreation board shall be filled by the mayor with the consent of the board of aldermen after nomination by the organization(s) left unrepresented. A vacancy will be declared immediately upon notification to the mayor that a member has failed to attend three (3) consecutive meetings without prior excuse of the chairman.

(a) 
The board shall schedule and convene meetings as called by the chairman. The number of meetings shall be as necessitated by the business pending before the board. There shall be at least one (1) per year in order to prepare an annual report and prepare budget recommendations.
(b) 
Three (3) members (including at least one (1) officer) shall constitute a quorum. A quorum must be present at any meetings at which a vote is taken.
(c) 
The board shall have the power to adopt rules, subject to approval of the board of alderman, for the proper conduct of the board.
(d) 
The meetings shall be open to the public as required by the Texas Open Meetings Act and the agenda of each meeting must be posted at least 72 hours prior to the time of the meeting. Minutes of the meeting must be taken; the original to be kept in the office of the city secretary. A copy of the minutes shall be forwarded to the board of aldermen.

(a) 
The officers of the board shall be a chairman, vice-chairman and a secretary to be elected by the majority vote of the board. The officers shall be elected annually by the majority vote of the board. Any vacancy of any office shall be filled by the majority vote of the board. Any officer may be removed or changed by the majority vote of the board.
(b) 
The chairman shall call meetings of the board as needed and shall schedule all agenda items. He or she shall preside over the business of the meeting. The chairman shall be responsible for carrying out the purposes of the board and for ensuring the responsibilities of the other officers are met. He or she shall make all presentations to the board of aldermen.
(c) 
The vice-chairman shall be responsible for all duties of the chairman in the absence of the chairman. He or she shall also be responsible for all duties of the secretary in the absence of the secretary.
(d) 
The secretary shall be responsible for all duties of the chairman in the absence of the chairman and the vice-chairman. He or she shall be responsible for posting the meeting agenda as required, the taking of minutes and the transmittal of the original copy of the minutes to the city secretary in a timely manner.

(a) 
The board shall be responsible for providing the board of alderman with advice and recommendations regarding code enforcement; policies; rules; regulations relating to litter prevention, beautification, community improvement and minimization of the impact of solid waste; and administration of the Keep Texas Beautiful Program.
(b) 
The board shall submit a proposed budget to the mayor and the board of aldermen each year.
(c) 
The board shall make complete annual and other required reports to the mayor and board of aldermen.
(d) 
The board shall have the power to adopt rules, subject to approval of the board of alderman, for the proper conduct of the board.
