A. 
The name of this organization shall be the "Northborough Cable Television Committee," herein called the "Committee."
B. 
The purpose of the Committee is to act for the issuing authority of the Town of Northborough, as defined in Chapter 166A of the General Laws, and as specified in the Town of Northborough, Commonwealth of Massachusetts, Final Cable Television License Issued to Greater Worcester Cablevision, Inc., dated October 17, 1983, and herein called the "license," as on file in the office of the Northborough Town Clerk; to formulate and publish operating rules for the local access channels; and to act in other ways to promote the use of local access cable television within the town.

The officers of the Committee shall be elected from the membership annually at the first meeting of a calendar year. This meeting shall be designated the "election meeting."
B. 
The following officers shall be elected: Chairman, Vice Chairman and Clerk.
A. 
Chairman. The Chairman shall, in addition to the duties imposed by law, preside at all meetings of the Committee at which he or she is present and direct the work of the Committee. This person shall, when necessary, appoint members to subcommittees and designate the Chairman of the same and shall direct the calling of meetings of the Committee. The Chairman shall be an ex officio member of all subcommittees and shall be the representative to the Cabinet and all other town committees as required.
B. 
Vice Chairman. The Vice Chairman shall preside at all meetings of the Committee in the absence of the Chairman and shall perform all duties and have all powers of the Chairman in case of the absence or incapacity of the Chairman.
C. 
Clerk. The Clerk shall be responsible for scheduling and advertising all meetings and public hearings as required by law. The Clerk shall collect authorized signatures on all official documents and shall perform all other duties assigned by the Chairman, imposed by law or otherwise herein provided.
The Committee may, by vote at any meeting, appoint associate members to any subcommittee. Such associate members shall not have the right to vote nor to represent themselves as official members of the Committee but shall have the right to participate in subcommittee meetings but not Committee meetings.

The members of the Committee shall perform all the duties and responsibilities imposed by law.
B. 
Members who will be unable to attend a meeting of the Committee shall notify the Secretary or Chairman.
C. 
Members shall make every effort to attend all meetings and perform all duties assigned by the Chairman.
The Committee shall hold no less than four meetings a year, except when a quorum as defined in § 11-32-070 is not present, on the second Thursday of the months of January, April, July and October or when a special meeting is called by the Chairman. Robert’s Rules of Order shall govern meeting procedure when not in conflict with any bylaw or statute. Notices of meetings shall comply with the provisions of MGL C. § 23A through C.
A majority of the members of the Committee shall constitute a quorum. A majority of those present and voting, if a quorum is present, shall be sufficient to conduct the business of the Committee unless otherwise specified by statute.

Appointments to the Committee are made by the Board of Selectmen of the Town of Northborough.
B. 
There shall be no less than three nor more than seven members appointed to serve at one time.
C. 
A vacancy in the membership caused other than by expiration of a term of office shall be promptly filled.
A. 
Within 90 days of receiving a written complaint about the service or operation of the cable television system from a subscriber or from the cable operator, the Committee shall hold a public hearing to investigate the complaint as specified in Chapter 166A of the General Laws and the license, subject to the ultimate authority of the issuing authority. A quorum of members must be present.
B. 
A record of all hearings shall be kept, either in writing or by audio recording, and shall include a record of attendance, speakers, the context of testimony given and a record of any votes taken. Minutes of the meeting and the notice of intent shall become a part of the record of the hearing.
C. 
A written summary of the decision of the Committee shall be delivered to the Board of Selectmen and to the parties to the hearing within 30 days after the hearing.
This chapter may be amended at any regular or special meeting of the Committee by a 2/3 vote of the total Committee, provided that written notice of intent to amend is sent to each member of the Committee at least seven days prior to the meeting at which the proposed action is to be taken.
As specified in Section 23 of the license, the Committee shall formulate and publish rules for the operation of local access channels. Such rules and amendments thereto shall be approved by a 2/3 vote of the total Committee, provided that written notice of intent to amend is sent to each member of the Committee at least seven days prior to the meeting at which the proposed action is to be taken. Such rules and amendments shall be countersigned by a representative of the cable operator and shall be on file in the office of the Town Clerk and the local office of the cable operator.
