A. 
Chairperson. The Chairperson presides at meetings and is responsible for arranging a time and a place to meet. The Chairperson acts as spokesman for the Council in its relations with the public.
B. 
Vice Chairperson. The Vice Chairperson presides in the Chairperson’s absence and performs the functions normally performed by the Chairperson.
C. 
Secretary. The Secretary notifies members of the time and place of each meeting. The Secretary is responsible for keeping minutes of meetings and for recording them after meetings. The Secretary also answers correspondence and keeps a record of the Council’s actions. The Council may, at its discretion, divide the office of Secretary, electing one person to be Recording Secretary and another person to be Corresponding Secretary.
D. 
Treasurer. The Treasurer is responsible for any funds the Council may receive and disburse and must prepare a report of these actions according to good accounting practices. The Treasurer shall prepare a budget request to be submitted to the town each year and shall prepare and submit such financial reports as may be required.
Meetings of the Council will be held on the third Thursday of every month at the Senior Center or other specified place at 7:30 p.m. Special meetings may be scheduled as deemed necessary by mutual agreement of the members of the Council.
The Council shall consist of not less than seven members as provided for in the Town of Northborough Administrative Code. Any member absent without reason from three consecutive Council meetings will be dropped from the Council. Appointment and/or replacement of Council members shall be the responsibility of the town’s Board of Selectmen.
The amendment of these bylaws shall be accomplished by a two-thirds vote of the Council. The proposed amendment(s) shall be submitted to the Council at least two weeks prior to the meeting at which it is to be considered.
