(a) 
The city council has hereby determined that the Aubrey Area Library ("library"), shall continue to operate as a department of the city.
(b) 
The city council hereby establishes the library advisory board ("board") as an advisory body to make recommendations to the city council in accordance with this article.

(a) 
Board members are volunteers who shall demonstrate a genuine interest in the library, the city and surrounding communities supported by the library. Board members must reside within the city or communities supported by the library.
(b) 
The board shall consist of seven (7) members and two (2) alternates appointed by the city council. Four (4) members shall serve three-year terms and three (3) members shall serve two-year terms. Terms shall coincide with the city's fiscal year. A board member's term may be renewed at the discretion of the city council. Members of the board serve at the pleasure of the city council, and any board member may be removed at any time at the city council's sole discretion. In the event of any vacancy on the board, the city council shall appoint a person to fill the vacancy for the remaining term.
(c) 
All board members possess voting power. All questions presented for a vote of the board shall be decided by a simple majority of the quorum, including the vote of the board chairperson.

(a) 
The officers of the board shall be a chairperson, a vice-chairperson, and secretary.
(b) 
The library director and/or manager shall serve as the board liaison.
(c) 
Officers shall be elected by the board and take office at the first meeting of the new fiscal year.
(d) 
Duties of the officers shall be as follows:
(1) 
Chair.
(A) 
Preside over all board meetings.
(B) 
Represent the board at public functions.
(C) 
Assist the library director and/or manager in establishing the agenda for each meeting. Agenda items requested by any board member will be included.
(2) 
Vice-chair.
Assist the chair in directing the affairs of the board and act in the chair's absence.
(3) 
Secretary.
Be responsible for the accuracy of the minutes of the board meetings and bring any corrections to the attention of the board at its next meeting. The secretary shall sign the approved minutes and file in the minutes record book.
(e) 
Vacancies in office shall be handled as follows:
(1) 
In the event of resignation or incapacity of the chair, the vice-chair shall become the chair for the unexpired portion of the term.
(2) 
Vacancies in officers other than the chair shall be filled for the unexpired term by election of the board.

(a) 
Beginning in January of each year and on a bimonthly basis, the board shall hold meetings on the first Tuesday at a time designated by the board. Meetings shall be in the library or such other place the board may determine.
(b) 
All board meetings shall require a quorum of board members to be in attendance and shall be open to the public in accordance with the Texas Open Meetings Act. A majority of the members shall constitute a quorum at all meetings of the board.
(c) 
Notice of each meeting shall be posted on the city's public bulletin board and website at least 72 hours prior to the meeting. The posting shall include the date, time, and place of the meeting and a description of the subject matter of the meeting.
(d) 
A monthly report of meeting minutes, board activities and library activities will be submitted to the city council and city secretary for the city's records.
(e) 
Special meetings may be called by the city council, board chair, or at the call of any two members of the board, provided that notice thereof is given to all board members and members of the public in accordance with the Texas Open Meetings Act.
(f) 
Robert's Rules of Order, most recent revision, shall govern in the parliamentary procedure of the board, in all cases to which they are applicable and in which they are consistent with city ordinances.

(a) 
The library will operate as any other city department. Library employees will be under the city manager's or designee's supervision. Library employees will abide by the personnel policies established by the city.
(b) 
The city council may seek the board's advice and recommendations with respect to potential candidates for library director. The board has no decision-making authority with regard to library personnel or other library matters, and all decisions regarding the library and its personnel shall be made by the city.
(c) 
The board shall act as a purely advisory body for the city council. Its principal duty shall be to assist in developing proposed library policies and procedures. The board may also make recommendations to the city council for as to specific rules and regulations for the orderly operation, development and use of the library and library facilities. As an advisory body, the board does not govern the library, nor does it have the authority to make any operational, managerial, fiscal or policy-related decisions.
(d) 
The board shall have no power to obligate or bind the city in any manner whatsoever. The library's finances shall be handled the same as any other city department, and the library director shall be accountable for the library's finances and other operational and management aspects of the library. Board members are not city employees by reason of their board appointment.
(e) 
The board's duties include the following:
(1) 
Abide by applicable ordinances of the city;
(2) 
Act in an advisory capacity to the city council, mayor and library director and/or manager;
(3) 
Recommend policies to the city council governing the operation and programs of the library;
(4) 
Assist the city council in planning and give guidance for library management initiatives and decisions;
(5) 
Assist the city council in developing the policies and functions of the library department;
(6) 
Encourage the development and advancement of the library as approved by the city council;
(7) 
Advocate for library funding support in a manner supportive of city council policies;
(8) 
Assist in planning and give guidance for expansion of library facilities, programs, and services; and
(9) 
Assist in interpreting the policies and functions of the library department to the public.

(a) 
The city will be responsible for all library operating expenses.
(b) 
The library's fiscal year will run concurrent with the city's fiscal year. The library director and/or manager shall prepare a proposed annual budget for the library including all projected library expenses and all projected library revenues from gifts, donations, fines, fees, and any other sources. The city council may seek recommendations from the board with respect to the library's proposed annual budget.

Committees may be appointed for special purposes by the chair and with the consent of the majority of the board. All committees will include at least one board member. These committees shall automatically dissolve upon completion of the assignment.
