Established are the following commissions and committees (collectively referred to as "board" or "boards") for the city:
A. 
Planning commission;
B. 
Airport advisory commission;
C. 
Public safety oversight commission;
D. 
Park and recreation commission.
E. 
Measure K oversight committee.

Unless more stringent membership qualifications are provided elsewhere, the city council shall strive to ensure that all board members have an interest and background in the subject matter of their respective board. In addition, unless otherwise provided, the membership of the boards shall satisfy the following conditions:
A. 
All new members of each board shall be city residents;
B. 
Each board member shall be at least 18 years of age at the time of appointment, unless otherwise provided by the city council;
C. 
No person shall be allowed to serve on more than one board at the same time;
D. 
Unless expressly required herein, a board member shall not be an officer or employee of the city.

A. 
The mayor shall appoint all members of the boards, subject to approval by the city council, unless otherwise specifically provided by state statute. (Government Code Section 40605.)
B. 
The mayor will make appointments and reappointments for all scheduled vacancies at the last regular or special city council meeting in January, or as soon as practicable thereafter. The mayor may make appointments to fill unscheduled vacancies at any time. At or near the time of appointment, the city council shall be provided with an application form completed by the appointee. The city council shall approve or disapprove of any appointments made by the mayor within 30 days after the appointment is made. Any appointment not approved or disapproved within the time specified shall be deemed approved.

A. 
Unless otherwise provided, the term of each board member is three years.
B. 
Unless otherwise provided, the limit for each board member is two terms.
C. 
Unless otherwise provided, a board member who has served for two full consecutive terms must take a "break" equal to at least one full term before applying and being considered for appointment as a board member.
D. 
A board member who fills a vacancy shall serve for the duration of the term of the member for whom the vacancy is filled.
E. 
A board member may reapply and seek reappointment. These board members may be reappointed after the submission of an application requesting reappointment.
F. 
A regular member of any board shall hold that office until:
1. 
The board member submits his or her resignation;
2. 
The board member is removed pursuant to Section 2.20.110 of this chapter;
3. 
The death of the board member; or
4. 
The board member's successor has been appointed and has taken the oath of office.
G. 
A board member whose second term has expired and no applicants are available to fill the vacancy other than the currently-seated board member, said board member may continue in his or her position until a successor has been appointed and has taken the oath of office.

A. 
Oath of Office. All newly appointed board members must take an oath of office. The effective date of the board member's position in office is the date the board member takes the oath of office. To the extent that it is practicable, the oath of office shall be performed verbally as well as signed.
B. 
Ethics Training. All appointees to any board are required to complete a pre-approved ethics training course provided by the city or obtained through the Fair Political Practices Commission ("FPPC") website. All appointees must complete this training within one year of taking the oath of office, and continuing members will take the training at least once every two years. Appointees and continuing members not fulfilling this requirement will be dismissed from service.
C. 
Form 700 Statement of Economic Interests. Board members that are designated in the city's conflict of interest code are required to file a Form 700 within 30 days of taking the oath of office, annually thereafter, and within 30 days of leaving office. The city clerk is responsible for the administration of enforcement measures set forth by the FPPC. Appointees and continuing members not fulfilling this requirement within 30 days following the deadlines imposed by the FPPC shall be considered removed from his or her respective board.
D. 
Transparency. All members have the responsibility to ensure that they and their respective board comply with all transparency requirements, including, but not limited to, the requirements of the Brown Act (Government Code Section 54950, et seq.), the Political Reform Act (Government Code Section 81000, et seq.) and the Public Records Act (Government Code Section 6250, et seq.).
E. 
Social Media. All members should refrain from posting or sharing comments regarding city business on social media.

On or before December 31st of each year, the city clerk shall prepare an appointment list of all boards that are appointed by the city council. The appointment list shall contain the following information:
A. 
A list of all appointive terms which will expire during the next calendar year with the name of the incumbent member, the date of appointment, the date the term expires and the necessary qualifications for the position; and
B. 
A list of all existing boards' members and their respective commissions or committees.

The appointment list shall be made available to members of the public for free or a reasonable fee that shall not exceed the actual cost of copying.

Whenever an unscheduled vacancy occurs on any board, whether due to resignation, death, termination or other causes, a vacancy notice shall be posted at City Hall, on the city website, and in other appropriate places. The city clerk or designee may advertise as necessary.

Any interested person who qualifies for membership on a board may submit an application to serve on a board to the city clerk's office on a form provided by the city. Such applications will be provided to the mayor and city council members. All applications shall be kept on file in the city clerk's office for two years.

In order to ensure that appointments and/or reappointments are made in a timely and efficient manner, the mayor shall establish a process to receive input and/or recommendations from the city council prior to making any appointments or reappointments. The process shall include, but not be limited to, having each city council member recommend to the mayor at least one individual for each board. The mayor may choose from one of the recommended candidates or appoint someone else. The mayor may not delegate his or her appointment power.

Each board member shall serve at the pleasure of the city council. Any member of a board may be removed, with or without cause, by a majority vote of the city council.
B. 
A board member shall be deemed to have resigned from office upon two absences in a given rolling calendar year. If there are extenuating circumstances that have caused the absence, the board member may ask the mayor for special consideration.
C. 
Members of any board may be removed by the city council for noncompliance with Section 2.20.050.

Except as otherwise provided, board members serve without compensation. The city council may, at its discretion, approve payment to a board member for necessary and actual expenses incurred by him or her in an official capacity.

In addition to the specific requirements appearing in subsequent articles pertaining to each board, the following general organizational requirements shall apply to each board:
A. 
Each board shall organize and consent to conduct their meetings by generally accepted rules of procedure. Such rules shall be consistent with applicable provisions of state and federal law, and city ordinances;
B. 
At the board's first meeting of each calendar year, or soon thereafter as practicable, each board shall elect, by majority vote, one of its members as chair and one as vice-chair; at the discretion of the board's city council liaison, or the mayor's discretion in the absence of a city council liaison, the chair and vice-chair should not be held by the same person for more than one year at a time;
C. 
Regular board meetings are shown under specific provisions heading "Meetings" for each board. Special meetings of any board may be called by the mayor or city manager to consider matters referred to the board by the city council or city manager. A board chair may request and hold a special meeting with the approval of the city council;
D. 
A majority of the members of a board shall constitute a quorum of that board. Unless otherwise required by law, a majority of the quorum is required to act on any item;
E. 
All board members should conduct themselves in a respectful and professional manner befitting the position. In addressing each other, staff and members of the public, they should be courteous, nonconfrontational and respectful;
F. 
Individual board members may only speak on behalf of the board if they have been duly authorized to do so by the board to which they belong;
G. 
All boards shall maintain a public record of transactions of business which shall include recommendations, findings and determinations on matters within their scope and duties. Minutes of meetings shall be provided to the city council;
H. 
Boards may form committees as necessary, to the extent that staff support is made available by the city manager. Any such committees shall comply with open meeting laws; and
I. 
Each board shall provide an annual report, either written or verbal, to the city council at a regular meeting of the city council. The city council may request more frequent reporting if so desired.

A. 
With respect to the planning commission, in the event there is a tie vote on any motion pending before the commission, the chair shall call for any further motions of any members on the subject. In the event no further motions are made or that such further motions also result in a tie vote, the chair shall declare a deadlock. A declaration of a deadlock on any matter shall be considered a denial of such matter and shall be appealable to the city council to the same extent and in the same manner as if the commission had denied the matter. The city clerk is authorized and instructed to waive the applicable filing fee for any appeal resulting from a declaration of a deadlock.
B. 
With respect to all boards other than the planning commission, a tie vote shall be considered a denial of the motion pending before the board.

All recommendations to the city council by any board shall be in writing. If practicable, the recommendation shall be submitted to the city council at its next regularly scheduled meeting.

With the exception of the planning commission, the authority of each board is purely advisory. Unless explicitly provided elsewhere, no board may exercise supervisory authority over city employees or involve itself in the management of any city operation or facility.

This chapter provides default rules and procedures that are generally applicable to all boards. If a provision of this chapter conflicts with another provision of the city code, the provision outside of this chapter shall preempt the conflicting provision of this chapter.

Commissions' regular meeting schedules shall be established by resolution.
With the exception of the planning commission, boards and commissions are to meet no more than once a quarter. Should a board or commission deem it necessary to meet more than once a quarter, the following shall be considered when making such request:
A. 
The change in the frequency of meetings will be temporary;
B. 
Each request will be formalized through a motion passed by the majority of the board or commission;
C. 
Each request will be considered for approval by the mayor and/or the city manager;
D. 
Not all requests will be granted. Each request will be subject to considerations such as staff and/or resource availability, and other factors that would make the request feasible or infeasible.
