The office of the City Manager in and for the City of Mill Valley is established. The City Manager shall be appointed by the City Council solely on the basis of his or her executive and administrative qualifications. No person elected to membership on the City Council shall, subsequent to such election, be eligible for appointment as City Manager until one year has elapsed following the expiration of the term for which he or she was elected. The City Manager shall hold office during the pleasure of the City Council. At least 30 days before his or her removal becomes effective, the Manager shall be furnished with a written notice at a regular meeting of the Council stating the Council's intention to remove him or her and the reasons therefor. Within seven days after the delivery to him or her of such notice, the Manager may request a public hearing before the Council. The Council shall fix a time for the public hearing which shall be held not later than seven days after the delivery of such request, and at which the City Manager shall have the right to appear and to be heard in person. After furnishing the City Manager with the written notice of intention to remove, the Council may suspend him or her from duty but his or her pay shall continue until his or her removal shall become effective as herein described. The action of the Council in removing the Manager shall be final.

The City Manager shall be the administrative head of the City government with general powers to act as such. He or she shall be responsible to the City Council for the efficient administration of all affairs of the City which are under his or her control. In addition to the City Manager's general powers as administrative head and not as a limitation thereon, it shall be his or her duty and he or she shall have power either personally or through a designated subordinate:
A. 
To see that all laws and ordinances are duly enforced and he or she is hereby declared to be beneficially interested in their enforcement and to have power to sue in the proper court to enforce them.
B. 
To employ, discipline or remove all heads of departments, and all subordinate officers and employees of the City with the exception of the City Attorney, and to transfer employees from one department to another.
C. 
To exercise control over all departments and divisions of the City government and over all appointive officers and employees thereof.
D. 
To attend all meetings of the Council and its committees unless excused therefrom by the Council, and except when his or her removal is under consideration by the Council.
E. 
To recommend to the Council for adoption such measures and ordinances as he or she deems necessary or expedient.
F. 
To keep the City Council at all times fully advised as to the financial condition and needs of the City.
G. 
To prepare and submit to the City Council the annual budget.
H. 
To prepare and recommend to the City Council a salary plan.
I. 
To purchase all supplies for all of the departments or divisions thereof and no expenditure shall be submitted or recommended to the City Council except upon requisition or approval of the City Manager.
J. 
To make investigations into the affairs of the City, or any department or division thereof, or any contract, or the proper performance of any obligation running to the City.
K. 
To investigate all complaints in relation to all matters concerning the administration of the government of the City and in regard to the service maintained by public utilities in the City, and to see that all franchises, permits and privileges granted by the City are faithfully observed.
L. 
To exercise general supervision over all public buildings, public parks and other public property.
M. 
To exercise general supervision of all public utility companies holding franchises insofar as they are subject to municipal control.
N. 
To devote his or her entire time to the duties and interests of the City.
O. 
To sign on behalf of the City of Mill Valley all written contracts and conveyances made or entered into by the City and approved by the City Council.
P. 
To perform such other duties as may be required by ordinance or resolution of the City Council.

Except for the purpose of inquiry, the City Council and its members shall deal with the administrative service solely through the City Manager, and neither the City Council nor any member thereof shall give orders to any of the subordinates of the City Manager.

The City Manager shall receive such salary as the City Council shall from time to time determine, but it shall not be less than $2,400.00 per year.
