A. 
There shall be a Measure G Citizen Oversight Committee (which may be referred to in this chapter as the "Committee") to consist of five members. Unless otherwise required by law, in order for any action to be taken by the Committee, it must be approved by a majority vote of a quorum of the Committee in attendance at a Committee meeting. A quorum of the Committee shall consist of at least three of the five members.

A. 
Each member of the Committee shall be appointed by the City Council and shall hold office in accordance with the requirements and procedures established by resolution of the City Council.
B. 
Each member of the Committee shall be a full-time resident and registered voter of the City.
C. 
At least two of the five members of the Committee shall demonstrate professional experience as follows: (1) one of the five members shall demonstrate professional experience in accounting or finance, preferably for public agencies and (2) at least one of the five members of the Committee shall be a person who demonstrates professional experience in municipal operations or capital project delivery.

Unless otherwise designated by the City Manager, the Assistant City Manager shall be the principal city staff to the Committee, and the Assistant City Manager shall appoint a secretary to the Committee to comply with all procedural requirements.

Meetings shall be held no less than two times per calendar year. The Committee shall conduct its meetings in accordance with procedures established by resolution of the City Council. The Committee may establish its own rules of procedure or by-laws consistent with City Council resolutions and ordinances.

The duties of the Committee shall be to:
A. 
Review and report on the financial audits of the Measure G retail transactions and use tax revenues and expenditures.
B. 
Confirm expenditures are consistent with priorities approved by the City Council, no revenues have been siphoned off by the State or other entities, and no revenues are used for the benefit of other than the Napa community.
C. 
Receive presentations regarding projects, initiatives, and city operations funded by the Measure G retail transactions and use tax.
D. 
Review financial reports regarding the Measure G retail transactions and use tax requested by City Council.
E. 
Make recommendations to the City Council on matters referred to the Committee by the City Council.
