The housing and redevelopment commission shall consist of seven members, who are not employees or members of the city council of the city and who shall serve at the pleasure of the city council. The members of the commission shall be appointed by the mayor with the approval of the city council. Except as otherwise provided in Section 2.33.030(C), members shall be, at the time of appointment and throughout their term of appointment, residents of the city. A member of the commission may be removed at any time by a majority vote of the city council. Vacancies occurring for any reason prior to the expiration of a member's term shall be filled for the unexpired portion of that member's term in the manner prescribed above.

A. 
Members shall include residential owner/occupants, residential tenants, business persons, and members of organizations within the city redevelopment areas or the community development block grant program target areas.
B. 
Members shall have a demonstrated interest or background in housing and redevelopment, including, but not limited to, low and moderate income housing, social services, business, finance, or residential or commercial ownership or tenancy in the city's redevelopment areas or community development block grant target areas.
C. 
Initial appointments to the commission shall consist of:
1. 
Three members who are residential owners or tenants living within the city's redevelopment areas;
2. 
Two members who are residential owners or tenants living within the city's community development block grant areas;
3. 
Two members who are at-large representatives with a background or interest in low and moderate income housing, social services, business or finance, but who need not be residents of the city.
D. 
Subsequent appointments to the commission occurring on or after April 1, 1994, shall consist of:
1. 
Three members who are residential owners or tenants residing within the city's redevelopment areas and/or community development block grant area and is a resident;
2. 
Two members who are business owners or tenants whose place of business is located within the city's redevelopment area and/or community development block grant area and is a resident;
3. 
One member who is an at-large representative within a background or interest in low and moderate income housing, social services, or finance, but who need not be a resident of the city;
4. 
One member who is an at-large representative with a background or interest in business, but who need not be a resident of the city.

Initial appointments shall be made to provide for staggered terms, with four members appointed to terms of three years and three members appointed to terms of two years. Thereafter members shall be appointed to a term of two years from the date of appointment or reappointment. Terms shall commence on April 1st of the year of appointment. If, at the end of a member's term, a member has not been reappointed or replaced, the incumbent member may continue to serve until a replacement has been appointed.

If a member of the commission fails to attend three consecutive regular meetings, such member shall automatically cease to be a member of the commission, and the vacancy created thereby shall be filled in the manner specified in Section 2.33.020; provided, however, that absences excused by the commission chair with prior notice to the chair shall not be deemed to be absences.

The duties and functions of the commission shall be as follows:
A. 
The commission function is advisory to the city council, the board of the redevelopment agency of the city ("agency"), and the board of the housing authority of the city ("authority") on matters relating to redevelopment and housing. The commission shall recommend policies pertaining to redevelopment and housing, shall receive and review reports prepared by staff, and shall make recommendations on the budgeting of funds, the design of programs, and the establishments of policy guidelines for the redevelopment and housing functions of these agencies.
B. 
In advising these agencies, the commission will focus upon programs and methods that will help to achieve the following:
1. 
Expanding the supply of affordable housing to the very low, low, and moderate income households at the lowest possible cost to the city, agency, or authority, with priority give in the following order:
a. 
Very low (less than fifty percent of median household income in Solano County),
b. 
Low (fifty-one to eighty percent of median household income in Solano County), and
c. 
Moderate (eighty-one to one hundred twenty percent of median household income in Solano County);
2. 
Enhancing the city's economic vitality through the use of funds generated by redevelopment activity or which may be available from other sources for assisting housing and redevelopment activities. Targeted activities shall include:
a. 
Actions that increase the tax base of the city,
b. 
Actions that enhance the social and economic well-being of the citizens of Vacaville, irrespective of economic, social, or geographic status within the community, and
c. 
Actions that eliminate blighted conditions in the city and upgrade the physical appearance of city neighborhoods.
C. 
The commission will advise and make recommendations with respect to the following programs:
1. 
Federal and state housing assistance payments programs available to the authority;
2. 
Capital improvement programs funded by the Vacaville redevelopment agency;
3. 
Support programs funded by the Vacaville redevelopment agency low income housing fund;
4. 
Federal and state community development programs;
5. 
Other state and federal housing grant and loan programs operating within the city;
6. 
Local and regional housing and economic development activities undertaken in the city by affiliated, but independent, nonprofit corporations, groups, or entities; and
7. 
Other housing and redevelopment programs which are either operated by the city office of housing and redevelopment or available to the city, agency, or authority.
D. 
The commission shall:
1. 
Hold meetings at least monthly in order to receive and discuss staff reports and to formulate recommendations on housing and redevelopment policies;
2. 
Hold public hearings for the purpose of soliciting citizen input on housing and redevelopment issues;
3. 
Review, evaluate, and make recommendations on policy issues involving program initiatives, budgets, and service delivery;
4. 
Undertake special projects, as may be requested, from time to time, but the city council, the board of the agency, or the board of the authority;
5. 
Recommend to the city council candidates for appointment to the ad hoc community development block grant (CDBG) advisory committee, which is annually formed for the purpose of developing the CDBG final statement;
6. 
Coordinate with, and, as needed monitor, oversee, and review the activities of ad hoc or affiliated groups such as the ad hoc CDBG advisory committee, the homeless shelter advisory committee, Vacaville Community Housing, Inc., and other economic and development or housing groups;
7. 
Conduct hearings to review and make recommendations to the city council on the council's annual allocation of financial assistance to social services and to the Vacaville Social Services Center; and
8. 
Perform such other powers and duties as the city council, the board of the agency, or the board of the authority may, by ordinance, resolution, or motion, confer upon the commission from time to time.

The housing and redevelopment commission shall meet the third Wednesday of every month, unless that day is a city holiday, in which case the meeting shall be held on the next succeeding business day. Meetings shall be held in the chambers of the city council.

A majority of the members shall constitute a quorum for the purpose of conducting business, but a smaller number may adjourn from time to time until a quorum is obtained. Action may be taken by a vote of the majority of the members present.

The following shall be the order of business at meetings of the commission: A. Roll call; B. Approval of minutes of previous meeting; C. Unfinished business; D. New business; E. Comments of commission members; F. Public comment; G. Adjournment.

The commission shall adopt, by majority vote, bylaws as it shall deem expedient for the conduct of its business, not contrary to other provisions and policies heretofore adopted by the city council for the conduct of city commissions. The bylaws shall be approved by the city council and may be amended only with the approval of the city council, but no such amendment shall be adopted unless at least ten days written notice thereof has been previously given to all of the members of the commission and the council has, by resolution, approved the amendments

All rules of order not herein provided for shall be determined in accordance with "Roberts Rules of Order, Newly Revised."

The commission shall elect such officers as it may deem necessary for the conduct of business, including, but not limited to, a chair and a vice chair. Officers shall be elected from among the members of the commission and shall hold office for a term of two years or until their successors are elected and qualified. A member may be elected to serve consecutive terms of office as long as such member remains a member of the commission. Should an office become vacant prior to the expiration of term, the commission shall elect a successor from its membership and such election shall be for the unexpired term of that office.

The vice-chair shall perform the duties of the chair in the absence of or incapacity of the chair or in case of the resignation or death of the chair. The vice-chair shall perform such duties as are imposed on the chair until such time as the commission shall select a new chair.

The officers of the commission shall perform such other duties and functions as may, from time to time, be required by the commission or by the by-laws or rules and regulations of the commission.

The city manager of the city or authorized designee shall coordinate the activities of the commission with the city council, the board of the redevelopment agency, and the board of the housing authority.

The commission may create, from time to time, subcommittees of its membership to assist in the performance of the powers, duties, or functions of the commission.

The members of the commission shall be compensated at a rate to be set by the city council.
