This chapter shall apply to all boards and commissions except for civil service commission, which is addressed separately in Chapter 4.06 MCMC. All boards and commissions shall be advisory to the city council except as otherwise specified in the Mill Creek Municipal Code. In the event of an irreconcilable conflict between this chapter and the specific chapter applicable to a board or commission, the specific chapter shall control.

Notice of availability of a position on a board or commission shall be published in a local newspaper and/or posted at City Hall and/or on the city's website and/or the city's social media platforms after the effective date of the availability or vacancy of the position. Interested persons may apply for the position by submitting a letter of interest. Positions may be filled from the list of applicants or the city may re-advertise the position. Members of a city board or commission shall be appointed by the city council. Vacancies shall be filled in the same manner as initial appointments and members appointed to fill a vacancy shall serve for the duration of the unexpired term.

Members of a board or commission may be removed at any time and for any reason by a majority vote of the city council. The decision of the council shall be final and there shall be no appeal therefrom.

In addition to removal by the city council, a position shall be deemed vacant if the member or commissioner holding such position is not in attendance at three or more consecutive regular meetings. Absences may be excused and not counted if such absence is for reasons that are: (1) work related, or (2) due to illness, or (3) family commitment or family emergency and the absence is approved by a vote of the board or commission. The city clerk or designee shall maintain an attendance record that shall be recorded in the minutes.

No member or commissioner of any board or commission shall receive compensation for services performed. Necessary expenses actually incurred by members may be paid, from the appropriate fund, based on prior approval by the city manager.

A majority of the membership of the board or commission shall constitute a quorum for the transaction of business. Decisions shall be made by majority vote.

The board or commission may provide for regular and special meetings as needed to carry out the proper discharge of its duties. All meetings shall be open to the public. The board or commission shall elect from its members a chair, who shall preside at all meetings of the board or commission, and a vice chair. The chair and vice chair shall serve terms of one year. Vacancies in the position of chair or vice chair occurring other than through expiration of terms shall be filled for the remainder of the term by the board or commission. All requirements of the Open Public Meetings Act shall be followed by the board or commission. The administrative staff of the city shall be advisory to the board or commission and shall support the operations of each board and commission by, but not limited to, preparing and distributing meeting notices, agendas, taking notes during meetings, and uploading completed meeting minutes. The board or commission shall tape-record or keep minutes of all meetings held and all business transacted. All records of the board or commission shall be open for public inspection, except those that may be exempt from public disclosure under state law. Minutes and recordings of the board or commission shall be copied to the city council.

All terms for board and commission members shall be three years in length; provided, however, that the terms shall be staggered so that no more than two positions expire during the same year. The city council shall designate positions for an appropriate initial term to implement this result. Members with expiring terms are eligible to apply for reappointment.
