The Borough of Lansdowne does hereby signify intention to organize an Authority, together with the Townships of Springfield and Upper Darby and the Boroughs of Aldan, Clifton Heights, Collingdale, Colwyn, Darby, Sharon Hill and Yeadon, under the provisions of the Acts of Assembly and the amendments and supplements thereto.

The proper officers are hereby authorized and directed to organize said Authority in conjunction with the proper officers of the aforesaid townships and boroughs, and together with the aforesaid officers to execute the Articles of Incorporation and to file the same with the Secretary of the Commonwealth of Pennsylvania, as provided by law.
The Articles of Incorporation shall be as follows:
A.
The name of the Authority shall be "Darby Creek Joint Authority."
B.
The Authority is formed under the provisions of the Acts of Pennsylvania, No. 191 of the Session of 1935 and No. 200 of the Session of 1937.
C.
No other Authority organized under the Municipal Authority Act of 1937 (Act No. 200), nor under Act approved December 27, 1933 (Special Session 1933, P.L. 114), is in existence in or for the incorporating municipalities.

Commissioners or Councils, as the case may be, of each municipality creating the Joint Authority shall appoint one member of the Board.
(1)
The Townships of Springfield and Upper Darby shall appoint one member each for a period of five years; the Boroughs of Sharon Hill and Lansdowne for a period of four years; the Boroughs of Darby and Yeadon for a period of three years; the Boroughs of Collingdale and Aldan for a period of two years; and the Boroughs of Clifton Heights and Colwyn for a period of one year, and thereafter the Commissioners or Councils, as the case may be, shall, at a meeting held not later than one month prior to January 1 in each year in which a vacancy occurs in the office filled by that municipality, appoint as a member of the Board a citizen of that municipality for a term of five years to succeed the member whose term expires on January 1 next succeeding.

All vacancies shall be filled by the governing body of the municipality whose appointee has vacated his office.

In witness whereof the municipalities appointed herein have hereunto caused to be written their respective names, signed by their presiding officer and attested by their Secretary, or Clerk, this _____ day of A.D. 1938.

It is hereby the finding and declaration of the Borough Council that there is need for a Redevelopment Authority to function within the territorial limits of the Borough of Lansdowne.
It is the policy of the Borough of Lansdowne to promote the health, safety and welfare of the inhabitants thereof by the operation of the Redevelopment Authority, which shall exist and operate for the public purposes of the elimination of blighted areas through economically and socially sound redevelopment of such areas, as provided by the Urban Redevelopment Law, in conformity with the Comprehensive General Plan of the Borough of Lansdowne for residential, recreational, commercial, industrial or other purposes, and otherwise encouraging the provision of healthful homes, a decent living environment and adequate places of employment of the people of this Borough.
The name of the Authority is the "Redevelopment Authority of the Borough of Lansdowne."
The Authority is formed under the Pennsylvania Urban Redevelopment Law, 35 P.S. § 1701 et seq., as amended.
Upon certification of this ordinance[1] declaring the need for an Authority to operate in the Borough of Lansdowne, the Mayor shall appoint, as members of the Authority, five citizens. A majority of the members of the Authority shall be residents of the Borough, and the remainder may be nonresidents who own and operate businesses in the Borough. The Mayor shall announce the appointment of such persons at any regularly scheduled or special meeting of Borough Council. The Borough Council shall vote to approve or disapprove the persons appointed by the Mayor within 30 days following the date of appointment. If Borough Council fails to take action within said 30 days, then the appointment shall be deemed to have been approved by Borough Council. If Borough Council shall vote not to approve any person appointed by the Mayor within said thirty-day period, then such appointment shall be deemed rescinded, null and void, and the Mayor shall appoint another person in lieu of such person whom Borough Council did not approve.

The members who are first appointed shall serve for terms of one, two, three, four and five years, respectively, from the date of their appointment as shall be specified at the time of their appointment. Thereafter, the term of office shall be five years. A member shall hold office until his successor has been appointed. Vacancies for unexpired terms shall be promptly filled by the Mayor, subject to the approval of Council as set forth in § 12-9 of this article. A member shall receive no compensation for his or her services, but shall be entitled to the necessary expenses, including traveling expenses, incurred in the discharge of his or her duties. The Borough of Lansdowne shall not be responsible for reimbursing any member for any expenses unless the member obtains the consent of the Borough Council in advance of incurring such expense.
The members of the Authority shall select from among themselves a chairman, a vice chairman, and such other officers as the Authority may determine. The Authority may employ a secretary, an executive director, its own counsel and legal staff, and such technical experts, and such other agents and employees, permanent or temporary, as it may require, and may determine the qualifications and fix the compensation of such persons.
Three members of an Authority shall constitute a quorum for its meetings.
The Authority shall have all powers entitled to it pursuant to the Urban Redevelopment Law; provided, however, that the power to act as an agent of the Borough of Lansdowne conveyed upon the Authority pursuant to § 1709(d) of the Urban Redevelopment Law shall be conditioned upon the execution and delivery by the Borough of Lansdowne of a written agency agreement appointing the Authority as the agent of the Borough of Lansdowne and such agency shall be applied and be limited to solely the matters set forth in such written agreement.
The Authority may delegate to one or more of its agents or employees such of its powers as it shall deem necessary to carry out the purposes of the Authority, subject always to the supervision and control of the Authority.
