A. 
Creation of office and title. The office of Township Administrator in and for the Township of Clinton is hereby created pursuant to N.J.S.A. 40A:9-136 et seq., and 40:69A-26 et seq.
B. 
Appointment and term.
(1) 
The Administrator shall be appointed by the Mayor with the advice and consent of the governing body pursuant to N.J.S.A. 40A:9-137.
(2) 
The Administrator shall serve at the pleasure of the Mayor and Council, provided that the Administrator may be removed at any time by a 2/3 vote, on motion of any Council Member. The resolution of removal shall become effective three months after its adoption, unless it is given immediate effect. In that case, the Mayor and Council shall cause to be paid to the Administrator forthwith, any unpaid balance of his/her salary, and his/her salary for the next three calendar months following adoption of the resolution.
(3) 
The Administrator may designate an Acting Administrator to perform the duties of the office during his/her absence or disability of less than 30 days. Should the Administrator not do so, the Mayor and Council shall make the appointment.
(4) 
On removal or resignation of the Administrator, the Mayor and Council shall appoint an Acting Administrator to serve for 90 days or until an Administrator is appointed pursuant to Subsection B(1) of this section, whichever is sooner.
(5) 
In the event the Mayor and Council shall fail to appoint a successor Administrator within 90 days, then the office of the Administrator shall remain vacant. In the absence of an Administrator, the duties and responsibilities set forth in Subsection E shall be reassigned by resolution.
C. 
Compensation.
(1) 
The Administrator shall be paid a salary fixed and adopted by the Mayor and Council in the annual salary resolution within the guidelines set forth in the Salary Ordinance. The Administrator shall be reimbursed for all necessary expenses incurred in the performance of his/her office as per current Township personnel practices.
(2) 
Unless otherwise provided, no Acting Administrator shall be paid more than his/her regular salary while serving in that capacity, but he/she shall be reimbursed for all necessary expenses incurred in the performance of his/her office as per current Township personnel practices. If the Mayor and Council by resolution increase the compensation of the Acting Administrator during his/her term, such increased compensation shall not exceed the salary set forth in the Salary Ordinance for the position of Administrator.
D. 
Qualifications and residence.
(1) 
The Administrator shall be appointed on the basis of his/her executive and administrative qualifications. Previous responsible, successful experience in local government and possession of a degree in public administration or municipal management shall be preferred.
(2) 
The Administrator need not be a resident of the Township or the state at the time of his/her appointment, and may also thereafter reside outside the Township.
E. 
Duties and responsibilities.
(1) 
The Administrator shall be the Chief Administrative Officer of the Township, responsible to the Mayor and Council for the administration of all Township executive affairs but not the legislative affairs of the Township and with the following powers and duties. All of the administrative functions, powers and duties of the Township shall be allocated and assigned by the Administrator among and within departments established or constituted by this chapter or any amendments and supplements thereto, except for the administrative functions, powers and duties of the Department of Public Safety which shall be retained by the Administrator as the Director of Public Safety.

(a) 
Direct and supervise the administration of all departments, offices and agencies of the Township, except as otherwise provided by law.
(b) 
Appoint and remove all department heads with the advice and consent of the Mayor and Council. Where permitted by law, appoint and remove all other officers or employees, except for those officers for whose selection or removal is expressly provided for by state statute. The Administrator shall advise the Mayor and Council prior to any appointment, disciplinary action, or dismissal.
(c) 
Where permitted by law, negotiate contracts for the Township subject to the approval of the Mayor and Council, and make recommendations concerning the nature and location of municipal improvements as determined by the Mayor and Council.
(d) 
See that all terms and conditions, imposed in favor of the Township or its inhabitants in any statute, public utility franchise or other contract are faithfully kept and performed, and upon knowledge of any violation call the same to the attention of the Mayor and Council.
(e) 
Attend all meetings of the Mayor and Council with the right to take part in the discussions when recognized by the Mayor, and any other meetings as so directed by the Mayor and Council, but without the right to vote.
(f) 
Establish and maintain sound personnel practices and maintain appropriate records of all employees.
(g) 
See that all laws, and all acts of the Mayor and Council subject to his/her direction and supervision are faithfully executed.
(h) 
Receive from each department, office and board their annual budget requests and review and transmit same along with his/her comments and recommendations to the Mayor and Council. Prepare the Township's budget for presentation to the Mayor and Council no later than January 15 of each year.
(i) 
Submit to the Mayor and Council a verbal report on administrative activities of the Township at the end of each month, and submit such written reports as may be requested by the Mayor and Council.
(j) 
Make such other reports as the Mayor and Council may require concerning the operation of the Township.
(k) 
Keep the Mayor and Council fully advised as to the current and future needs of the Township and make such recommendations concerning the affairs of the Township as he/she deems advisable.
(l) 
Perform such other duties as may be required by the Mayor and Council and perform those duties set forth in the job description established for the Township Administrator position which may be modified from time to time by resolution of the Mayor and Council.
(m) 
Represent the Township and its relations to the federal, state and county governments and to other municipalities.
(n) 
Receive and reply to inquiries and complaints concerning Township business and provide information and assistance to resolve them.
(o) 
Recommend to the Mayor and Council any measures as he/she may deem necessary or expedient. Keep the Mayor and Council advised of the financial conditions of the Township, make reports to the Mayor and Council as requested, and at least once a year make an annual report of his/her work for the benefit of the Mayor and Council and the public.
(p) 
Investigate at any time the operation of any department or conduct of any officer or employee.
(q) 
Be responsible for the purchase, maintenance, replacement and safekeeping of all office furniture, equipment and supplies of the Township for which no other provisions are herein made.
(r) 
Maintain use records of the equipment and facilities under his/her custody, an inventory of supplies and a replacement schedule of equipment and facilities.
(s) 
Have custody of all Township property, real or personal, not assigned in other departments, and assign such property within the departments.
(t) 
Perform the duties of Purchasing Agent in accordance with § 4-10 of this Code.

(u) 
Perform such other duties as may be prescribed.
(2) 
Except for the purpose of inquiry, the Mayor and Council shall not engage in giving directions or orders to Township employees except through the Township Administrator. Any directions given to the Township Administrator shall be done by the Mayor and Council as a whole.
F. 
General Terms. The Township Administrator shall devote full time to the interests of the Township. The Mayor and Council reserves the right at any time to set specific hours for the Administrator by resolution.

A. 
There is hereby established in the Township the office of Purchasing Agent. The Purchasing Agent shall have the authority, responsibility, and accountability as the Township's contracting agent for the purchasing activity for the Township in accordance with this section and the Purchasing Manual dated June 18, 2002, and approved by the Mayor and Council on June 26, 2002, and as amended from time to time ("Purchasing Manual"). The Purchasing Agent is hereby granted the authority to:
(1) 
Prepare public advertising for bids and receive bids for the provision or performance of goods and services on behalf of the Township;
(2) 
Award contracts not exceeding the bid threshold as permitted by N.J.S.A. 40A:11-3a in the name of the Township;
(3) 
Award contracts that are in the aggregate less than 15% of the bid threshold without soliciting competitive quotations; and
(4) 
Conduct any activities as may be necessary or appropriate to the purchasing function of the Township.
B. 
All purchases of or contracts for the furnishing of any supplies, labor, materials, equipment, services or other matters for a department shall be made in accordance with the Purchasing Manual and the applicable requirements of New Jersey statutes relating to the public contracts for purchases, contracts and agreements.
C. 
The bid threshold in the Township shall be the maximum amount authorized by the Legislature in N.J.S.A. 40A:11-3a, as amended from time to time. In the event the Purchasing Agent is qualified pursuant to N.J.S.A. 40A:11-9b, by resolution the Mayor and Council may increase the bid threshold up to the higher maximum amount permitted by the Legislature by N.J.S.A. 40A:11-3a, as amended from time to time.
