It is the desire of the Borough Council of the Borough of Edgeworth, Allegheny County, Pennsylvania, and the Borough Council hereby signifies its intention to organize an Authority under the Municipality Authorities Act of May 2, 1945, P.L. 382, as amended.[1]

The name of the proposed Authority shall be the "Municipal Authority of the Borough of Edgeworth, Allegheny County, Pennsylvania."
The following persons are hereby appointed members of the Board of the Municipal Authority of the Borough of Edgeworth, Allegheny County, Pennsylvania, for the terms of office indicated.[1]

Pursuant to said desire and intention of the Borough Council and in conformance with the terms and conditions of said Municipality Authorities Act of 1945 and its amendments,[1] the proposed Articles of Incorporation are hereby set forth in full, as follows:
ARTICLES OF INCORPORATION

In compliance with requirements of the Municipality Authorities Act of May 2, 1945, P.L. 382, as amended, and pursuant to ordinance adopted by the municipal authorities of the Borough of Edgeworth, Allegheny County, Pennsylvania, signifying their desire and intention to form a Municipality Authority and that a certificate of incorporation be issued to said Authority, the Borough of Edgeworth does hereby certify:
(a)
The name of the Authority shall be the "Municipal Authority of the Borough of Edgeworth, Allegheny County, Pennsylvania"
(b)
The Authority is formed under the Act of May 2, 1945, P.L. 382, as amended
(c)
No other Authority has been organized under the Municipality Authorities Act of 1945 or the Act of June 28, 1935, P.L. 463, or is in existence in the Borough

The Solicitor is hereby authorized and directed to cause to be published in accordance with law a proper notice of intention to file the aforesaid Articles of Incorporation with the Secretary of the Commonwealth.

The Council of the Borough of Edgeworth finds and therefore declares that it is necessary that an adequate public ambulance and related emergency health service be established and operated for the benefit and preservation of the public health, comfort, convenience and general welfare and the increase of the prosperity of the inhabitants of the Borough of Edgeworth and that such service can be most efficiently and economically furnished by means of an Intercommunity Municipal Authority jointly sponsored by the Township of Aleppo, the Township of Leet and the Boroughs of Bell Acres, Edgeworth, Glenfield, Haysville, Leetsdale, Osborne, Sewickley, Sewickley Heights and Sewickley Hills and incorporated under the applicable laws of the Commonwealth of Pennsylvania for the express purpose of supplying such service to all the inhabitants of said municipalities.
It is therefore the joint desire and intention of the Townships of Aleppo and Leet and the Boroughs of Bell Acres, Edgeworth, Glenfield, Haysville, Leetsdale, Osborne, Sewickley, Sewickley Heights and Sewickley Hills, all municipal corporations of the Commonwealth of Pennsylvania and all situate in the County of Allegheny, to organize an Authority under the Municipality Authorities Act of 1945, designated as Act No. 164, approved May 2, 1945, together with all supplements and amendments thereto,[1] for the purpose of exercising and enjoying all of the powers conferred by said Act, its supplements and amendments, except as otherwise specifically provided in the proposed Articles of Incorporation hereinafter set forth.

The name of the proposed Authority shall be the "Quaker Valley Ambulance Authority."
The proposed Articles of Incorporation are as follows:

ARTICLES OF INCORPORATION TO THE
SECRETARY OF THE COMMONWEALTH OF PENNSYLVANIA
In compliance with the Municipality Authorities Act of 1945, its supplements and amendments, the Townships of Aleppo and Leet and the Boroughs of Bell Acres, Edgeworth, Glenfield, Haysville, Leetsdale, Osborne, Sewickley, Sewickley Heights and Sewickley Hills, all municipal corporations of the Commonwealth of Pennsylvania and all situate in the County of Allegheny, pursuant to identical ordinances duly adopted by the respective municipal authorities of all said municipalities, hereby signify their joint desire and intention to form an Authority under said Act and do therefore hereby certify as follows:
1.
The name of the Authority shall be "Quaker Valley Ambulance Authority"
2.
This Authority is formed under the Municipality Authorities Act of 1945, its supplements and amendments
3.
No other Authority or joint Authority organized under the Municipality Authorities Act of 1945, its supplements and amendments, or under the Act approved June 28, 1935, as amended, is in existence in or for the incorporating municipalities named herein, except as follows:
(1)
Aleppo Township Authority: a Municipal Authority organized by the Township of Aleppo, in the County of Allegheny, under the Municipality Authorities Act of 1945, its supplements and amendments, for the purpose of furnishing water service and a sanitary sewage collection and disposal system for said Township of Aleppo and adjoining municipalities
(2)
The Municipal Authority of the Borough of Edgeworth, Allegheny County, Pennsylvania: a Municipal Authority organized by the Borough of Edgeworth under the Municipality Authorities Act of 1945, its supplements and amendments, for the purpose of furnishing water service to said Borough of Edgeworth and to the Borough of Leetsdale and the Township of Leet, all in the County of Allegheny

The Municipal Authority of the Borough of Leetsdale: a Municipal Authority organized by the Borough of Leetsdale under the Municipality Authorities Act of 1945, its supplements and amendments, for the purpose of furnishing a sanitary sewage collection and disposal system for said Borough of Leetsdale and for the Borough of Edgeworth and the Township of Leet, all in the County of Allegheny

Quaker Valley Joint School Authority: a Joint Municipal Authority organized by the Quaker Valley School District under the Municipality Authorities Act of 1945, its supplements and amendments, for the purpose of providing public school buildings and facilities for said Quaker Valley School District
(5)
Sewickley Valley Hospital Authority: a Municipal Authority organized by the Borough of Sewickley under the Municipality Authorities Act of 1945, its supplements and amendments, for the purpose of acquiring and constructing hospital and related facilities for use of inhabitants of said Borough and neighboring municipalities
4.
The purpose of the Authority is to provide ambulance and related equipment and facilities and to furnish ambulance and other related emergency health services to the inhabitants of a primary service area consisting of the Townships of Aleppo and Leet and of the Boroughs of Bell Acres, Edgeworth, Glenfield, Haysville, Leetsdale, Osborne, Sewickley, Sewickley Heights and Sewickley Hills, to the inhabitants of adjoining political subdivisions or areas who may require or desire such services and to other persons who may require or desire such services while temporarily within such service area. For such purpose, the Authority shall have and exercise all powers granted by law except the following:
(1)
The Authority shall not undertake any project other than the providing of ambulance and other related emergency health services.
(2)
Total bonded indebtedness of the Authority shall not at any time exceed the sum of $100,000 without the prior approval of not fewer than eight of the incorporating municipalities.
5.
In addition to all other reports required by law to be filed or published by it, the Authority shall prepare a report of its fiscal affairs for each calendar quarter of its operations and shall file a copy thereof with each of the incorporating municipalities within 30 days following the last day of each such quarter
6.
The respective names of the incorporating municipalities are:

The names and addresses of the municipal authorities of each of the incorporating municipalities are as follows[1]
8.
The Board of the Authority to be formed pursuant to these Articles shall consist of 11 members, each of whom, except for those who shall be members of the first Board of the Authority, shall be appointed for terms of five years each
9.
One member of the Board of the Authority shall be appointed by the governing body of each of the several incorporating municipalities
10.
The names and addresses of members of the first Board of the Authority, the municipality by which each such member has been appointed and the dates of expiration of their respective terms are as follows[2]
11.
Whenever a vacancy has occurred or is about to occur by reason of the expiration of the term of any member, the incorporating municipality which appointed the member whose term has expired or is about to expire shall appoint a successor member for a full term of five years

Newton Chapin, Jr., is hereby appointed a member of the first Board of the Authority to serve, in accordance with Section 8 of the proposed Articles of Incorporation, for a term expiring December 31, 1976.
Until such time as all of the incorporating municipalities shall otherwise provide by resolution, the members of the Board of the Authority shall receive no compensation for their services as Board members; provided, however, that nothing herein contained shall be deemed to prohibit the payment of compensation as authorized by Section 7C of the aforesaid Municipality Authorities Act of 1945, as amended,[1] to a member of such Board for services rendered as officer of the Authority.

The Articles of Incorporation of the proposed Authority, in substantially the form set forth in § 19-9 of this article, shall be executed on behalf of the Borough of Edgeworth by the Mayor and by the President of the Borough Council and, under its Municipal Seal, attested by the Borough Secretary, and such officers are hereby authorized, empowered and directed to do all things necessary and appropriate to effect and establish said Authority in conformity with the aforesaid Municipality Authorities Act of 1945, its supplements and amendments.[1]

A. 
Organization and start-up expenses. In order to fund the proposed Authority with sufficient moneys to cover incorporation, organization and start-up expenses, the Borough of Edgeworth hereby assumes, as its fair share of such expenses, the payment of a per capita assessment of $0.16 and in discharge of such commitment does hereby appropriate the sum of $352.32, the same to be paid to or for the account of said Authority from time to time and in such amounts as the Borough Council may, by resolution or motion, authorize; provided, however, that the other incorporating municipalities shall, by like appropriations, have committed themselves to the payment of such initial expenses in the following respective portions and amounts:

B. 
Capital funds and operating expenses. In order to fund the proposed Authority with sufficient moneys to cover capital expenditures for equipment and housing and to cover the operating expenses of such Authority, the Borough of Edgeworth hereby promises and agrees with the Townships of Aleppo and Leet and the Boroughs of Bell Acres, Glenfield, Haysville, Leetsdale, Osborne, Sewickley, Sewickley Heights and Sewickley Hills that this Borough will, from time to time and to the extent and in the manner provided by law, appropriate from general funds or from funds derived from special levy the same portion of the aggregate capital expenditures and operating expenses of such Authority as the population of this Borough of Edgeworth bears to the aggregate population of the Authority's primary service area. For all computations required to be made hereunder, the term "population," unless otherwise agreed by all of the incorporating municipalities, shall mean the total number of inhabitants of this Borough or of such primary service area as reported in the then most recent enumeration thereof by the United States Bureau of the Census.
Notwithstanding any express or implied provision hereof to the contrary, the Authority shall fix and collect reasonable fees or charges for its services from recipients or users of such services who are not residents of the Authority's primary service area, and, should additional revenues be required to defray the full cost of the aforesaid capital expenditures and operating expenses, the Authority may fix and collect reasonable fees or charges for its services from recipients or users thereof who are residents of such primary service area.
