The Board of Commissioners of this Township
did, in 1963, organize an Authority jointly with the Borough of Coplay,
Lehigh County, Pennsylvania, under provisions of the Act of May 2,
1945, P.L. 382, as amended and supplemented, known as the "Municipality
Authorities Act of 1945" (the "Authorities Act"), for the following
purposes: to acquire, hold, construct, improve, maintain, operate,
own and lease, either in the capacity of lessor or lessee, sewers,
sewer systems or parts thereof and sewage treatment works, including
works for treating and disposing of industrial waters.

The President of the Board of Commissioners
and the Secretary of this Township did execute, on behalf of this
Township. Articles of Incorporation for such authority, which articles
may not be amended without express approval of a majority of the Board
of Commissioners.

The members of the Board of the Authority shall
be seven in number and shall be apportioned as follows:

The enactment of this article is deemed necessary
for the benefit of and preservation of the public health, peace, comfort
and general welfare of citizens of this Township and will increase
the prosperity of citizens of this Township.

A. The Board of Commissioners of the Township of Whitehall
does hereby authorize, approve and require the continued existence
and operation of the CWSA for an additional term of 50 years, through
January 20, 2055, for the health, safety and welfare of the community.
B. The Board of Commissioners of the Township of Whitehall,
through its President, Secretary and Solicitor, are hereby empowered
and directed to sign any such documents or authorize any such action
to be taken in cooperation with the Borough of Coplay and the administration
of the CWSA, consistent with this section, to assure the continued
operation of the CWSA for an additional 50 years as aforesaid.
