The Board of Township Supervisors, being the municipal authorities of the Township of Towamencin, hereby signifies its intention and desire to organize, together with the Board of Township Commissioners of the Township of Upper Gwynedd, an Authority under the provisions of the Municipality Authorities Act of 1945, as amended.[1]

The Chairman of the Board of Township Supervisors of this Township and the Township Secretary are hereby authorized and directed to execute, on behalf of this Township, Articles of Incorporation for said Authority stating, among other things:
A. 
That the name of the Authority is "Upper Gwynedd-Towamencin Municipal Authority."
B. 
That the said Authority is formed under the Municipality Authorities Act of 1945, approved May 2, 1945, P.L. 382, as amended.
C. 
That no other Authority has been organized under said Municipality Authorities Act of 1945, as amended, or under the Act of June 28, 1935, P.L. 463, and is in existence in or for the incorporating municipalities, except Upper Gwynedd Township Authority organized pursuant to certificate of incorporation dated May 6, 1953, and Towamencin Township Municipal Authority organized pursuant to certificate of incorporation dated June 21, 1955.
D. 
That the names of the incorporating municipalities are the "Township of Upper Gwynedd" and the "Township of Towamencin," both in Montgomery County, Pennsylvania, and setting forth the names and addresses of the municipal authorities of said municipalities.
E. 
That there shall be six members of the Board of the Authority, three appointed by the Township of Upper Gwynedd and three appointed by the Township of Towamencin, and that the names, addresses, appointing Township and terms of office (which shall commence on the date of appointment) of the first members of the Board of the Authority are as follows:

The said John B. Taylor, H. Warren Dimming and Linwood A. Kulp, Jr., all of whom are citizens and residents of this Township, are hereby appointed by the Township of Towamencin for the terms of two years, four years and five years, respectively, from January 1, 1965.
The proper officers of this Township are hereby directed to publish in accordance with the requirements of the Municipality Authorities Act of 1945, as amended, notice of this article and of the day on which said Articles of Incorporation will be filed with the Secretary of the Commonwealth of Pennsylvania; to file said Articles of Incorporation, together with the necessary proofs of publication of said notice, with the Secretary of the commonwealth; and to do all things necessary or appropriate to effect the incorporation of Upper Gwynedd-Towamencin Municipal Authority.
A. 
The first project to be undertaken by the Authority shall be:
(1) 
To construct a sewage collection system in the watershed of Towamencin Creek lying in the Towamencin Service Area of the Township of Upper Gwynedd as said area shall, from time to time, be more specifically defined by resolution of the Board of Township Commissioners of said Township, for lease to the Township of Upper Gwynedd;
(2) 
To construct a sewage collection system in the Township of Towamencin for lease to the Township of Towamencin;
(3) 
To acquire, upon request of the Township of Towamencin, existing collection sewers and sewer systems from Towamencin Township Municipal Authority for operation by the Authority or for lease to the Township of Towamencin; and
(4) 
To construct, operate and maintain in the Township of Towamencin trunk and outfall sewers and a sewage disposal plant for the accommodation of the collection systems above mentioned.
B. 
The first project of the Authority shall be undertaken and conducted under and subject to the terms of the sewer agreement dated as of May 1, 1964, hereinafter authorized, as from time to time amended.
The sewer agreement dated as of May 1, 1964, between the Township of Upper Gwynedd and the Township of Towamencin, submitted to this meeting and providing, among other things, for the formation of Upper Gwynedd-Towamencin Municipal Authority, for the planning and construction of sewage facilities by the Authority and for the allocation of costs, rentals and service charges between the Townships, is hereby in all respects approved and ordered filed with the minutes of this meeting, and the proper officers of the Township are hereby authorized to execute and deliver said sewer agreement in the form hereby approved.
