A. 
Policies. The policies of the City shall be developed and proposed by the boards, commissions, and committees listed in this chapter for approval by the Common Council.
B. 
Citizen membership on multiple boards, commissions and committees prohibited. Commencing on the third Tuesday in April 2024, no person who is not a member of the Common Council may serve simultaneously on more than two of the boards, commissions or committees described in this chapter, excepting the Parks and Recreation Board representative on the Plan Commission.
C. 
Procedures. Boards, commissions, and committees shall comply with the following procedural requirements:
(1) 
At its organizational meeting, each board, commission, and committee shall establish a regular meeting date and time. To the maximum extent practicable, such date and time shall not conflict with or overlap the regular meeting date and time of another board, commission, or committee.
(2) 
Meetings of the following boards, commissions, and committees shall be videorecorded for public viewing or broadcast via television, an online video sharing site, or other media platform: Board of Harbor Commissioners; Board of Public Works; Library Board; Parks and Recreation Board; Plan Commission; and Police and Fire Commission.

Alderpersons and non-Alderpersons appointed to serve as members of nonstatutory boards, commissions, and committees shall be subject to the following term limits:
A. 
Nonstatutory bodies.
(1) 
Definition. As used in this section, a "nonstatutory body" means a board, commission or committee established by City ordinance, resolution or motion of the Common Council, or by mayoral prerogative with Council consent, and not created or contemplated by the Wisconsin Statutes, to carry out or supervise special municipal governmental functions or to address unique local concerns and interests. The size, organization, and powers of such nonstatutory bodies shall be determined by the Common Council. City nonstatutory bodies shall include, but are not limited to, the Commission on Aging; Design Review Board; General Government and Finance Committee; Personnel Committee; and Traffic Safety Committee.
(2) 
Term limits. The Common Council shall not approve or confirm the reappointment of an Alderperson or non-Alderperson member to any nonstatutory body for more than three consecutive full terms of office, unless the person holds such membership by reason of their status as Mayor or their employment by the City or is otherwise reappointed by the Common Council as provided in this section. Reappointments which exceed said three-consecutive-term limit shall be made only when such member's term has expired and a qualified successor is not available, and shall be for one-year terms. One-year reappointments shall not be made for more than two consecutive years. Notwithstanding the foregoing term limit, an Alderperson or non-Alderperson member may be reappointed to a nonstatutory body for the three consecutive full terms of office immediately following their service in fulfilling the partial term of another member, if such partial term was for an unexpired term of less than 1/2 of a full term. Terms of office completed prior to the effective date of the ordinance from which this section is derived shall not be counted for purposes of the three-consecutive-term limit established in this section.
A. 
How constituted. The Board of Police and Fire Commissioners shall consist of five members appointed by the Mayor, subject to confirmation by a majority vote of all the members of the Common Council. The term of office of each member shall be five years, commencing on June 1 in the first year of their appointment. The Mayor shall annually, between the last Monday of April and the first Monday of May, appoint in writing to be filed with the Secretary of the Board, one member for a term of five years. The Police Chief and Fire Chief shall serve as staff liaisons to the Board of Police and Fire Commissioners.

B. 
Organization. The Board shall choose a Chairperson and Secretary from its members at its first organizational meeting in May of each year.
C. 
Responsibilities. This Board shall be responsible for all matters authorized by § 62.13(6), Wis. Stats., and these ordinances.[1]

How constituted. The Board of Public Works shall consist of three Alderpersons and three citizen members. For elected officials appointed to the Board, the term of office shall be one year commencing on June 1. For nonelected officials, the term of office shall be three years commencing on June 1. All appointments to the Board shall be made by the Mayor by the third Tuesday in May. Citizen member appointments shall be subject to confirmation by a majority vote of all the members of the Common Council. The Director of Public Works shall serve as staff liaison to the Board of Public Works.

B. 
Organization. The Board shall choose a Chairperson from its members on the fourth Tuesday in April.
C. 
Responsibilities. The Board of Public Works shall be responsible for all duties required by Wisconsin Statutes and these local ordinances. The Board shall also be responsible for the development and approval of policies and rules and regulations for the operation of the Department of Public Works and for the recommendation of major City policies affecting public works matters for approval by the Common Council.[1]

A. 
How constituted. The Parks and Recreation Board shall consist of not fewer than nine nor more than 11 residents of the City, two of whom shall be Alderpersons and the remainder of whom shall be citizen members. All appointments to the Board shall be made by the Mayor by the third Tuesday in May, subject to confirmation by a majority vote of all the members of the Common Council. The term of office of the Alderperson members shall be one year, commencing on June 1. The term of office of the citizen members shall be three years, commencing on June 1. In addition, the Mayor may annually appoint up to two students who are 16 years of age or older and enrolled at Port Washington High School at the beginning of their terms to serve as nonvoting advisors to the Board, subject to confirmation by the Common Council. The term of appointment of any such student advisor(s) shall be one year, commencing on July 1. The Recreation Director and Parks and Forestry Superintendent shall serve as staff liaisons to the Parks and Recreation Board.

B. 
Organization. The members of the Board shall select a Chairperson and Secretary from its members at its first organizational meeting of the year.
C. 
Powers and duties.

(1) 
The Board shall be responsible for the supervision, management, maintenance, planning and development of parks, green areas, recreational facilities, playgrounds, and other similar facilities and recreational programming and such other responsibilities as may be delegated to it by the Common Council.
(2) 
The Board shall adopt reasonable rules and regulations for facilities under its supervision. It shall adopt rules and regulations and policies for the operation of the Department of Parks and Recreation.[1]

How constituted. The Commission on Aging shall consist of seven members appointed by the Mayor, one of whom shall be an Alderperson. The term of office of the Aldermanic member shall be one year commencing on June 1. The term of office of other members shall be three years commencing on June 1. All appointments to the Commission shall be made by the Mayor by the third Tuesday in May, subject to confirmation by a majority vote of all the members of the Common Council. All members shall serve without compensation. The Senior Center Program Manager shall serve as staff liaison to the Commission on Aging.

B. 
Organization. The members of the Commission shall select a Chairperson and Secretary from its members at its first organizational meeting of the year.
C. 
Responsibilities. This Commission shall investigate the needs of all programs for senior citizens, coordinate programs of special concern to them and prepare an annual report relating thereto for the Council prior to October 1 of each year with recommendation for action to improve the quality of life for senior citizens.
A. 
How constituted.

(1) 
The Library Board shall consist of nine members who shall be residents of the City of Port Washington, except that not more than two members may be residents of other municipalities. The Library Director shall serve as staff liaison to the Library Board.
(2) 
Not more than one member of the Common Council shall at any one time be a member of the Library Board. One Board member shall be a school district administrator, or his or her representative, to represent the public school district. Members shall be appointed by the Mayor by the third Tuesday in May, except that upon the effective date of the expansion of the membership of the Board from seven to nine members pursuant to § 43.54(1)(a), Wis. Stats., the Mayor shall appoint two residents to serve as such additional members of the Board. Board members shall serve for three years, commencing on July 1. Appointments to the Board shall be subject to the approval of a majority of all the members of the Common Council. No compensation shall be paid to any Board member for their services, except reimbursement for their actual and necessary expenses incurred in performing duties outside the City if so authorized by the Board, and per diem, mileage and other necessary expenses incurred in performing their duties if so authorized by the Board and the Common Council. Members of the Board at the effective date of this section shall complete their original terms.
B. 
Organization. A majority of the membership constitutes a quorum, but the Board may, by regulation, provide that three or more members shall constitute a quorum. Within 60 days after the beginning of terms, the members of the Board shall organize by the election, from among their number, of a President and such other officers as they deem necessary.

C. 
Powers and duties.
(1) 
The Library Board shall have exclusive control of the expenditure of all monies collected, donated or appropriated for the library fund and of the purchase of a site and the erection of the library building whenever authorized. The Library Board also shall have exclusive charge, control and custody of all lands, buildings, money or other property devised, bequeathed, given or granted to or otherwise acquired or leased by the City for library purposes.
(2) 
The Library Board shall audit and approve all vouchers for the expenditures of the public library and forward the vouchers or schedules covering the same, setting forth the names of claimants, the amounts of each claim and the purpose for which expended, to the City Administrator with a statement thereon, signed by the Library Board Secretary or other designee of the Library Board, that the expenditure has been incurred and that the Library Board has audited and approved the bill. The City shall then pay the bill as others are paid.
(3) 
Any person having a claim or demand against the City growing out of any act of omission of the Library Board shall file with the Library Board a written statement thereof. If the claim or demand or any part thereof is disallowed, the claimant may bring an action against the City.
(4) 
Notwithstanding §§ 59.17(2)(br) and 59.18(2)(b), Wis. Stats., the Library Board shall supervise the administration of the public library and shall appoint a librarian who shall appoint such other assistants and employees as the Library Board deems necessary and prescribe their duties and compensation.
(5) 
The Library Board may employ competent persons to deliver lectures upon scientific, literary, historical or educational subjects and may cooperate with the University of Wisconsin system, vocational, technical and adult education district boards, the historical society, the Department of Public Instruction, cooperative educational service agencies, school boards and other educational institutions to secure such lectures or to foster and encourage by other means the wider use of books and other resource, reference and educational materials upon scientific, historical, economic, educational and other useful subjects.

(6) 
Within 60 days after the conclusion of the fiscal year of the City, the Library Board shall make a report to the City. The report shall state the condition of the Library Board's trust and the various sums of money received for the use of the public library during the year, specifying separately the amounts received from appropriations, from the income of trust funds, from rentals and other revenues of the public library and from other sources. The report shall state separately the condition of the permanent trust funds in the Library Board's control, shall state in detail the disbursements on account of the public library during that fiscal year and shall contain an estimate of the needs of the public library for the next succeeding fiscal year.

(7) 
The Library Board may receive, manage and dispose of gifts and donations as follows:
(a) 
All persons wishing to make donations of property for the benefit of the public library may vest the title thereto in the Library Board, to be held and controlled by the Board, when accepted, according to the terms of the deed of gift, devise or bequest. As to such property the Board shall be deemed special trustees.
(b) 
If a gift, bequest, devise or endowment is made to the library, the Library Board may pay or transfer the gift, bequest, devise or endowment, or the proceeds thereof, to the Treasurer of the City, may entrust any funds therefrom to a public depository under Ch. 34, Wis. Stats., or may pay or transfer such gift, bequest, devise or endowment to any member of the Library Board to be selected by the Library Board and thereafter to be known as "Financial Secretary." The Financial Secretary shall hold office only during membership on the Library Board and shall be elected annually at the same time and in the same manner as the other officers of the Library Board.

(c) 
If any such Treasurer or Financial Secretary holds any property belonging to the public library, the Library Board shall require a bond from the Treasurer or Financial Secretary to the Library Board in such sum, not less than the amount of such property so held by him or her, and with such sureties as the Library Board requires. The bond shall be conditioned in substantially the same form as the ordinary bond required from the Treasurer of the City with the necessary changes.
(d) 
The Treasurer or Financial Secretary shall make an annual report to the Library Board showing in detail the amount, investment, income and disbursements from the trust funds in his charge. Such report shall also be appended to the annual report of the Library Board under § 43.58(6), Wis. Stats.

(e) 
In the case of a gift for a library building, the Library Board of the City shall have the exclusive right to select and contract for the purchase of a site.
A. 
How constituted. The Board of Health shall consist of the Common Council, the Health Officer, and the Building Inspector. The term of office shall be one year and shall commence on June 1. The Mayor shall appoint the Health Officer by the third Tuesday in May, subject to confirmation by a majority vote of all the members of the Common Council. The City Administrator shall serve as staff liaison to the Board of Health.

B. 
Organization. The Board shall select a Chairperson from its members at its regular meeting on the third Tuesday in April.
C. 
Responsibilities. The Board shall perform such duties required by the ordinances of the City and statutes of the State of Wisconsin.

A. 
How constituted. The Board of Review shall consist of five residents of the City, none of whom shall occupy any public office or be publicly employed. In addition to five regular members, there shall be two residents of the City, neither of whom shall occupy any public office or be publicly employed, who will serve as alternates to the Board. The term of office of all regular and alternate members of the Board shall be five years, commencing on June 1. All appointments to the Board shall be made by the Mayor by the third Tuesday in May, subject to confirmation by a majority vote of all the members of the Common Council. The City Clerk shall serve as staff liaison to the Board of Review.

B. 
Organization. The members of the Board shall select a Chairperson from its members at its first organizational meeting of the year. The City Administrator shall designate a clerk for the Board. Compensation for members shall be fixed annually by the Common Council. The Assessor shall attend all meetings.

C. 
Responsibilities. The Board shall perform such duties as required by the statutes or ordinances.
A. 
How constituted. This Commission shall have seven members, consisting of the Mayor, an Alderperson, the City Engineer, and four citizens of the City who are not City officials. The Commission shall also include, as a nonvoting member, the Superintendent of the Port Washington-Saukville School District. The members of the Commission shall be appointed to hold office for a term of three years, commencing on June 1. The Mayor shall appoint one citizen member to the Commission annually. Appointments shall be made by the Mayor during the month of April for terms of office that expire in April; otherwise appointments shall be made by the Mayor by the third Tuesday in May for terms of office that expire in May or at any other time if a vacancy occurs during a term of office. All appointments shall be made subject to confirmation by a majority vote of all the members of the Common Council. The Director of Planning and Development shall serve as staff liaison to the Plan Commission.

B. 
Organization. The Mayor shall be the Chairperson and presiding officer. The members of the Commission shall select a Secretary from its members at its regular meeting in April, which shall not be held prior to the third Tuesday in April.
C. 
Responsibilities. The Commission shall perform such duties as may be authorized or required by state statutes or these ordinances or as may be requested by the Mayor or Council.

How constituted. This Committee shall consist of three Alderpersons appointed by the Mayor by the third Tuesday in May, subject to confirmation by a majority vote of all the members of the Common Council. The term of office shall be for one year, commencing on June 1. The City Administrator, Finance Director, and City Clerk shall serve as staff liaisons to the General Government and Finance Committee.

B. 
Organization. The Committee shall choose a Chairperson from its members at its first organizational meeting of the year.
C. 
Responsibilities. The Committee shall be responsible for the following matters:
(1) 
General government:
(a) 
Periodically reviewing, and making recommendations for changes to, this Code, including any proposed ordinances.
(b) 
Periodically reviewing rules, laws, and county and state legislation, and advising the Common Council regarding the same.
(c) 
Periodically reviewing the City Administrator's procedures for implementing the City's administrative policies.
(d) 
All general governmental matters and functions which are not specifically delegated, assigned, or reserved to other City committees or City officers.
(2) 
Finance, licenses and permits:
(a) 
Exercising policy guidance over the City's financial interests, including reviewing and making recommendations regarding assessments, audits, bills, budgets, claims, purchasing, receipt and disbursement of funds, taxes, and related matters.
(b) 
Reviewing and making recommendations to the Common Council regarding applications for licenses and permits, as required by this Code or state statutes.
(c) 
Other financial, licensing, and permitting matters and functions which are not specifically delegated, assigned, or reserved to other City committees or City officers.
D. 
License applications to the Committee.
(1) 
Except as otherwise provided in this Code, all applications for licenses and permits under this Code shall be referred to the General Government and Finance Committee for its review and recommendation to the Common Council as to issuance, and no license or permit shall be issued by the Common Council or the City Clerk until the recommendation of the Committee is heard by the Common Council.
(2) 
The City Clerk shall keep a complete record of each license issued and of all renewals, suspensions, and revocations thereof, which record shall be kept on file with the original application for a license.
(3) 
Unless otherwise specifically provided in this Code, the license period is from July 1 of each year to June 30 of the following year.
A. 
How constituted. The Personnel Committee shall consist of three Alderpersons appointed by the Mayor by the third Tuesday in May, subject to confirmation by a majority vote of all the members of the Common Council. The term of office shall be for one year, commencing on June 1. The City Administrator and Human Resources Director shall serve as staff liaisons to the Personnel Committee.

B. 
Responsibilities. The Personnel Committee shall:
(1) 
Act as a review committee for personnel decisions in the grievance procedure.
(2) 
Review interdepartmental relationship of salaried, supervisory and other personnel not members of a recognized bargaining unit.
(3) 
Recommend to the Common Council conditions of employment, fringe benefits and grievances of salaried, supervisory and other personnel not members of a bargaining unit.
(4) 
Recommend to the Common Council work standards and compliance therewith for salaried, supervisory and other personnel not members of a bargaining unit.
(5) 
Recommend to the Common Council, based upon recommendations from the City Administrator and department heads, increases or decreases in the number of salaried, supervisory and other personnel not members of a bargaining unit.
(6) 
Develop policies and guidelines for negotiation strategies that can be used by the City's negotiation teams.

A. 
The Common Council having determined that a need for blight elimination, slum clearance, urban renewal and community development programs and projects and housing projects exists in the City of Port Washington, there is hereby created a community development authority to be known as the "Community Development Authority of the City of Port Washington, Wisconsin," hereinafter known as the "Community Development Authority."
B. 
The Community Development Authority shall be constituted, organized, and operated in strict accordance with the provisions of § 66.1335, Wis. Stats. The Mayor shall, by the third Tuesday in May and subject to confirmation by a majority vote of all the members of the Common Council, appoint seven resident persons having sufficient ability and experience in the fields of urban renewal, community development, and housing as Commissioners of the Community Development Authority. Two of the Commissioners shall be members of the Common Council and shall serve during their term of office as Council members. The term of office of non-Council members shall be four years and until their successors are appointed and qualified. All Commisioners' terms of office shall commence on June 1. The Director of Planning and Development shall serve as staff liaison to the Community Development Authority.

A. 
How constituted. The Traffic Safety Committee shall consist of three Alderpersons, the City Engineer, and the Police Chief or his or her designee, all of whom shall be appointed by the Mayor by the third Tuesday in May, subject to confirmation by a majority vote of all the members of the Common Council. The term of office shall be for one year, commencing on June 1. The City Engineer shall serve as staff liaison to the Traffic Safety Committee.

B. 
Duties and powers.
(1) 
The Traffic Safety Committee shall meet bimonthly, beginning in January of each year, on the fourth Monday of the month at 10:00 a.m., and may convene as otherwise needed, to review all proposed ordinances relating to parking, speed limits, and traffic controls, and shall provide a recommendation to the Common Council regarding such ordinances. No such ordinance shall be considered for adoption by the Common Council unless it has first been reviewed by the Traffic Safety Committee. No ordinance related to speed limits or traffic controls shall be recommended for adoption by the Common Council except upon the basis of an engineering and traffic investigation and report. To implement or improve safety for all modes of transportation, the Traffic Safety Committee will review new proposed street, sidewalk, and bicycle route designs, or modifications of such existing routes. Any suggestions for safety-related changes will be provided to the City Engineer, who will consider such suggestions prior to review and/or approval by the Board of Public Works and the Common Council.
(2) 
The Traffic Safety Committee, in collaboration with the City Engineer, shall make recommendations on capital and maintenance projects, or seek to find alternative funding whenever possible, for safety improvements, education and outreach activities.
A. 
How constituted. The Board of Directors of the Business Improvement District shall consist of 11 members, a majority of whom shall own or occupy real property in the Business Improvement District established by the Common Council pursuant to § 66.1109, Wis. Stats. The Mayor shall appoint members to the Business Improvement District Board of Directors by the third Tuesday in May, subject to confirmation by a majority vote of all the members of the Common Council. The term of office of each member shall be three years, commencing on June 1. The Board of Directors shall include an Alderperson and a representative of the City's Chamber of Commerce. The Director of Planning and Development shall serve as staff liaison to the Business Improvement District Board of Directors.

B. 
Organization. Organization of the Board of Directors shall be as set forth in the Business Improvement District Operating Plan as submitted and approved by the Common Council and as set forth in § 66.1109, Wis. Stats.
C. 
Responsibilities. The Board of Directors shall exercise those responsibilities and powers as set forth in the Business Improvement District Operating Plan and as set forth in § 66.1109, Wis. Stats.
A. 
Creation; appointment; term. A Board of Harbor Commissioners shall be created by a resolution of the Common Council. Such resolution shall state that the Board shall consist of seven members. Such resolution shall state the length of the term of each member of the first Board to be appointed so that the term of one or more will expire the first year, one or more in two years, and one or more in three years. Appointments to the Board shall be made by the Mayor, subject to confirmation by a majority vote of all the members of the Common Council. No person shall be appointed unless they are a qualified elector of the City and have been a resident of the City for at least three years. Not more than one member of the Common Council shall be eligible for appointment to the Board. The term of office of each member shall be three years. Appointments shall be made by the Mayor by the third Tuesday in May, and the term of office of each member shall commence on June 1. A person appointed to the Board shall serve until a successor is appointed and qualifies. Members of the Board shall receive no compensation for their services, but they shall be reimbursed for expenses actually and necessarily incurred in the performance of their duties. The Harbormaster shall serve as staff liaison to the Board of Harbor Commissioners.

B. 
Organization. The Board shall select a President and Vice President. The Board may employ a Secretary. The Board shall hold meetings at such times and places as it determines.
C. 
Powers and duties.
(1) 
Planning. The Board of Harbor Commissioners shall make such plans as it deems necessary for the improvement of the harbor over which it has jurisdiction. The Board shall not carry out any such plans until approved by the Common Council.
(2) 
Commercial aspects. The Board of Harbor Commissioners shall have exclusive control over the commercial aspects of the day-to-day operations of the harbor and its facilities. Nothing contained herein shall prevent the Common Council from changing or restricting such control by resolution approved by a majority of the Council.
(3) 
Fees and charges. The Board of Harbor Commissioners shall fix fees and charges for the use of the harbor facilities, except such fees shall be subject to approval by the Common Council.
(4) 
Budgets. The Harbormaster shall submit an annual estimate of anticipated revenues and expenses for review and approval by the Board of Harbor Commissioners. The Board of Harbor Commissioners shall submit such budget to the City Administrator at a time to be designated by the City Administrator. The City Administrator shall submit the budget to the General Government and Finance Committee of the Common Council at a time to be established by the General Government and Finance Committee. Final review of the budget shall be by the Common Council for inclusion in the annual budget of the City. All monies derived from the operation of the harbor facility shall be paid into the general fund. No money may be expended by the Board of Harbor Commissioners which has not been appropriated by the Council in the adoption of its budget. The Common Council may from time to time authorize the transfer of certain net income resulting from harbor operations from the general fund into the harbor reserve fund, in amounts determined by the Council.

(5) 
Annual report. The Board of Harbor Commissioners shall report annually to the Council giving an account of its activities and an account of its income and expenditures.
(6) 
Health, order and safety. Nothing contained herein shall be deemed to remove from the authority of the Common Council, or its designees, control of the governmental aspects relating to the public health, order and safety.

The Cemetery Board shall be established to oversee the management of Union Cemetery in the City of Port Washington.
A. 
How constituted. The Cemetery Board shall consist of three members appointed by the Mayor and confirmed by the Common Council. The Cemetery Commissioner shall be Chairperson of the Board. The two citizen members shall be residents of the City. While the citizen members need not be members of the Common Council, only one Common Council member shall be permitted to serve on the Cemetery Board at any given time.

The Mayor shall appoint the City Clerk, the Director of Public Works, or a designee of the City Clerk or Department of Public Works as Cemetery Commissioner. The Cemetery Commissioner shall be the superintendent responsible for the general supervision and day-to-day operations of the cemetery, subject to the supervision of the Cemetery Board.
B. 
Term. The terms of all members of the Cemetery Board shall be for two years. For the term beginning in January 2026, one citizen member's term shall expire May 31, 2027, and one citizen member's term shall expire May 31, 2028. All terms thereafter shall be two years commencing on June 1. Members of the Common Council appointed to the Cemetery Board shall be appointed for a one-year term and be appointed at the annual organizational meeting or at a reasonable time thereafter.
C. 
The Cemetery Board may recommend, in cooperation with the Finance Director and City Administrator, to the Common Council, from time to time, as to the investment and handling of cemetery accounts and funds.
D. 
The Cemetery Board shall meet at least semi-annually, though shall be permitted to meet more regularly.
E. 
The Cemetery Board shall establish rules and regulations for the care and management of the cemetery, including a fee schedule for all cemetery-related fees, prices, and costs. A copy of such rules and regulations and fee schedule shall be made available to the public.
F. 
Review and reporting. The Cemetery Board, under its normal meeting procedures, shall review and prepare a recommendation for the Common Council on all cemetery-related issues. The Common Council may also direct the Cemetery Board to review and prepare a recommendation on any cemetery-related issue, as the Common Council deems appropriate.
