The annual meeting of the Authority for the election of a Chair
or Vice Chair and for the transaction of any other business that may
come before the meeting shall be held at 4:30 p.m. on the second Monday
in February each year, unless a change is set forth by resolution.
The powers of the Authority shall be vested in the five members
thereof in office from time to time. Three members shall constitute
a quorum at any meeting thereof. Action may be taken and motions and
resolutions adopted by the Authority at any meeting of the members
thereof by vote by a majority of the members present, unless in any
case the bylaws of the Authority require a larger number. The Authority
may delegate to one or more of its officers, agents or employees such
powers and duties as it may deem proper.

The regular monthly meeting of the Authority shall be held on
the second Monday, commencing generally at 4:30 p.m., unless, by resolution
duly adopted, the members specify a different time for the commencement
of the meeting. In the event that a holiday shall fall on the second
Monday, the members may elect to schedule the meeting on either the
first or third Monday of the month. Special meetings of the Authority
may be called by the Chair or Vice Chair or by any two members of
the Authority. Notice of a special meeting shall be given in accordance
with the provisions of the Open Public Meetings Act.
Each member of the Authority shall hold office for the term
for which he or she was appointed and until his or her successor has
been appointed and has qualified.
No member, officer or employee of the Authority shall have or
acquire any interest, direct or indirect, in the sewerage system or
in any property included or planned to be included in the sewerage
system or in any contract or proposed contract for materials or services
to be furnished to or used by the Authority, but neither the holding
of any office or employment in the government of any county or municipality
or under any law of the state nor the owning of any property within
the state shall be deemed a disqualification for membership in or
employment by the Authority, and members of the Township Committee
may be appointed by such governing body and may serve as members of
the Authority.
A member of the Authority may be removed only by the Township
Committee for inefficiency or neglect of duty or misconduct in office
only after he or she shall have been given a copy of the charges against
him or her and, not sooner than 10 days thereafter, had opportunity,
in person or by counsel, to be heard thereon by the Township Committee.
The Authority may reimburse its members for necessary expenses
incurred in the discharge of their duties.
Compensation for a member shall be fixed by the Township Committee.
