There is created a VillageFest board which shall exist as an advisory body of the city. It shall consist of seven members, serving without compensation, appointed in the manner prescribed in Section 2.22.020 of this code. All appointments to the board shall be for terms also as prescribed in Section 2.22.020 of this code.

(a) 
Members of the board shall be appointed or removed in accordance with and shall be subject to all the provisions of Chapter 2.06 of the Palm Springs Municipal Code, as the chapter now reads, or as it may be amended from time to time. Except for the initial staggered terms, members shall serve for three-year terms and until their successors are appointed and qualified, unless they are earlier incapacitated, resign, or are removed.
(b) 
Members of the board shall be either current retail merchants or have significant retail experience, or, in the alternative, one member may be a representative of the community-wide tourism industry.

The board shall each year elect from its membership a chairman and vice-chairman. The chairman and vice-chairman shall have and perform such duties as are commonly associated with their respective titles. The board shall be further authorized to appoint and fix the membership of such number of standing and temporary committees as it may find expedient for the performance of its duties. The chairmen of said committees shall be members of the VillageFest board. The city manager may appoint a VillageFest manager and such other staff as may be necessary to conduct VillageFest. Such staff shall assist the board but shall report to the city manager.

The board shall meet as necessary to review vendor applications in a timely manner, but no more frequently than twice per month, at such time and place as shall be fixed by the board by its standing rules, adopted by resolution. A majority of the existing appointed members of the board shall constitute a quorum for the transaction of business. The board may establish such rules and regulations as it deems necessary for the conduct of its business. In matters relating to preparation of agendas, the holding of regular and special meetings and the conduct of such meetings, the board is bound by the provisions of the Ralph M. Brown Act of the state of California, as amended (Section 54950, et seq., California Government Code).

The board shall serve in an advisory and administrative capacity to the city council as follows:
(1) 
To review vendor applications and to interview vendor applicants in regard to their possible future participation as vendors in VillageFest;
(2) 
To interpret and apply the VillageFest rules and regulations, as established and approved by city council, in the review, interview and selection of VillageFest vendors;
(3) 
To vote on the selection of individual vendor applicants for future inclusion as vendors in VillageFest, based upon applicant eligibility as interpreted from the VillageFest rules and regulations, and to advise the VillageFest manager of the results of vote of the board for each vendor applicant;
(4) 
To review representative samples, including selling price, of each item intended to be sold, for quality, workmanship, appropriateness and compatibility with VillageFest goals and purposes;
(5) 
To determine, after adequate notice and a hearing, whether to suspend or revoke a VillageFest participant's VillageFest permit based on violation of the VillageFest rules and regulations; and
(6) 
To advise the city council on matters relating to VillageFest, and to assist from time to time in the review of the administration and operation of VillageFest.
