A. 
The Planning Commission shall consist of not fewer than five (5) nor more than fifteen (15) members, appointed by the Town Council, all of whom shall be residents of the town, qualified by knowledge and experience to make decisions on questions of community growth and development, provided that at least one-half ( 1/2) of the members so appointed shall be freeholders. The Town Council may require each member of the Commission to take an oath of office.
B. 
One (1) member of the Commission may be a member of the Town Council and one (1) member may be a member of the administrative branch of government of the town. The term of each of these two (2) members shall be coextensive with the term of office to which he has been elected or appointed, unless the Town Council, at the first regular meeting each year, appoints others to serve as their representatives. The remaining members of the Commission first appointed shall serve respectively for terms of one (1) year, two (2) years, three (3) years and four (4) years, divided equally or as nearly equal as possible between the membership. Subsequent appointments shall be for terms of four (4) years each. The Town Council may establish different terms of office for initial and subsequent appointments. Vacancies shall be billed for appointment for the unexpired term only. Members may be removed for malfeasance in office.

[1]The Town Council shall provide for:
(1) 
Reimbursement of actual expenses incurred by members of the Commission; or
(2) 
Compensation to such members, or any of them, for their services; or
(3) 
Both.

The Planning Commission shall exercise such powers and shall perform such duties as are conferred upon such bodies by state law.
A. 
The Planning Commission shall elect its Chairman from among the appointed members. The Commission may create and fill such other offices as it may determine. The term of Chairman shall be for one (1) year with eligibility for reelection.
B. 
The Commission shall hold at least one (1) regular meeting every two (2) months. It shall adopt rules and regulations for transaction of business and shall keep records of its resolutions, transactions, findings and determinations, which records shall be a public record, open to public inspection.
The Planning Commission may appoint such employees as it may deem necessary for its work. The Commission may also contract with city planners, engineers, architects and other consultants for such services as it may require. The expenditures of the Commission, exclusive of gifts to the Commission, shall be within the amount duly appropriated by the Council for the purpose in its annual budget.
