It is the desire and intention of the Borough of Sayre, a municipality of the Commonwealth of Pennsylvania situated in Bradford County, to organize an Authority under the Parking Authority Law, June 5,1947, P.L. 458, Section 1, its amendments and supplements,[1] for the purpose of exercising any and all powers conferred by said Act.

The name of the proposed Authority is the "Sayre Parking Authority."
The proposed Articles of Incorporation of said Authority are as follows:

ARTICLES OF INCORPORATION
To the Secretary of the Commonwealth of Pennsylvania:
In compliance with the Parking Authority Law of June 5,1947, P.L. 458, Section 1, its amendments and supplements, the Borough of Sayre, situated in Bradford County, Pennsylvania, pursuant to ordinance duly adopted by the Borough of Sayre, signifies its desire and intention to form an Authority, hereby:
A. 
The name of the Authority shall be the "Sayre Parking Authority."
B. 
This Authority is formed under the Parking Authority Law of June 5, 1947, P.L. 458, Section 1, its amendments and supplements.
C. 
No other Authority organized under the Parking Authority Law of June 5, 1947, P.L. 458, Section 1, its amendments and supplements, is in existence in or for the incorporating municipality named herein.
D. 
The name of the incorporating municipality is the "Borough of Sayre."
E. 
The names and addresses of the Mayor and the members of Council of the Borough of Sayre, such persons being the municipal authorities of said municipality, are as follows.[1]

F. 
The membership of the Board of the Authority to be formed hereby shall be seven in number, three of whom shall serve for one year, one for two years, one for three years, one for four years and one for five years from the first day of January 1960. Except as set forth herein as to the terms of the initial members of the Board of Authority, the term of office for each member of the Board shall be five years.
G. 
The names, addresses and terms of office of the first members of the Board of Authority to be formed hereby are as follows.[2]

H. 
Whenever a vacancy shall, for any reason, exist in the Board of the Authority, the vacancy shall be promptly filled by the appointing body according to 53 P.S. 348.

A certified copy of the ordinance of the Borough of Sayre is attached hereto as Exhibit A.[3]

The following persons, respectively hereinafter designated as appointees of the Board of Authority, are hereby appointed members of the Board of Authority with the following terms of office.[1]

The Articles of Incorporation of said Authority, in substantially the form set forth in A177-11 of this ordinance, shall be executed on behalf of the Borough of Sayre by the President of Council and the Mayor and under its Municipal Seal attested by the Secretary of said borough, and such officers are hereby authorized, empowered and directed to do all things necessary and appropriate to effect and establish said Authority in conformity with the Parking Authority Law of June 5, 1947, P.L. 458, Section 1, its amendments and supplements.
The adoption of this ordinance is deemed necessary for the benefit and preservation of the public health, peace, comfort and general welfare and will increase the prosperity of the people of the Borough of Sayre.
