All meetings of the City Council shall be held at such times
as the City Council may prescribe by resolution. Adjourned meetings
shall be held whenever the Council shall deem it necessary.

The Mayor, or person acting as Mayor, or any three (3) members
of the City Council, shall have the power and are hereby authorized
to call a special meeting of the City Council, by serving a notice
in writing on each member of the Council and the Mayor, or person
acting as Mayor, by delivering to each of them a copy of such notice,
or by leaving such copy at his usual place of abode; and such notice
shall state the object of such meeting and the time for holding the
same, and such notice shall be written out at length and copied upon
the journal of the Council proceedings; provided that no business
other than that specified in such written notice shall be transacted
at such special meeting.

No member of the City Council shall absent himself from any
regular meeting thereof, nor from any adjourned or special meeting
after due notice thereof, unless he/she has leave, or is sick and
unable to attend, or is otherwise prevented by circumstances beyond
his control.

The Chief of Police shall be ex officio sergeant-at-arms of
the City Council and shall attend its meetings and execute all its
orders.

A majority of the members elected to the Council shall constitute
a quorum to do business, but any two (2) members, including the Mayor,
may have a roll call of the Council, send for and compel the attendance
of absent members, and make an order for their censure or fine.

The City Council shall prescribe by resolution its own rules
of procedure for conducting its business at its regular meetings.

In the event a matter should arise during a regular or special
meeting of the City Council, to which the rules of procedure of the
City Council do not apply, then the rules of procedure outlined in
Robert's Rules of Order governing parliamentary procedure, insofar
as the same are applicable, shall control.

A. For the purpose of this section, "video conference" or
"video conferencing" shall refer to a means of communication where
at least one (1) member of the City Council participates in an open
or closed meeting from a remote location by means of transmitted audio
and video signals. Council members and the public physically present
shall be able to see and hear the Council member participating from
a remote location. The Council member participating from a remote
location shall, at a minimum, be able to hear Council members and
the public physically present. The attendance of a Council member
by video conference shall be reflected in the minutes.
B. It is the policy of the City of Marshall, Missouri, that
a member of the City Council may attend and participate in any open
or closed meeting of the Council by video conference, provided that
such attendance complies with this section and any other applicable
laws.
C. A Council member seeking to attend a meeting by video conference
shall notify the City Clerk or his or her designee at least twenty-four
(24) hours before the meeting unless advance notice is impractical.
D. A Council member shall not attend more than four (4) meetings
via video conference in a rolling twelve-month period. Attendance
at additional meetings by a Council member by video conference shall
be subject to the approval of the Council members physically present.
A roll call of the City Council shall be taken on whether to allow
an off-site member to participate by video conference at such additional
meetings. A vote may be taken to permit participation by video conference
for a related series of such additional meetings if the same reason
applies in each instance. Otherwise, a vote must be taken to allow
each instance of participation by video conference at such additional
meetings.
E. If at any time during a meeting where a Council member
is participating from a remote location one or more of the video conferencing
components required above fails, said Council member is deemed to
thereafter be absent from the meeting unless and until the failed
components are restored. The failure and return to functionality of
the required video conferencing components shall be reflected in the
minutes.
F. A Council member participating by video conference shall
be able to express his or her comments during the meeting and participate
in the same capacity as those Council members physically present,
subject to all general meeting guidelines and procedures previously
adopted and adhered to. The Council member participating by video
conference shall be heard, considered, and counted as to any vote
taken. Accordingly, the name of such Council member participating
by video conference shall be called during any vote taken, and his
or her vote counted and recorded and placed in the minutes.
G. If a closed session occurs, it shall be the responsibility
of the Council member participating via video conference to ensure
members of the public are not present at the remote location to see,
hear, or otherwise observe the closed session.
