There is hereby created a Recreation and Parks Board in and for the City of Marceline hereinafter referred to as "the Board." This Board is to be an advisory board to the City Council of Marceline directed to work in conjunction with the City Parks and Recreation Director or the City Manager to conduct suitable City recreation activities, care and maintain athletic fields and facilities within the City.

The Board shall consist of not less than five (5) nor more than seven (7) members. The City Parks and Recreation Director shall serve as an ex officio member of the Board but shall have no vote.

The members of the Board shall be residents of the existing Marceline R-V School District consisting of the City of Marceline and surrounding areas, so as to encompass people that shall have express interest in the City's recreation activities, facilities and park grounds.

Appointments shall be made by the Mayor with the approval of City Council. The Mayor may by and with the consent of City Council remove any member for misconduct or neglect of duty.

The terms of members shall be for three (3) years. The first Board shall be varied as follows: two (2) members shall be appointed for two (2) years and three (3) members shall be appointed for one (1) year.

Vacancies occurring in membership of the Board shall be filled in the same manner as appointments.

No member of the Board shall receive any compensation for his/her services thereon.

Immediately after their appointment, the members of the Board shall meet and organize by election of one (1) of their members as President, and by the election of such other officers as they may deem necessary. The Board shall provide for holding regular and special meetings to be posted to public. Records shall be maintained of transactions and meetings which will be public and provided for update to City Council. Board meeting records shall be provided on a monthly basis by the Thursday prior to the regular monthly Council meeting.

The Board shall make and adopt such bylaws, rules and regulation as approved by City Council, for their own guidance. Such bylaws, rules and regulations shall be for the governing of City recreation activities. The Board shall follow all polices and procedures for the City of Marceline, to include the Code of Ordinances.

A. 
The Board shall carry out the spirit and intent of this Article in establishing and conducting City recreation activities, and to recommend physical development or improvements to City park facilities, and grounds.
B. 
The Board shall have exclusive control of all monies collected or donated expressly for the Board. Such monies expressly designated to the Board shall be held separately from other general funds. Such funds will be used solely for the benefit of City recreational activities and programs, to include maintenance and care of City athletic fields and facilities. Any purchases of ten thousand dollars ($10,000.00) or more or which will result in improvements to the park facilities or purchases which would become fixtures of any park facility shall be expended in accordance with Chapter 125 of the Municipal Code of Ordinances and must be approved in advance by the City Council.
C. 
All purchase of personal property, supplies and contractual services which will not become fixtures or be considered improvements to City park facilities and which are over two thousand five hundred dollars ($2,500.00) but less than ten thousand dollars ($10,000.00) shall be made upon the basis of at least three (3) quotations (written or verbal) from qualified vendors. The Board shall approve a lesser number of bidders, depending on the circumstances, such as: availability and number of bidders handling the product or service; maintenance and service capabilities; non-standard or technical items.
D. 
The Board shall perform functions of implementing recreational activities for the City.
E. 
The Board shall make recommendations for the physical development or improvement of recreation facilities and grounds for the City to the Marceline City Council. All recommendations for the physical development or improvement to any City recreation facilities and grounds shall be, in writing, to the City Council following a formal vote of the Board. The City Council shall have the right to request additional documentation to include cost, schedule and design schematics and also the right to accept or reject development plans submitted by the Board.
F. 
The Board shall not incur debt nor shall it negotiate or enter into any contractual agreements with any agency without the approval of the Marceline City Council excluding umpire, referee and concession services for recreation activities.

The Board shall submit a report of transactions and any physical development or improvement of recreation facilities and grounds for the City to the City Council and City Manager annually prior to August 31. Outlined shall be proposed recreational activities and recommendations for physical development of recreation facilities and grounds as well as actual and proposed revenue and expenditures.

Pursuant to Sections 305.210 and 305.170, RSMo., there is hereby established jointly and concurrently with the City of Brookfield, Missouri, the North Central Missouri Regional Airport Board (hereinafter "the Board") which shall be responsible for the day-to-day operation of the North Central Missouri Regional Airport (hereinafter "the airport") to include, but not be limited to, airport maintenance, lease negotiations, employment of personnel, management and use of airport facilities, collection of rents, granting of concessions, purchasing and, as may be necessary, planning for expansion of airport facilities and operations.

The Board shall consist of eleven (11) members. The City Councils of both the City of Marceline and the City of Brookfield shall each appoint three (3) members for four-year terms and one (1) member for a two-year term. The City Managers of both the City of Marceline and the City of Brookfield shall serve as ex officio members of the Board with full rights afforded to all other members of the Board. The Board, once established, shall appoint one (1) member at large who will serve for a two-year term. At such time as the term for any member shall expire, future appointments shall be made in the manner as herein provided except that said appointments shall be for a four-year term. Provided however, that should either the City of Marceline or the City of Brookfield fail to appoint a Board member upon expiration of an existing term, then said Board member previously appointed shall continue to serve after the expiration of his/her term until a successor has been selected and appointed. There shall be no residency requirement for the selection and appointment of any Board member.

The City of Marceline and the City of Brookfield (hereinafter collectively referred to as "the City Councils") shall retain the right to remove any member appointed by said City Council with or without cause. In the event that either City Council removes a member, then the City Council which appointed such Board member shall appoint a successor to fill the unexpired term. In the event of a vacancy created by resignation, death or otherwise, the vacancy shall be filled in the same manner as original appointments were made, and such vacancy shall be filled only for the unexpired term.

All appointments to the Board, with the exception of the member at large, shall be made no later than December 31, 2002. The Board shall meet by no later than January 15, 2003, at which time the Board shall select its member at large and shall elect a Chairperson, Vice Chairperson and Secretary-Treasurer from among its members. Such elections shall take place annually and in each succeeding year the Chairperson and Vice Chairperson shall be rotated between appointments made by the City of Marceline and the City of Brookfield. The Chairperson shall preside over all Board meetings and the Secretary-Treasurer shall be responsible for keeping minutes of all meetings and shall record and file all papers or documents incident to the business of the Board as may be necessary.

The Board shall meet as often as necessary to conduct its business; however, such meetings shall occur at least once each month. All Board meetings shall be held in strict compliance with Chapter 610, RSMo., and the minutes of said meetings shall be made available to the City Councils no later than seven (7) calendar days following the Board meeting.

A quorum shall consist of six (6) Board members. No business of the Board shall have effect unless a quorum shall be in attendance, provided that all decisions made by the Board shall be determined by a majority vote of members in attendance.

The Board shall be responsible for preparing all bylaws, rules and regulations as may be required to fulfill its responsibilities in managing and governing the airport. Said bylaws, rules and regulations shall be submitted for approval to the City Councils by no later than March 15, 2003. Any subsequent amendments or revisions to said bylaws, rules or regulations must be approved by the City Councils prior to taking effect.

The North Central Missouri Regional Airport Board shall operate on an annual budget approved and funded equally by both the City of Marceline and the City of Brookfield. For the period of December 1, 2002 through October 31, 2003, the amount of budgeted funding shall be determined jointly by the City Councils. Thereafter, the Board shall submit for approval to both City Councils a proposed operating budget for the following twelve-month period. Said operating budget shall be submitted by no later than the first day of August of each succeeding year and shall be considered as a recommended budget for approval by both City Councils. The City Councils shall reserve the right and authority, jointly, to approve said recommended annual budget or revise said annual budget as may be deemed appropriate or necessary. In order to facilitate review and approval of the annual budget, the Board shall provide each City Council an accounting of expenses and costs each month in an accounting format approved by both City Councils.
