ARTICLES OF INCORPORATION OF CENTRAL AND WESTERN
CHESTER

COUNTY INDUSTRIAL DEVELOPMENT AUTHORITY

In accordance with the requirements
of the Industrial and Commercial Development Authority Law, approved
the 23rd day of August 1967, A.D.(Act No. 102), 73 P.S. § 371
et seq., the undersigned, constituting in each case the governmental
body of the municipality indicated, acting severally as well as jointly
in association with each of the other governmental bodies for the
purposes set forth in the Industrial and Commercial Development Authority
Law, and desiring that they may be incorporated and that a Certificate
of Incorporation may be issued to them and their and each of their
successors according to law, do hereby certify that:

The name of the Authority shall be the "Central
and Western Chester County Industrial Development Authority."

2.
|
The Authority is formed under the Industrial
and Commercial Development Authority Law,"approved the 23rd day of
August 1967 (Act No. 102).

3.
|
Caln Township, the City of Coatesville, the
Borough of Parkesburg, Sadsbury Township, Valley Township and West
Sadsbury Township, all in Chester County, Pennsylvania, each acting
on its own behalf, as well as jointly in conjunction with the others,
are the incorporating municipalities. Joinder of additional Chester
County municipalities is encouraged, such joinder to be effected by
amendment of these Articles of Incorporation, with the approval of
the then members of the Authority.

The following are the names, addresses and official
positions of the members of the respective governmental bodies of
the incorporating municipalities.[1]

The governing body of the Authority shall be
a Board comprised at all times of not fewer than six (6) members.
|
Each governmental body of the incorporating
municipalities and the governmental body of any municipality hereafter
becoming a member of the Authority shall have the right to designate
and to be represented at all times by two (2) members of the Board
of the Authority. The names, addresses and the initial terms of office
computed from January 1, 1969, of the first members of the Board of
the Authority, as designated by the governmental bodies of the incorporating
municipalities, are as follows, all of whom reside in and are citizens
of Pennsylvania.[2]

The Authority shall exist for a term of fifty
(50) years, in accordance with the Industrial and Commercial Development
Authority Law, approved August 23, 1967 (Act No. 102). These Articles
of Incorporation have been executed by the governmental bodies of
the incorporating municipalities, by their proper officers and under
their respective municipal seals.

All projects approved by the Authority shall
provide for annual payments by the lessee to the Authority, in addition
to any other payments which may be required, of an amount equivalent
to the real estate taxes assessable against the property and improvements
leased for the use of the respective taxing authorities in which said
property and improvements are located in the same proportion to the
real estate taxes levied by each of them.
