There is hereby created a Lexington Tourism Commission with
the powers and duties as hereinafter set forth.

The purpose of the Lexington Tourism Commission is to increase
visitors to Lexington.

A. Composition. The Tourism Commission shall be comprised of five (5)
persons, who shall be citizens of Lexington, or non-residents owning
or operating businesses in Lexington. Up to three (3) citizens may
participate as advisors to the Commission without limitations of meeting
citizens' comment participation. Advisors are non-voting participants.
The Mayor, with the approval of the City Council, shall appoint such
members. The Mayor shall also appoint a member of the City Council
to serve as an ex officio, non-voting member of the Tourism Commission.
B. Term. Terms of membership shall be for three (3) years. The terms
shall be staggered so that no more than two (2) members are appointed
in any one (1) year. The members shall not serve more than two (2)
complete terms consecutively; however, they may be reappointed after
a one-year absence.
C. Removal. Any Commission member may be removed upon the discretion
of the Council, for cause stated in writing.
D. Resignation. Commission members may resign at any time by giving
written notice. Written notice delivered via mail, email or in person
shall be effective upon delivery unless otherwise provided in the
notice of resignation. Upon acceptance of the resignation by the Commission,
the City Council will be presented the name of a replacement for its
approval.
E. Vacancies. The Commission will make recommendations to the Mayor
for presentation to the City Council for approval. The appointment
will be for the unexpired term. An unexpired term of more than eighteen
(18) months to which a member is appointed shall be considered a complete
term.

A. Officers. The officers will be designated as Chairman, Assistant
Chairman, Treasurer and Secretary and will be elected by and from
the Tourism Commission at the first meeting of each fiscal year.
B. Term. Each officer shall not serve more than two (2) terms consecutively
in one (1) office.
C. Duties Of The Chairman. The Chairman shall have the responsibility
of presiding at all meetings of the Commission, to preserve order
and enforce the rules thereof, and have the general supervision of
the interest, the growth and development of the Tourism Commission
and to perform such other duties as are incident to the office. The
Chairman shall appoint committees as they are deemed necessary and
shall be an ex officio of all committees. The Chairman will sign all
documents that require signature to make them valid.
D. Duties Of The Assistant Chairman. The Assistant Chairman shall, in
the absence of the Chairman, or in the event of the Chairman's
disability, perform all duties of that office.
E. Duties Of Treasurer. The Treasurer shall receive and have custody
of all funds, keeping accurate account of all receipts and disbursements,
rendering a monthly account to the Tourism Commission, and a yearly
account at the first meeting of each fiscal year. The Treasurer shall
submit a copy of the monthly report to the City Council. The Treasurer
shall submit all accounting records to the City Clerk for audit purposes
at the end of each fiscal year.
F. Duties Of Secretary. The Secretary shall take minutes of each meeting.
Be responsible for publication and distribution of copies of the minutes,
reports, and decisions to the members of the Commission. Give notice
as provided herein by law for all public hearings conducted by the
Commission. Prepare and submit to the Council a complete record of
proceedings before the Tourism Commission on any manner requiring
Council consideration. Submit minutes to City Hall for the permanent
file. The Secretary may delegate performance of any or all of these
specific duties to the part-time assistant to the Commission.
G. Part-Time Assistant To The Commission. The Commission shall determine
the appropriate candidate for the position and make recommendations
to the City Council for approval. The part-time assistant to the Commission
shall be responsible for carrying out the decisions of the Commission.
Shall manage priority projects designated by the Commission. Shall
handle correspondence and general office duties. Shall keep accurate
office records and accounts. Shall deposit any funds received in such
banks as may be designated by the Commission without delay and provide
the Treasurer with current records of any financial transactions and
invoices in need of payment. The Commission may authorize any employee
to enter into any contract, or to execute and deliver any instrument
in the name of and on behalf of the Commission, and such authorization
may be general or confined to specific instances. The principal office
for the Commission shall be determined by the Commission. The Commission
shall determine the conditions of compensation and type of employment
of the part-time assistant to the Commission. If for any reason their
tenure is terminated, the part-time assistant to the Commission must
surrender all properties of the Commission and make final accounting
of all matters pertaining to the Commission prior to being relieved
of their responsibilities.
H. Compensation. The members of the Commission shall serve without compensation,
but shall be entitled to reimbursement for their actual and necessary
expenses incurred in the performance of their duties. Reimbursement
for mileage shall be at the then-current standard mileage rate for
business established by the Internal Revenue Service.
I. Intellectual Property Rights. All items of a tangible nature, including,
and without limitation, all brochures, maps, pamphlets, advertisements,
slogans, logos, computer programs, lists of potential visitors, or
other work products which are produced, compiled, edited, arranged,
designed, or authored by any employee or independent contractor of
the Commission shall always be considered and remain the sole property
of the City of Lexington. This provision shall be included in all
employment contracts and all its contracts with independent contractors.

The fiscal year of the Tourism Commission shall begin on the
first day of April and end on the last day of March of each year.

A quorum consists of three (3) members of the appointed body
of the Commission. All decisions or actions of the Tourism Commission
shall be made by a majority vote of those members present and voting
at any meeting where a quorum exists. No member shall vote on any
matter that may materially or apparently be considered a conflict
of interest.

A. The Commission shall meet at least nine (9) times during the year.
The date, time and place of the meeting shall be posted at City Hall
forty-eight (48) hours in advance. Special meetings may be held as
often as necessary at the call of the Chairman or by a quorum of the
Commission members.
B. All business shall be conducted by parliamentary law with Robert's
Rules of Order, Revised, being the authority.
C. Electronic Participation In Meetings. To the extent allowable by
law, the members, or any committee of the Commission, may conduct
any regular or special meeting by the use of any electronic means
of communication, provided all participants may simultaneously hear
each other during the meeting, and/or all communication during the
meeting is transmitted to each participating member, and each participating
member is able to communicate with all other participating members.
A member participating in a meeting by any means pursuant to this
Section shall be deemed to be present at the meeting.

The Chairman shall establish such committees as deemed necessary
and proper to carry out the purpose and policies of the Tourism Commission.
The Chairman, with approval of the Commission, shall appoint or withdraw
the committee members who are to serve on said committees.

This Chapter may be altered, amended or repealed by action of
two-thirds (2/3) majority vote of the members appointed. The proposed
changes will be submitted to City Council for approval.
