A. There is created pursuant to Section 99.820.2, RSMo. of the Act, a commission, to be known as the "Tax Increment Financing
Commission of Hallsville, Missouri," hereafter referred to as the
"Commission." The Commission shall have continuous existence unless
and until terminated by the adoption of an ordinance of the Board
of Aldermen of the City of Hallsville, terminating it.

The Commission shall be composed of eleven (11) members, to
be appointed as follows:
a.
Two (2) members shall be appointed by the Hallsville R-IV School
Board. The manner of selection of the members is left to the discretion
of the members of the Board.
b.
Six (6) members shall be appointed by the Mayor of the City
of Hallsville, with the consent of the majority of the Board of Aldermen.
c.
One (1) member shall be appointed in any manner agreed upon
by all other affected taxing entities, to represent those taxing entities.
d.
Two (2) members shall be appointed by the Presiding Commissioner
of Boone County, Missouri, with the consent of the majority of the
County Commission.
e.
If any school district or other taxing jurisdiction falls to
appoint members of the Commission within thirty (30) days of receipt
of written notice, the remaining members may proceed to exercise the
powers of the Commission.

The Commission, upon appointment of the six (6) members by the
Mayor with the consent of the Board of Aldermen, shall organize itself
and elect from its number a chairman, vice chairman, treasurer and
secretary. These elected positions shall serve for a one-year term
or until their successors are elected.
a.
Terms Of Members Appointed By Mayor.
(1) With regard to the six (6) appointments made by
the Mayor with the consent of the Board of Aldermen, the terms shall
be set as follows:
(a) Two (2) shall be designated to serve for terms
of two (2) years.
(b) Two (2) shall be designated to serve for terms
of three (3) years.
(c) Two (2) shall be designated to serve for terms
of four (4) years.
(2) Thereafter, members appointed by the Mayor with
the consent of the Board of Aldermen shall serve for a term of four
(4) years and all vacancies shall be filled for unexpired terms in
the same manner as were the original appointments.
b.
The members who were appointed by the school board, the County
or other taxing districts shall serve on the Commission for a term
which coincides with the length of time such redevelopment project,
redevelopment plan and/or description of a redevelopment area is considered
for approval of the Commission and upon final approval by the Board
of Aldermen of the redevelopment project, the redevelopment plan or
designation of the redevelopment area, the terms of those members
affiliated with the school district, the County and other involved
taxing districts shall terminate. The Commission at this time will
revert to the six (6) members as appointed by the Mayor and approved
by the members of the Board of Aldermen.

The City authorizes the Commission to exercise all powers listed
under the Act, except for the final approval of plans, projects and
the designation of development areas.

The Commission shall not obligate the City to pay any expenses
in connection with its work without the prior consent of the City.

The Commission shall meet regularly and shall adopt such rules
and regulations for operation so as to enable it to maintain an orderly
procedure for business and to effectively and efficiently exercise
the powers authorized by the Act and delegated to it by the Board
of Aldermen.

The Commission shall keep records and minutes of its meetings
and shall report no less than annually to the Board of Aldermen with
regard to its activities.
