There is hereby established an executive department of the Town
of Carrollton, Missouri, pursuant to Section 91.450, RSMo., 1969,
which is known as the "Carrollton Municipal Utility Board." This Board
shall consist of four (4) members, all of whom are electors of the
Town.

A. The
members of the Carrollton Municipal Utilities Board shall be appointed
by the Mayor and affirmed by the Town Council. They shall each serve
for a period of four (4) years or until their successors are appointed
and qualified. No member shall serve more than two (2) consecutive
terms.
B. Vacancies
in the Board occasioned by removal, resignation, death, or otherwise,
shall be reported to the Council and be filled in like manner as original
appointments. Any person appointed by the Mayor to fill a vacancy
shall hold office for the remainder of the term to which his/her predecessor
was appointed. Any person appointed to fill a vacancy may, at the
expiration of the unexpired term appointment, be ed by the Mayor for
up to two (2) consecutive four-year terms, unless the expired term
filled was for one-half (1/2) or more of a term, in which case the
reappointment is limited to one (1) four-year term. After a person
has served his/her maximum permitted consecutive terms, then the person
may not be reappointed to the board until a full board term has expired.

The Carrollton Municipal Utilities Board shall have the power
and it shall be its duty to take charge of and exercise control of
any waterworks, gasworks, electric light and power plant, steam heating
plant or any other device or plant for furnishing light, power, or
heat, conduit system or any other public utility which may be owned
or acquired by the Town of Carrollton and shall enforce the performance
of all contracts and work and shall have charge and custody of all
books, property, and assets belonging to or appertaining to such plant
or plants. The said Board shall exercise such other powers and shall
perform such other duties in the superintendence of public works,
improvements, and repairs construed on the authority of the Council
of the Town of Carrollton or owned by the Town of Carrollton as may
be prescribed by ordinance. The Board shall make all necessary regulations
for the governance of the Carrollton Municipal Utilities department.
No regulations shall be inconsistent with the laws neither of the
State of Missouri nor with the Charter and Code of the Town of Carrollton.
The Board shall have the power to appoint a Chief Superintendent and
such subordinates, including engineers, inspectors, clerks, assistants
and others as may be necessary but the number of such additional employees
and the compensation of all appointments and employees of said Board
shall be determined by ordinance passed by the Town of Carrollton.

All bills of such Board and wages of its employees shall be
allowed and paid in the same manner as bills and wages as other officers
and employees of the Town of Carrollton are allowed and paid, unless
otherwise provided by ordinance.

It shall be the duty of the Carrollton Municipal Utilities Board
to keep books of account, showing with entire accuracy contemporaneous
current entries of the receipts and expenditures of said Board in
such a manner as to enable the same to be understood and investigated,
and also to preserve on file in its office duplicate vouchers for
all its expenditures, which books and duplicates shall at all times
be open to the examination of the members of the Council of the Town
of Carrollton. The Carrollton Municipal Utilities Board shall make
a monthly report of its business and transactions to the Mayor and
the Council of the Town of Carrollton at the first regularly scheduled
meeting of the Town Council of each month. The Carrollton Municipal
Utilities Board shall let all work, purchase all materials and supplies
by contract, except in such cases where it is determined by the Board
that it is not practicable to do such work or purchase such materials
and supplies by contract. All contracts entered into by the Board
or any member or any employee thereof shall be submitted to the Town
Council for approval.

The assessment and collection of rates for water, electric power,
electric lights or for any power or service of any plant or works
which the Town of Carrollton may own or operate shall be under the
exercise, control, and supervision of the Carrollton Municipal Utilities
Board subject to approval by the Council of the Town of Carrollton.

The said Carrollton Municipal Utilities Board shall hold meetings
twice monthly at their offices at a time and date determined by a
majority vote of the Board. Special meetings may be held upon call
of the President.

At the first meeting in October of each year, the members of
the Board shall select what officers it shall deem necessary; provided,
however, that no member of the Board may hold more than one (1) of
such offices at one (1) time. Three (3) members of the Board shall
constitute a quorum.
