The annual consideration or rent paid by the New Milford Swim
Club, Inc. (hereinafter "Lessee") to the Borough of New Milford (hereinafter
"Borough") is $1,000 per year, commencing on September 1 of every
year during the term stated below. In addition the Lessee will pay
all taxes and assessments levied on said property, paid quarterly,
on the date when all other taxes are due by all other owners of property
located within the Borough.

The Lessee is the New Milford Swim Club, Inc. of 930 River Road,
New Milford, New Jersey.

The public purposes served by said lease include but are not
limited to providing a clean and safe environment for its members
to enjoy recreational swimming, to have instruction in the discipline
of swimming, lifesaving, water ballet, first aid and lifesaving, to
maintain a swim team, water ballet team and diving team, to provide
supervised social events for members of the Lessee and their guests.

The number of persons benefiting from the lease vary from year
to year, depending upon the number of individuals, couples and families
registered, the number of members in each family and the number of
guests of members; the number of persons benefiting by this lease
is approximated at 2,500 persons.

The property that is the subject of said lease is identified
as lot 9 in block 17 of the tax map of the Borough of New Milford,
said map dated October 1958, said property constitutes approximately
11.44 acres as indicated on a survey prepared by Fraleigh & Schwanewede,
Professional Engineers, said survey dated December, 1959.

The term of said lease is 25 years commencing on September 1,
1994 and terminating on September 1, 2019.

The Borough Administrator of the Borough of New Milford is responsible
for the enforcement of the terms of the lease.

The Lessee will make an annual submission of a report which
will state the following: the use of leasehold; the activities of
the Lessee; the approximate cost of said activities; and an affirmation
of the continued tax-exempt status of the Lessee, according to State
and Federal law.
