This section shall be known and may be cited as the "Five-Year Tax Exemption Ordinance."

The Five-Year Exemption and Abatement Law, N.J.S.A. 40A:21-1, et seq., permits municipalities to grant for a period of five years, exemptions or abatements, or both from taxation in areas in need of rehabilitation pursuant to the procedures established in N.J.S.A. 40A:21-1, et seq., for residential, commercial and industrial structures. The need to encourage rehabilitation and redevelopment in New Jersey has been determined and recognized by the New Jersey Constitution, Article VIII, Section 1, paragraph 6. The City Council of the City of Bayonne hereby determines that the interest of the City and its residents is served by encouraging the renovation and rehabilitation of existing residential, industrial and commercial structures and by encouraging the construction of new residential, industrial and commercial structures by utilizing the provisions of State law with respect to tax exemption.

All prior ordinances or parts of prior ordinances inconsistent with this section are hereby repealed as of December 31, 2014, provided however, that exemptions granted or tax agreements entered into under such prior or inconsistent ordinances prior to December 31, 2019, shall remain in effect until their expiration date under those prior ordinances. Any applications for exemptions allowed under this section which are filed after the December 31, 2019, expiration of the prior ordinance but prior to the effective date of this section shall be eligible for approval in accordance with the provisions of this section notwithstanding that they were filed prior to said effective date.[1]

As used in this section, the following terms shall have the meanings indicated:
a. 
AREA IN NEED OF REHABILITATION – Shall mean the entirety of the City of Bayonne which has been determined to be an area in need of rehabilitation pursuant to the Local Redevelopment and Housing Law (N.J.S.A. 40A:12A-1 et seq.), a "blighted area" as determined pursuant to the "Blighted Areas Act," P.L. 1949, c.187 (C.40:55-21.1 et seq.), or which has been determined to be in need of rehabilitation pursuant to P.L. 1975, c.104 (C.54:4-3.72 et seq.), P.L. 1977, c.12 (C.54:4-3.95 et seq.), or P.L. 1979, c.233 (C.54:4-3.121 et seq.).
b. 
ASSESSOR – Shall mean the Tax Assessor of the City of Bayonne who is charged with the duty of assessing real property for the purpose of general taxation.
c. 
BUSINESS ADMINISTRATOR – Shall mean the Business Administrator of the City.
d. 
CITY – Shall mean the City of Bayonne, in the County of Hudson, State of New Jersey.
e. 
CITY ATTORNEY – Shall mean the legal counsel for the City.
f. 
CITY COUNCIL – Shall mean the Municipal Council of the City.
g. 
CHIEF FINANCIAL OFFICER – Shall mean the Chief Financial or Fiscal Officer of the City.
h. 
CLERK – Shall mean the Municipal Clerk of the City.
i. 
COMMERCIAL OR INDUSTRIAL STRUCTURE – Shall mean a structure or part thereof used for the manufacturing, processing or assembling of material or manufactured products, or for research, office, industrial, commercial, retail, recreational, hotel or motel facilities, or warehousing purposes, or for any combination thereof, which the Governing Body determines will tend to maintain or provide gainful employment within the municipality, assist in the economic development of the municipality, maintain or increase the tax base of the municipality and maintain or diversify and expand commerce within the municipality. It shall not include any structure or part thereof used or to be used by any business relocated from another qualifying municipality unless: the total square footage of the floor area of the structure or part thereof used or to be used by the business at the new site together with the total square footage of the land used or to be used by the business at the new site exceeds the total square footage of that utilized by the business at its current site of operations by at least 10%; and the property that the business is relocating to has been the subject of a remedial action plan costing in excess of $250,000 performed pursuant to an administrative consent order entered into pursuant to authority vested in the Commissioner of Environmental Protection under P.L. 1970, c.33 (C.13:1D-1 et seq.), the "Water Pollution Control Act," P.L. 1977, c.74 (C.58:10A-1 et seq.), the "Solid Waste Management Act," P.L. 1970, c.39 (C.13:1E-1 et seq.), and the "Spill Compensation and Control Act," P.L. 1976, c.141 (C.58:10-23.11 et seq.).
j. 
COMPLETION – Shall mean substantially ready for the intended use for which a building or structure is constructed, improved or converted as evidenced by the earliest certificate of occupancy, temporary certificate of occupancy or certificate of approval issued by the City Bureau of Building or the State of New Jersey with respect to allowing such intended use or an earlier determination by the City Tax Assessor that the property is substantially ready for its intended use or actually in such use but has not obtained a temporary or final certificate of occupancy.
k. 
CONDOMINIUM – Shall mean a property created or recorded as a condominium pursuant to the Condominium Act (N.J.S.A. 46:8B-1 et seq.).
l. 
CONSTRUCTION – Shall mean the provision of a new dwelling, or commercial or industrial structure, or the enlargement of the volume of an existing dwelling or commercial or industrial structure by more than 30%, but shall not mean the conversion of an existing building or structure to another use.
m. 
COOPERATIVE – Shall mean a housing corporation or association, wherein the holder of a share or membership interest thereof is entitled to possess and occupy for dwelling purposes a house, apartment or other unit of housing owned by the corporation or association or to purchase a unit of housing owned by the corporation or association.
n. 
COST – Shall mean, when used with respect to abatements for dwellings, only the cost or fair market value of direct labor and materials used in improving a dwelling, or of converting another building or structure to a dwelling, or of constructing a dwelling, including any architectural, engineering, and contractor's fees associated therewith, as the owner of the property shall cause to be certified to the Tax Assessor body by an independent and qualified architect, following the completion of the project.
o. 
DWELLING – Shall mean a building or part of a building used, to be used or held for use as a home or residence, including accessory buildings located on the same premises, together with the land upon which such building or buildings are erected and which may be necessary for the fair enjoyment thereof, but shall not mean any building or part of a building, defined as a multiple dwelling pursuant to the Hotel and Multiple Dwelling Law, (N.J.S.A. 55:13A-1 et seq.). A "dwelling" shall include, as they are separately conveyed to individual owners, individual residences within a cooperative, if purchased separately by the occupants thereof, and individual residences within a horizontal property regime or a condominium, but shall not include general common elements of such horizontal property regime or condominium as defined pursuant to the Horizontal Property Act (N.J.S.A. 46:8A-1 et seq.), or the Condominium Act (N.J.S.A. 46:8B-1 et seq.), or of a cooperative, if the residential units are owned separately.
p. 
EXEMPTION – Shall mean that portion of the assessor's full and true value of any improvement not regarded as increasing the taxable value of a property pursuant to this section.
q. 
HORIZONTAL PROPERTY REGIME – Shall mean a property submitted to a horizontal property regime pursuant to the Horizontal Property Act (N.J.S.A. 46:8A-1 et seq.).
r. 
IMPROVEMENT – Shall mean a modernization, rehabilitation, renovation, alteration or repair which produces a physical change in an existing dwelling that improves the safety, sanitation, decency or attractiveness of the building or structure as a place for human habitation or work, and which does not change the permitted use. In no case shall it include the repair of fire or other damage to a property for which payment of a claim was received by any person from an insurance company at any time during the three-year period immediately preceding the filing of any application pursuant to this section. In the case of a commercial or industrial structure, it shall not include ordinary painting, repairs and replacement of maintenance items, or an enlargement of the volume of an existing structure by more than 30%. In no case shall it include the repair of fire or other damage to a property for which payment of a claim was received by any person from an insurance company at any time during the three-year period immediately preceding the filing of an application pursuant to this act.
s. 
MULTIPLE DWELLING – Shall mean a building or structure meeting the definition of "multiple dwelling" set forth in the "Hotel and Multiple Dwelling Law," P.L. 1967, c.76 (C.55:13A-1 et seq.), and means for the purpose of improvement or construction the "general common elements" and "common elements" of a condominium, a cooperative, or a horizontal property regime.
t. 
TAX AGREEMENT – Shall mean an agreement for exemption for projects and the payments to be made in lieu of taxes as required pursuant to the terms of this section.
u. 
TAX ASSESSOR – Shall mean the Tax Assessor for the City of Bayonne.
v. 
TAX COLLECTOR – Shall mean the Tax Collector of the City.

a. 
This section may be amended from time to time. An amendment shall not affect any exemption previously granted and in force prior to the amendment.
b. 
Application for exemption from taxation may be filed pursuant to this section so adopted to take initial effect for 2021, the first full tax year commencing after the tax year in which this section is adopted, and for tax years thereafter as set forth in N.J.S.A. 40A:21-1 et seq. No application for exemption shall be filed for exemptions to take initial effect for the full tax year beginning five years from the date of the passage of this section or any tax year occurring thereafter, unless this section is readopted by the Governing Body pursuant to N.J.S.A. 40A:21-4.

There may be granted, pursuant to this section the exemption from taxation of various types of newly constructed dwellings including conversion of buildings previously used for nonresidential use and unutilized public buildings converted to residential use.

a. 
Pursuant to N.J.S.A. 40A:21-16, application for an exemption on new construction or a one or two unit dwelling or the conversion of nonresidential property to condominiums or one or two unit dwellings must be filed with the Tax Assessor for the City of Bayonne within 30 days, including Saturdays and Sundays, following the completion of the improvement, conversion or construction. Applications filed more than 30 days after completion as defined in this section shall be denied.
b. 
The aforesaid application to the Assessor must be made on a fully completed form of exemption application as prescribed by the Director of the New Jersey Division of Taxation in the Department of Treasury, copies of which shall be available at the office of the Tax Assessor.
c. 
The Assessor's Office shall review applications that are timely submitted under this section and approve those that meet all the qualifying conditions of this section and deny those that do not.
d. 
Qualifying conditions, include, but are not limited to, full payment of any and all real estate taxes on the property for which the exemption is sought, property being of the type and use specified in this section, compliance of the project with all applicable laws and regulations, building and safety codes and timely filing of the completed application.
e. 
The Tax Assessor's office shall, within 30 days of receipt of the application, notify the applicant of whether or not the application was approved or denied by regular mail using the mailing address provided on the application. If the application is denied, the reason(s) for that denial shall also be provided.

Pursuant to N.J.S.A. 40A:21-5(c), upon approval of the exemption application noted above, the City shall regard 30% of the Assessor's full and true value of the new dwelling constructed or the increase in value associated with the conversion made as not increasing the value of the property upon which the construction or conversion occurs. 30% of the increase in the Assessor's full and true value of the dwelling constructed or the increase in value occasioned by the conversion made shall be regarded as not increasing the value of the property for five years. The exemption shall be on the "increase" in value, if any to the improvement. The land on which the new construction or conversion sits is not subject to the exemption. In the case of a conversion, the value of the improvement prior to the conversion is also not subject to the exemption. In no case shall the assessed value of the completed project be less than the assessed value prior to the start of the project.

Applications for tax agreements involving the new construction of commercial or industrial projects or multiple dwellings shall be filed with the City Business Administrator for initial review and shall be subject to approval or denied by Ordinance of the Bayonne City Council.

The application shall include the following:
a. 
A general description of the project for which an exemption is sought;
b. 
A legal description of all real estate necessary for the project;
c. 
Plans, drawings and other documents to demonstrate the structure and design of the project;
d. 
A description of the number, classes and type of employees to be employed at the project site within two years of completion of the project;
e. 
A statement of the reasons for seeking tax exemption on the project, and a description of the benefits to be realized by the applicant if an exemption is granted;
f. 
Estimates of the cost of constructing the project;
g. 
A statement indicating which of the formulas the applicant proposes to be used to calculate the payments in lieu of full property taxes, as authorized by Section 10 of the Act (N.J.S.A. 40A:21-10);
h. 
A statement showing (1) the real property taxes currently being assessed at the project site; (2) estimated payments that would be made annually by the applicant on the project during the period of the tax agreement, and (3) estimated tax payments that would be made by the applicant on the project during the first full year following the termination of the tax agreement;
i. 
A description of the number and types of dwelling units to be provided, a description of the common elements or general common elements, and a statement of the proposed initial rentals or sales prices of the dwelling units according to type and of any rental lease or resale restrictions to apply to any dwelling units respecting low or moderate income housing;
j. 
A schedule of the estimated completion date of the project; and
k. 
Such other pertinent information as may be required by the City.

In addition to approval by the Municipal Council, all five-year exemption agreements involving the new construction of commercial or industrial projects or multiple dwellings also require, pursuant to N.J.S.A. 40A:21-16, the timely filing of a fully completed form of exemption application as prescribed by the Director of the New Jersey Division of Taxation in the Department of Treasury with the Tax Assessor for the City of Bayonne within 30 days, including Saturdays and Sundays, following the completion of the improvement, conversion or construction. With the exception of those applications filed for properties completed, as defined in this section, between December 2, 2019, and the effective date of this section, applications filed more than 30 days after completion as defined in this section shall be denied. Applications for properties completed, as defined in this ordinance, between December 2, 2019, and the effective date of this section must, however, be filed within 30 days of the effective date of this section. Failing that, said application will be denied. Copies of the State form shall be available at the office of the Tax Assessor.

Upon receipt of an application, the Business Administrator shall conduct a complete review of the proposed project and/or subject property. The review shall take into consideration the property and appropriateness and adequacy of the description(s), plan(s) and estimate(s) submitted, the degree to which the project and/or property complies with the City's development goals as expressed in the master plan, zoning ordinance, redevelopment plans and rehabilitation plans, as applicable, as well as a financial review of the application including a cost and benefit analysis of the proposed project subject to the application.
In those cases where the Business Administrator deems appropriate, he may, prior to making a recommendation to approve or deny a given application, afford the applicant the opportunity to correct deficiencies in the application or negotiate modifications in the proposal which the Business Administrator deems favorable to the City of Bayonne.
In those cases where the Business Administrator recommends the denial of an application he shall provide the Mayor and City Council a copy of the application and his recommendation of denial. In such case the City Council shall have no obligation to move, act upon or consider the application further.
In those cases where the Business Administrator recommends approval of the application to the Mayor and City Council, he shall with the Mayor's approval, forward that recommendation to the City Attorney who shall have his office and that of the City Clerk prepare a proposed tax agreement and an ordinance to effectuate the exemption for presentation to the City Council.
The applicant shall be notified of any recommendation by the Business Administrator to approve or deny the application. In no event shall the passage of time or failure to provide the applicant notice of the Business Administrator's recommendation be taken as a recommendation of approval or an obligation for the municipal council to act. In those cases where the Business Administrator does not recommend or deny an application within 120 days of its completed submission, the application shall be considered denied.

Any tax agreement presented to the Municipal Council under this section shall include the identification of the affected property by the tax map designation and street address, the nature and scope of the structure to be constructed thereon, the formula for computing payments in lieu of taxes, the duration of the Agreement and the grounds for termination. The tax agreement shall require timely payment of any and all municipal taxes, fees and charges arising from or related to a property granted an exemption.
The tax agreement shall in all cases further provide that any change made in the ownership of the project or which would materially change the terms of the tax agreement shall be deemed a material breach of the agreement, which shall be cause for termination of the tax agreement. The tax agreement shall provide that the failure to make payments in lieu of taxes as required or to comply with any provision, term or condition of the agreement shall be grounds for the City to terminate the tax agreement, and/or to exercise such other remedies as may be provided by statute, this section or the tax agreement.

All owners of projects subject to exemption pursuant to the approval and execution of a tax agreement shall be charged and obligated to make payments in lieu of full property taxes of an annual amount computed by one of the formulas authorized by N.J.S.A. 40A:21-10, as follows:
a. 
Cost Basis: The agreement may provide for the applicant to pay to the municipality in lieu of full property tax payments an amount equal to 2% of the cost of the project. For the purposes of the agreement, "the cost of the project" means only the cost or fair market value of direct labor and all materials used in the construction, expansion, or rehabilitation of all buildings, structures, and facilities at the project site, including the costs, if any, of land acquisition and land preparation, provision of access roads, utilities, drainage facilities, and parking facilities, together with architectural, engineering, legal, surveying, testing, and contractors' fees associated with the project; which the applicant shall cause to be certified and verified to the Governing Body by an independent and qualified architect, following the completion of the project.
b. 
Gross Revenue Basis: The agreement may provide for the applicant to pay to the municipality in lieu of full property tax payments an amount annually equal to 15% of the annual gross revenues from the project. For the purposes of the agreement, "annual gross revenues" means the total annual gross rental and other income payable to the owner of the project from the project. If in any leasing, any real estate taxes or assessments on property included in the project, any premiums for fire or other insurance on or concerning property included in the project, or any operating or maintenance expenses ordinarily paid by the landlord, are to be paid by the tenant, then those payments shall be computed and deemed to be part of the rent and shall be included in the annual gross revenue. The tax agreement shall establish the method of computing the revenues and may establish a method of arbitration by which either the landlord or tenant may dispute the amount of payments so included in the annual gross revenue.
c. 
Tax Phase-In Basis: The agreement may provide for the applicant to pay to the municipality in lieu of full property tax payments an amount equal to a percentage of taxes otherwise due, according to the following schedule:
1. 
In the first full year after completion, no payment in lieu of taxes otherwise due;
2. 
In the second full year after completion, an amount not less than 20% of taxes otherwise due;
3. 
In the third full year after completion, an amount not less than 40% of taxes otherwise due;
4. 
In the fourth full year after completion, an amount not less than 60% of taxes otherwise due;
5. 
In the fifth full year after completion, an amount not less than 80% of taxes otherwise due.

Upon adoption of an ordinance by the City Council authorizing the City to enter into a tax agreement, the Clerk shall insure that the tax agreement is circulated to the appropriate persons or entities for execution. No tax agreement shall be considered to be in force and effect unless and until it has been signed by the applicant and the Mayor of the City, after which it shall be dated and certified by the Clerk by her/his signature and the affixing of the City seal.

Once a tax agreement has been fully executed, the Clerk shall distribute executed copies thereof to the applicant, the Assessor, the Construction Code Official, the Business Administrator and the City Attorney. The Clerk shall retain one executed copy which shall be placed on permanent file within her/his office and made available for examination pursuant to the Open Public Records Act (C. 47:1A-1 et seq.).

Within 30 days after the execution of a tax agreement the Bayonne City Clerk shall file a copy with the Director of the Division of Local Government Services within the New Jersey Department of Community Affairs.

In addition to approval by the Municipal Council, all exemptions require the timely filing of a fully completed form of exemption application as prescribed by the Director of the New Jersey Division of Taxation in the Department of Treasury with the Tax Assessor for the City of Bayonne within 30 days, including Saturdays and Sundays, following the completion of the improvement, conversion or construction. a. 
Duration of Tax Agreement. All tax agreements authorized pursuant to this section shall be in effect for five full years from the first day of the month next following the date of completion of the project, subject to the termination provisions below.
b. 
Early Termination. If during any tax year prior to the termination of the tax agreement, the property owner ceases to operate or disposes of the property, or fails to meet the conditions for qualifying, then the tax which would have otherwise been payable for each tax year shall become due and payable from the property owner as if no exemption and abatement had been granted. The Governing Body of the municipality shall notify the property owner and Tax Collector forthwith and the Tax Collector shall within 15 days thereof notify the owner of the property of the amount of taxes due.
However, with respect to the disposal of the property, where it is determined that the new owner of the property will continue to use the property pursuant to the conditions which qualified the property, no tax shall be due, the exemption and the abatement shall continue, and the agreement shall remain in effect.
c. 
At the termination of a tax agreement, a project shall be subject to all applicable real property taxes as provided by State law and regulation and local ordinance; but nothing herein shall prohibit a project, at the termination of an agreement, from qualifying for and receiving the full benefits of any other tax preferences provided by law.

Pursuant to N.J.S.A. 40A:21-13, the Tax Assessor shall determine, on October 1 of the year following the date of the completion of an improvement, conversion or construction, the true taxable value thereof. Except for projects subject to tax agreement, pursuant to sections 9 through 12 of P.L. 1991, c.441, the amount of tax to be paid for the tax year in which the project is completed shall be based on the assessed valuation of the property for the current tax year, minus the amount of the abatement, if any, allowed pursuant to this act and pro rated, plus any portion of the assessed valuation of the improvement, conversion or construction not allowed an exemption pursuant to this act, also pro rated. Subject to the provisions of the adopting ordinance, the property shall continue to be treated in the appropriate manner for each of the four tax years subsequent to the original determination by the assessor and shall be pro rated for the final tax year in which the exemption or abatement expires.

No exemption shall be granted, or tax agreement entered into, pursuant to this section with respect to any property for which property taxes are delinquent or remain unpaid, or for which penalties for nonpayment of taxes are due.

To the extent provided by law, the exemption of real property taxes provided by the City pursuant to this section shall apply to property taxes levied for municipal purposes, school purposes, County government purposes and for the purposes of funding any other property tax exemptions.

The City shall include a notice in the mailing of the annual property tax bills to each owner of the properties where exemptions are authorized pursuant to this section, advising such property owners of same before the end of the first year following adoption of this section.[1]

Any property granted an exemption pursuant to this section shall be subject to an inspection by the City on an annual basis to ensure that the property is in compliance with all applicable ordinances, regulations and codes of the City. Refusal to grant access for this purpose shall be cause for the termination of any exemption. Any project which is determined to be in violation of any ordinance, regulation or code governing health and safety standards, shall be subject to penalties and fines, as applicable, or any other remedial action permitted by State Statute, including termination of the tax agreement.

If any provision of this section is legally invalid or is hereafter found to be legally invalid, the remainder of the section shall remain in full force and effect.

Nothing contained in this section shall be so construed as to limit or deprive the City of any rights or privileges which are now or in the future conferred on the City by State Statute or Federal laws.

Pursuant to N.J.S.A. 40A:21-21 the Governing Body shall, on or before October 1 of each year, to the Director of the Division of Local Government Services in the Department of Community Affairs and to the Director of the Division of Taxation in the Department of the Treasury the total amount of real property taxes exempted and the total amount abated within the municipality in the current tax year for each of the following:
a. 
Improvements of dwellings;
b. 
Construction of dwellings;
c. 
Improvements and conversions of multiple dwellings;
d. 
Improvements of commercial or industrial structures;
e. 
Construction of multiple dwellings under tax agreements; and
f. 
Construction of commercial or industrial structures under tax agreements.
In the case of paragraphs e and f above, the report shall state instead the total amount of payments made in lieu of taxes according to each formula utilized by the municipality, and the difference between that total amount and the total amount of real property taxes which would have been paid on the project had the tax agreement not been in effect, for the current tax year.

The Municipal Council of the City of Bayonne hereby finds:
a. 
The central business district is an integral and vital economic and social force in the City of Bayonne.
b. 
Pursuant to N.J.S.A. 40:56-65 et seq., it is hereby determined that to designate an area as a specific town center and to establish a corporation to assist in its management is in the best interest of the City of Bayonne and its residents for promoting economic growth and employment within the area.

Creation. There is hereby created and designated within the City of Bayonne a special improvement district known as the Town Center and hereinafter designated by street address and tax lot and block number in Appendix A attached hereto.
b. 
Assessment. A special assessment shall be imposed and collected by the City of Bayonne with the regular property tax payment or payment in lieu of taxes, or otherwise and as hereafter designated by the Municipal Council, on all retail, commercial and professional occupants, tenants and owners within the Town Center. This assessment shall not apply to residential occupants, tenants or owners within the Town Center. All or not less than 98% of those payments shall be transferred to the Bayonne Urban Enterprise Zone Redevelopment Corporation to effectuate the purpose of this section and to exercise the power given to it as hereinafter set forth. The assessment shall be financed and assessed to properties especially benefited hereby as provided generally by N.J.S.A. 40:56-1 et seq.
All retail, commercial and professional occupants, tenants and owners within the Town Center shall be subject to an assessment. The formula of the assessment will be based upon a surcharge of present property assessment, and will be derived at the discretion of the Bayonne Urban Enterprise Zone Redevelopment Corporation's Board of Directors with the approval of the majority of voting corporate members. No property shall incur a dual assessment.
The monies derived from the special annual assessment will be used to provide services peculiar to the Town Center and are distinguished from services normally provided by the City within and outside of the center. They will provide benefits primarily to the property included in the Town Center rather than the City as a whole.
c. 
Expansion. The special improvement district known as the Town Center, originally encompassing those properties set forth within Appendix A, was expanded to include those properties designated by street address and tax lot and block number in Appendix B, dated March 22, 2000.[1]

a. 
Designation of Governing Entity. The Bayonne Urban Enterprise Zone Redevelopment Corporation, a NJ nonprofit corporation created pursuant to the provisions of Title 15 of the Revised Statutes of the State of New Jersey and subsection 10-3.3 of the Revised General Ordinances of the City of Bayonne, is hereby designated as the entity charged with management of the Special Improvement District in accordance with this section 10-2.
b. 
Powers. The Corporation shall have all of the powers, duties and responsibilities as provided for under the applicable laws of the State of New Jersey including, but not limited to the following powers:
1. 
Adopt bylaws for the regulations of its affairs and the conduct of its business and to prescribe rules, regulations and policies in connection with the performance of its functions and duties;
2. 
Employ such persons, as may be required, and fix and pay their compensation from funds available to it;
3. 
Apply for, accept, administer and comply with the requirements respecting an appropriation of funds or a gift, grant or donation of property or money;
4. 
Make and execute agreements which may be necessary or convenient to the exercise of its powers and functions including contracts with any person, firm, corporation, governmental agency other entity;
5. 
Borrow money from private lenders for periods not to exceed 180 days and governmental entities for the same or longer periods;
6. 
Fund the improvement of the exterior appearance of properties in the Town Center through grants or loans;
7. 
Fund the rehabilitation of properties in the Town Center;
8. 
Accept, purchase, rehabilitate, sell, lease or manage property in the Town Center;
9. 
Enforce the conditions of any loan, grant, sale or lease made by it;
10. 
Provide security, sanitation and other services to the Town Center, supplemental to those provided normally by the City of Bayonne;
11. 
Undertake improvements designed to increase the safety or attractiveness of the Town Center to businesses which may wish to locate there, or to visitors to the Town Center, including but not limited to litter, clean-up and control, landscaping, parking areas and facilities, recreational and rest areas and facilities, and those improvements generally permitted for pedestrian malls;
12. 
Publicize and promote the Town Center and the businesses within its boundaries;
13. 
Recruit new businesses to fill vacancies and to balance the business mix of the Town Center;
14. 
Organize and coordinate special events in the Town Center pursuant to pertinent regulations of the Municipal Council;
15. 
Provide special parking arrangements for the Town Center;
16. 
Provide and maintain decorative lighting and music for the Town Center; and
17. 
Administer and manage its own funds and accounts and pay its own obligations.

a. 
The Bayonne Urban Enterprise Zone Redevelopment Corporation shall submit a detailed annual budget for approval by resolution of the Municipal Council. The budget shall be submitted with a report which explains how the budget contributes to goals and objectives for the special improvement district.
b. 
The budget shall be introduced, approved, amended and adopted by resolution, passed by not less than a majority of the full membership of the Municipal Council. The procedure shall be as follows: introduction and approval, public advertising, public hearing, amendments and public hearing, if required, and adoption.
c. 
The budget shall be introduced in writing at a meeting of the Municipal Council. Approval therefor shall constitute a first reading, which may be by title. Upon the approval of the budget, the Municipal Council shall fix the time and place for the holding of a public hearing of the budget.
d. 
The budget shall be advertised after approval. The advertisement shall contain a copy of the budget and shall set forth the date, time and place of the hearing. It shall be published at least 10 days prior to the date fixed therefor in a newspaper published and circulating in the municipality, if there be one, and if not, in a newspaper published in the County and circulating in the City.
e. 
No budget shall be adopted until a public hearing has been held thereon and all persons having an interest therein shall have been given an opportunity to present objections. The hearing shall be held not less than 28 days after the approval of the budget. The public hearing shall be held at the time and place specified in the advertisement thereof, but may be adjourned from time to time until the hearing is closed.
f. 
The budget, as advertised, shall be read at the public hearing in full, or it may be read by its title if: (1) at least one week prior to the date of the hearing a complete copy of the approved budget as advertised shall be posted in a public place where the public notices are customarily posted in the municipal building, and also is made available to each person requesting same during that week and during the public hearing; and (2) the Municipal Council shall, by resolution passed by not less than a majority of its full membership, determine that the budget shall be read by its title and declared that the conditions set forth above have been met. After closing the hearing, the Municipal Council may adopt the budget by title without amendments, or may approve amendments as provided below before adoption.
g. 
The Municipal Council may amend the budget during or after the public hearing. No amendment by it shall be effective until taxpayers and all persons having an interest therein shall have been granted a public hearing thereon, if the amendment shall:
1. 
Add a new item in an amount in excess of 1% of the total amount as stated in the approved budget; or
2. 
Increase or decrease any item by more than 10%; or
3. 
Increase the amount to be raised pursuant to Section 16 of P.L. 1972, c. 134(c), unless the same is made pursuant to an emergency temporary appropriation only.
Notice of hearing on an amendment shall be advertised at least three days before the date set therefor. The amendment shall be published in full in the same manner as an original publication and shall be read in full at the hearing and before adoption.
h. 
Final adoption shall be by resolution, adopted by a majority of the full membership of the Municipal Council, and may be by title.

The Bayonne Urban Enterprise Zone Redevelopment Corporation shall cause an annual audit of its books, accounts and financial transactions to be made and filed with the Municipal Council of the City of Bayonne, and for that purpose the corporation shall employ a certified public accountant of New Jersey. The annual audit shall be completed and filed with the Municipal Council within four months after the close of the fiscal year of the corporation and a certified duplicate copy of the audit shall be filed with the Director of the Division of Local Government Services in the Department of Community Affairs within five days of the filing of the audit with the Municipal Council.

a. 
It is the express intention of this Municipal Council to ensure that the revitalization and rehabilitation of the City of Bayonne's central business district takes place in such a way that consistent architectural and aesthetic principles are followed. The majority of commercial facades on Broadway consist of four architectural elements:
1. 
The cornice at the top of the facade. This is defined as the ornamental molding, that crowns the facade and establishes a stopping point for the viewer's eye. Many historic buildings have had their cornices removed or covered over. These facades tend to look incomplete or unfinished. The degree of complexity of cornices varies with the style and period of the building, but some type of cornice on every building is necessary to provide a coherent street frontage along Broadway.
2. 
The upper stories. These give the appearance of either a healthy, vibrant street or of a declining street; depending on whether they are occupied (windows, lights at night, etc.) or abandoned (filled-in windows or existing windows with dirty glass, broken blinds, etc.). The size and positioning of window openings give buildings a visual rhythm and help to establish balance and scale.
3. 
The ground-floor storefront. This is the most important element on any commercial building located in the Special Improvement District. The types of goods and services offered within are presented by the window displays. The architectural treatment of the storefront itself, including the lighting, creates a frame for the window displays. Poor quality materials or ill-maintained fronts create a negative impression, regardless of the quality of the goods within.
4. 
Signage. Signs used on buildings are an integral part of the "presentation." Signage should be interesting and informative, without being harsh or aggressive. Storefronts are framed by vertical and horizontal elements. Vertical piers appear to support structure, including upper stories of a multi-story building. If these elements are lacking, the building looks awkward. Horizontal lines define the boundary between upper and lower parts of the facade. Within this frame are the elements of the storefront itself: the display windows, entrance, awnings, signage, etc. Restoration of existing historical cornices is to be encouraged.
b. 
To that end, the Bayonne Urban Enterprise Zone Redevelopment Corporation is hereby empowered to establish an Architectural and General Commercial Property Standards Review Board which shall be charged with the responsibility of developing and promulgating storefront design standards and general commercial property guidelines. The Architectural and General Commercial Property Standards Review Board shall be comprised of the Executive Director of the Bayonne Urban Enterprise Zone Redevelopment Corporation, two Board Members of the Bayonne Urban Enterprise Zone Redevelopment Corporation (exclusive of the Executive Director), the Director of Community Development, the City of Bayonne's Zoning Officer, two owners of properties within the Special Improvement District and an architectural design consultant to be selected by the Mayor and Council. These storefront design standards and general commercial property guidelines shall become effective only upon presentation to and the approval of the Municipal Council. The Municipal Council shall have 45 days from the receipt of same to adopt a resolution disapproving of the design standards and general commercial property guidelines. If the Municipal Council does not adopt a resolution within 45 days of presentment, then the design standard and guidelines shall become effective and enforceable. Any amendments to the initial design standards and general commercial property guidelines shall be subject to the same forty-five-day rule.

The purposes of this special improvement district are to:
a. 
Promote economic growth and employment within the Harbour Place District;
b. 
Foster and encourage transportation means to enhance the local business climate and residential commuting;
c. 
Create a self-financing special improvement district to assist in meeting local needs, goals and objectives;
d. 
Designate a district management corporation to implement and manage the programs and carry out local needs, goals and objectives;
e. 
Impose and collect a special assessment on property and parking lots located within the Harbour Place District.

As used in Subsections 10-2.7 to 10-2.22, the following terms shall have the meanings indicated:
DISTRICT MANAGEMENT CORPORATION
The Harbour Place District Management Corporation (also referred to as "Management Corporation"), an entity incorporated pursuant to Title 15A of the New Jersey Statutes and designated by Subsections 10-2.7 through 10-2.22 to receive funds collected by a special assessment within the Special Improvement District, as authorized by Subsections 10-2.7 through 10-2.22 and any amendments thereto.
SPECIAL IMPROVEMENT DISTRICT (also referred to as "DISTRICT")
That area of Harbour Place described by block and lot numbers and street addresses as set forth in Schedule A,[1] which is on file in the office of the City Clerk, and designated by Subsections 10-2.7 through 10-2.22, in which a special assessment on the commercial property within the District (including multitenant residential rental buildings), including without limitation those properties set forth on Schedule A, shall be imposed for the purposes of promoting the economic and general welfare of the district and the City. The amount of the special assessment for each property subject to the special assessment shall be determined by the district management corporation and approved by the Municipal Council on a yearly basis.

The Council finds and declares that:
a. 
The Harbour Place Special Improvement District area of the City has special needs and requires special services separate and apart from the municipal services already provided to the District by the City.
b. 
These specific services can best be provided through a private-public partnership implemented by the creation of a special improvement district to be managed by a district management corporation.
c. 
The creation of a special improvement district and the designation of a district management corporation will promote economic growth and employment; foster and encourage business vitality, expansion and self-help; enhance the local business climate and otherwise be in the best interest of the property owners and residents in the District and throughout the City.
d. 
A district management corporation will provide administrative and other services to benefit the businesses, employees, residents and consumers within the special improvement district and assist the City in promoting economic growth and employment.
e. 
A special assessment shall be imposed and collected by the City with the regular property tax payment or payment in lieu of taxes or otherwise, and that all of these payments shall be transferred to the district management corporation to effectuate the purposes of this chapter and to exercise the powers given to it by this chapter.

a. 
There is hereby created and designated within the City of Bayonne a special improvement district to be known as the Harbour Place Special Improvement District consisting of those properties designated by tax block and lot and street addresses on Schedule A[1] attached hereto and on file in the office of the City Clerk. The properties within the special improvement district that shall be subject to special assessment for the purposes of promoting the economic and general welfare of the District and the City includes all commercial properties (including multitenant residential rental buildings), including without limitation those properties set forth on Schedule A,[2] shall be imposed for the purposes of promoting the economic and general welfare of the District and the City. The amount of the special assessment for each property subject to the special assessment shall be determined by the district management corporation and approved by the Municipal Council on a yearly basis.

b. 
All commercial properties within the special improvement district, (including multitenant residential rental buildings), including without limitation those properties set forth on Schedule A,[3] all private properties; and tax exempt land which contain improvements subject to property tax, are deemed included in the assessing and taxing provisions of Subsections 10-2.7 through 10-2.22 and are expressly subject to any fee, tax or assessment made for special improvement district purposes.

c. 
Only those properties within the special improvement district that are fully tax exempt or are deemed excluded from the assessing provisions of Subsections 10-2.7 through 10-2.22 are expressly exempt from any fee, tax or assessment made for special improvement district purposes.

Any owner of property included within the special improvement district and subject to the assessing and taxing provisions of Subsections 10-2.7 through 10-2.22 may appeal to the Tax Assessor of the City of Bayonne requesting to be excluded from the District and from any assessment and taxing provisions of Subsections 10-2.7 through 10-2.22. This appeal is only as to whether or not a property should be included within the District under the standards set forth in Subsection 10-2.10 of this chapter. It is not an appeal with regard to any taxes. Appeals with regard to taxes should be taken in the usual manner to the Hudson County Board of Taxation or to the Tax Court. This appeal seeking exclusion from the District and any assessment and taxing provisions of Subsections 10-2.7 through 10-2.22 shall be in writing and specifically detail the factual basis for the appeal. The Assessor shall investigate the matter and conduct an informal hearing or conference within 30 days of receipt of the appeal. Within 10 days after the conclusion of the informal hearing or conference, the Assessor shall file a report and recommendation with the Municipal Council. The Municipal Council shall review the matter and act within 30 days upon receipt of the report and recommendation from the Assessor.

a. 
It is hereby determined that the operation and maintenance of the District may involve annual costs relating to services peculiar to the District, as distinguished from operation and maintenance services normally provided by the City outside of the District. Those annual costs shall be assessed or taxed to the benefited properties or businesses pursuant to Subsections 10-2.7 through 10-2.22 and N.J.S.A. 40:56-65 et seq.
b. 
Each year after the Council shall have acted on the estimated costs and/or on the budget of the District, the Assessor shall prepare an assessment roll setting forth separately the amounts to be specially assessed against the benefited and assessable properties in the District. Descriptions of such properties and the names of the then current owners of such properties, so far as names are available, shall be included in each annual assessment roll. The assessment roll, when so prepared, shall be filed in the office of the City Clerk and be there available for inspection. The Council shall annually meet to consider objections to the amounts of such special assessments at least 10 days after a notice of hearing has been published once in the official newspaper and mailed to the named owners of all tracts, parcels and lots of property proposed to be assessed. The notice shall set forth the time and place of meeting, and set forth the purpose of such meeting, but may refer to the assessment roll for further particulars. When the Council shall have approved the amounts of the special assessments set forth therein or as may be changed by it, the City Clerk shall forthwith certify a copy of the assessment roll with such changes, if any, to the Hudson County Tax Board.

The nonprofit corporation, Harbour Place District Management, is hereby designated as the district management corporation for the District. This corporation shall conduct its business in accordance with the Open Public Meetings Law.[1] It shall file copies of its minutes of its meetings with the City Clerk, so as to be available for public inspection. This management corporation, in addition to acting as an advisory board to the Mayor and Council, shall have all powers necessary and requisite to effectuate the purposes of Subsections 10-2.7 through 10-2.22 and the District. In order to receive any funds or exercise any of the powers granted herein, the Board of Directors of the Harbour Place District Management Corporation must include as members the Mayor or his designee and a member of the Municipal Council as appointed by the Council. The Mayoral and Council members shall serve at the pleasure of, respectively, the Mayor and the Council.

a.

Fund transportation services within the District including but not limited to shuttles, ferry, car sharing and bike sharing services.
h. 
Fund the maintenance of public properties or open space in the District.
i. 
Accept, lease or manage property in the District.
j. 
Enforce the conditions of any loan, grant, sale or lease made by the Corporation.
k. 
Provide security, sanitation, transportation and other services to the District, supplemental to those provided normally by the municipality.
l. 
Undertake improvements designated to increase the safety or attractiveness of the district to businesses which may wish to locate there or to visitors to the District including, but not limited to, litter cleanup and control, landscaping, parking areas and facilities, recreational and rest areas and facilities, pursuant to pertinent regulations of the City of Bayonne.
m. 
Publicize the District and the businesses included within the District boundaries.
n. 
Recruit new businesses to fill vacancies in and to balance the business mix of the District.
o. 
Organize special business or residential related events in the District.
p. 
Provide special parking arrangements for the District for customers of businesses within the District.
q. 
Provide temporary decorative lighting in the District to attract customers.
r. 
Advise the Municipal Council in connection with the acquisition and construction of improvements in the special improvement district, the making of a plan therefor and the operation and maintenance thereof, and to meet and furnish recommendations or comments and requests of members of the public and of owners and occupants of property included within the Special Improvement District.

The Harbour Place District Management Corp. shall file with the City Clerk a certified copy of the adopted bylaws of the Corporation, which bylaws shall be in substantial conformity with the draft bylaws filed with the Clerk prior to the adoption of Subsections 10-2.7 through 10-2.22 attached as Scheduled B.[1] The Harbour Place District Management Corp, shall have the right to amend these bylaws from time to time as its members so decide, provided that a certified copy of the adopted amendments shall be filed with the City Clerk no later than 14 days prior to the date they are to become effective.

a. 
Notwithstanding the creation of a special improvement district, the City of Bayonne expressly retains all its powers and authority over the area designated as within the special improvement district.
b. 
Nothing contained herein shall be interpreted or construed to be a vacation, in whole or in part, of any municipal street or part thereof.
c. 
The district management corporation shall not make or enter into any contracts for the improvement of any publicly owned or operated facility or property within the special improvement district nor adopt any regulations relating to public property in such District without the consent of the City.
d. 
The district management corporation shall comply with all applicable ordinances or regulations of the City.

a. 
The fiscal year of the District shall be January 1 to December 31.
b. 
Except with respect to the initial budget which may be presented for approval by the City Council at any time, the district management corporation shall submit a detailed annual budget for the upcoming calendar year no later than October 1 to the Mayor and Municipal Council.
c. 
The budget shall be submitted with a report which explains how the budget contributes to goals and objectives for the special improvement district. The budget shall be reasonably itemized and shall include a summary of the categories of cost properly chargeable as follows:
1. 
The amount of such costs to be charged against the general funds of the municipality, if any.
2. 
The amount of costs to be charged and assessed against properties benefited in the District in proportion to benefits which shall be the aggregate of costs of annual improvements to be made in the District during the ensuing year.
3. 
The amount of costs, if any, to be specially taxed against properties in the District.
d. 
The budget shall be introduced, approved, amended and adopted by resolution passed by not less than a majority of the full membership of the Municipal Council. The procedure shall be as follows:
1. 
Introduction and approval;
2. 
Public advertising;
3. 
Public hearing;
4. 
Amendments and public hearings, if required; and
5. 
Adoption.
e. 
The budget shall be introduced, in writing, at a meeting of the Municipal Council. Approval thereof shall constitute a first reading, which may be by title. Upon the approval of the budget by the Municipal Council, it shall fix the time and place for the holding of a hearing upon the budget.
f. 
The budget shall be advertised after approval. The advertisement shall contain a copy of the budget and shall set forth the date, the time and place of the hearing. It shall be published at least 10 days prior to the date fixed therefor in the official newspaper of the City.
g. 
No budget shall be adopted until a public hearing has been held thereon and all persons having an interest therein shall have been given an opportunity to present objections. The hearing shall be held not less than 20 days after the approval of the budget.
h. 
The public hearing shall be held at the time and place specified in the advertisement thereof, but may be adjourned from time to time until the hearing is closed.
i. 
The budget, as advertised, shall be read at the public hearing in full or it may be read by its title, if:
1. 
At least one week prior to the date of the hearing, a complete copy of the approved budget as advertised:
(a) 
Shall be posted in City of Bayonne's Clerk's Office;
(b) 
Is made available to each person requesting the same during that week and during the public hearing;
2. 
The Municipal Council shall, by resolution passed by not less than a majority of the full membership, determine that the budget shall be read by its title and declare that the conditions set forth in Subsection i1 have been met.
j. 
The Municipal Council may amend the budget during or after the public hearing. No amendment by the Municipal Council shall be effective until taxpayers and all persons having an interest therein shall have been granted a public hearing thereon, if the amendment shall:
1. 
Add a new item in an amount in excess of 1% of the total amount as stated in the approved budget; or
2. 
Increase or decrease any item by more than 10%.
k. 
Final adoption shall be by resolution, adopted by a majority of the full membership of the Municipal Council, and may be by title.

a. 
Disposition of Funds.
1. 
Funds appropriated and collected for the annual costs of operating and maintaining a special improvement district shall be credited to a special account. The Mayor and Municipal Council may incur the annual costs of improving, operating and maintaining a special improvement district, during any fiscal year, though not specifically provided for by line item or other category in an approved estimate for such fiscal year, if in their sole discretion it shall be deemed necessary to provide for such annual improvements or operation or maintenance prior to the succeeding fiscal year and so long as the total amount of the account as approved for that year is not exceeded by that expenditure. Any balances to the credit of the account and remaining unexpended at the end of the fiscal year shall be conserved and applied towards the financial requirements of the succeeding year.
2. 
The Mayor and Municipal Council may retain a portion of the collected special assessment proceeds to offset the direct costs incurred in the required assessment and budget processes not to exceed 2% of the budget.
3. 
The Mayor and Municipal Council shall pay over funds to the management corporation quarterly on the first day of March, June, September and December of each year. The City shall not be obligated to pay over any funds not actually received by the City.
b. 
The District Management Corporation shall cause an annual audit of its books, accounts and financial transactions to be made and filed with the Mayor and Municipal Council and for that purpose the corporation shall employ a certified public accountant of New Jersey. The annual audit shall be completed and filed with the Municipal Council within four months after the close of the fiscal year of the Corporation, and a certified duplicate copy of the audit shall be filed with the Director of the Division of Local Government Services in the Department of Community Affairs within five days of the filing of the audit with the Mayor and Council.
c. 
The District Management Corporation shall, within 30 days after the close of each fiscal year, make an annual report of its activities for the preceding fiscal year to the Mayor and Municipal Council.

Nothing contained herein shall prevent the Council at any time, subsequent to the adoption of Subsections 10-2.7 through 10-2.22 by ordinance, from abandoning the operation of the special improvement district, changing the extent of the special improvement district, supplementing or amending the description of the District to be specially assessed or taxed for annual costs of the special improvement district, changing or repealing any plan, rules, requisitions or limitations adopted for the operation of the Special Improvement District or rescinding the designation of or redesignating a district management corporation.

This special improvement district shall become operable when the bylaws of the Harbour Place District Management Corp. are adopted by a vote of the eligible participants in the manner provided for in the draft bylaws on file with the City Clerk.

If any provision of Subsections 10-2.7 through 10-2.22 or the application thereof to any person or circumstance is held invalid, such holding shall not affect other provisions or applications of the act and to this end the provisions of this act are severable.

a. 
All ordinances and parts of ordinances inconsistent herewith are hereby repealed.
b. 
The City Clerk shall cause Subsections 10-2.7 through 10-2.22 to be codified and incorporated in the Revised General Ordinances of the City of Bayonne.
c. 
Subsections 10-2.7 through 10-2.22 shall take effect at the time and in the manner as provided by law.
d. 
The City codifier is authorized to change any chapter numbers, article numbers and section numbers if codification of Subsections 10-2.7 through 10-2.22 reveals a conflict between those numbers and the existing code, in order to avoid confusion and possible accidental repealers of existing provisions.

The Municipal Council of the City of Bayonne does hereby accept the designation of certain areas contained in its resolution as more particularly described in Exhibit A[1] attached hereto and made a part hereof. The Municipal Council accepts this designation from the Urban Enterprise Zone Authority, and accepts the designation of the Zone Development Plan as formulated and approved in the aforesaid resolution.

The City is seeking designation as an Urban Enterprise Zone due to the following existing conditions:
The City's commercial districts have been adversely affected by the existence of Urban Enterprise Zones both contiguous and nearby to the City of Bayonne. The sales tax reduction, as well as the improvements funded by these zones, has placed the commercial trade in Bayonne at a competitive disadvantage.
The development of both vacant and under-utilized sites has been hindered due to the incentives that are present to developers in the cities of the neighboring Urban Enterprise Zones.
Several sites, currently zoned as Highway Development, have the potential to be locations for national/regional retailers. Incentives will be needed in order to attract these retailers.
Bayonne has over 100 acres of Brownfields sites that are suitable for future development.
Bayonne's commercial districts are aging and in need of rehabilitation and/or redevelopment.
Limited parking availability reduces the attractiveness of the City's traditional commercial districts.
The former Military Ocean Terminal, which closed in September 1999 and had employed 3,000 people, is now in the control of the Bayonne Local Redevelopment Authority. This property will require extensive infrastructure improvements and capital investments, both public and private.
Various industrial and warehousing sites are currently underutilized. With incentives, these sites can be converted into engines for increasing available employment for current, as well as future residents.
Bayonne's population has stagnated in the past decade with an increase of only 0.6%. Since 1970 Bayonne's population has decreased by 15%. A contributing factor to this stagnation is the vacant, nonlivable units that exist above the commercial stores, as well as an absence of market-rate rental units.
The absence of market-rate rental units has prevented Bayonne from attracting young professionals to the community. The City having a median age of 38.1 years and 18.9% of its population over age 62 evidences this.
Bayonne is an urbanized community with a population of 10,992.2 per square mile, and a density of 4,768.2 housing units per square mile. These figures compare to State averages of 1,134.4 and 446.3 respectively.
46.1% of Bayonne's existing housing units were built in 1939 or earlier. This figure compares to the State average of 20.1%.
Bayonne is still experiencing a significant influx of foreign born residents as witnessed by the fact that 8.4% of the City's population entered this country between 1990 and March 2000.
In 1999, Bayonne's Per Capita Income was $21,553. Bayonne was ranked 436 in the State of New Jersey.
In 1999, Bayonne's Median Household Income was $41,566. This figure is significantly below the State average of $55,146.
In 1999, Bayonne's Median Family Income was $52,413. This figure is significantly below the State average of $65,370.
In 1999, the City had 10.1% of its population living below the poverty level. For individuals under 18, the poverty level was 11.9%. These figures compare to the State averages of 8.5% and 10.8% respectively.
The City of Bayonne proposes to address these conditions within the proposed Zone as follows:
Create an Urban Enterprise Zone consisting of 13 board members including: the Mayor designee, two members of the Municipal Council, the Bayonne Business Administrator, the President of the Chamber of Commerce or designee, a member of the Bayonne Economic Opportunity Foundation, three owners or business operators (tenants) of properties located within the Special Improvement District created by Section 10-2, two owners or operators of businesses located outside of the Special Improvement District and two members of community civic organizations. The Board shall have an Executive Director who shall be a Municipal employee appointed by the Mayor, and shall serve at the pleasure of the Mayor and the Board. The Board shall actively work with the business community in addressing the above conditions by creating various committees consisting of Board members, business representatives, and representatives of the community at large.
Utilize the powers conferred on the Municipality by law for the purpose of stimulating investment in and economic development of the proposed zone.
Utilize State assistance through the provisions of the Urban Enterprise Zone relating to exemptions from, and credits against, State taxes.
Securing the involvement in, and commitment to, zone economic development by private entities, including zone neighborhood associations, voluntary community organizations supported by residents and businesses in the zone.
Utilize the powers conferred by law to revise municipal planning and zoning ordinances and other land use regulations as they pertain to the zone, in order to enhance the attraction of the zone to prospective developers.
Increase the availability and efficiency of support services, public and private, generally used by and necessary to the efficient functioning of commercial and industrial facilities in the area, and the extent to which the increase or improvement is to be provided by the municipal government or other entities.
Function as the designated District Management Corporation under Section 10-2 and within the meaning of N.J.S.A. 40:56-66(c). Receive, manage and expend special assessment funds, collected by the City, solely for the benefit of the members of the Special Improvement District in accordance with N.J.S.A. 40:56-66 et seq. and Section 10-2.
Upon designation as an Urban Enterprise Zone, the City will commence educating the business community regarding the advantages offered by being a member of the Zone, and shall assist these businesses in the process of applying for membership.

a. 
Created. In accordance with the provisions of N.J.S.A. 52:27H-60 et seq., the Municipal Council of the City of Bayonne hereby authorizes the creation of a nonprofit corporation, pursuant to the provisions of Title 15 of the Revised Statutes of the State of New Jersey, to act as the Urban Enterprise Zone Development Corporation for the City of Bayonne. Said corporation shall have all of the powers, duties and responsibilities as provided for under the applicable laws of the State of New Jersey.
b. 
Title. The Corporation shall be named the "Bayonne Urban Enterprise Zone Development Corporation."
c. 
Members. The Bayonne Urban Enterprise Zone Development Corporation shall be governed by a Board of Trustees consisting of nine members who shall serve on a non-salaried basis. The nine Board members shall be:
1. 
The Mayor or designee.
2. 
Two members of the Municipal Council, to be appointed by a majority vote of the Municipal Council.
3. 
The Bayonne Business Administrator.
4. 
One owner or business operator (tenant) of a property located within the Special Improvement District created by Section 10-2, to be appointed by the Mayor.
5. 
The President of the Chamber of Commerce or designee.
6. 
One owner or operator of a business located outside of the Special Improvement District, to be appointed by the Mayor.
7. 
A member of the Bayonne Economic Opportunity Foundation, to be appointed by the Mayor.
8. 
One member of a community civic organization, to be appointed by the Mayor.
d. 
Term of Office. The Mayor, Municipal Council members, Business Administrator and President of Chamber of Commerce shall serve for only so long as he or she continues to hold the designated title or municipal office. All other members shall serve for a term of two years.
e. 
Executive Director. The Board shall have an Executive Director who shall be a municipal employee appointed by the Mayor, and shall serve at the pleasure of the Mayor and the Board. The Board shall actively work with the business community in addressing the above conditions by creating various committees consisting of Board members, business representatives, and representatives of the community at large.
f. 
Coordinator. There shall be an Bayonne Urban Enterprise Zone Development Corporation (UEZ) Coordinator who shall be appointed by the Mayor and shall serve under the direct supervision of the Executive Director. The Coordinator shall conduct the day-to-day operations of the UEZ and shall be the UEZ representative at Municipal Council meetings, and at the State of New Jersey Urban Enterprise Zone meetings. The Coordinator shall make recommendations to the Board regarding all UEZ projects and oversee the implementation of the projects.

This section shall be known and may be cited as the "Bayonne Parking Tax."

a. 
There is hereby imposed a 15% tax on any fees whether paid directly, or paid as part of the rent charged in a lease for parking, garaging or storing of motor vehicles, in any commercial, industrial or residential property.
b. 
All taxes imposed by this section shall be collected on behalf of the City of Bayonne by the person providing parking services to the customer.
c. 
The City of Bayonne's Business Administrator is hereby designated as collector of parking taxes. The methods for reporting taxes due shall be on forms and in accordance with procedures prescribed by the Business Administrator from time to time.
d. 
Every person required to collect any taxes imposed by this section shall be personally liable for the tax imposed, collected or required to be collected. Any such person shall have the same right in respect to collecting the tax from his or her customer or in respect to nonpayment of the tax by the customer as if the tax were a part of the parking or storage fee and payable at the same time; provided, however, that the Business Administrator of the City of Bayonne shall be joined as a party in any action brought to collect the tax.
e. 
No person required to collect any tax hereunder shall advertise or hold out to any person or to the public in general in any manner, directly or indirectly, that the tax is not considered as an element in the fee payable by the customer, that he will pay the tax, that the tax will not be separately charged and stated to the customer or that the tax will be refunded to the customer.
f. 
If for any reason the tax is not paid when due, interest at a rate of 12% per annum, on the amount of the tax due and an additional penalty of 1/2 of 1% of the amount of the unpaid tax for each month or fraction thereof during which the tax remains unpaid shall be added and collected. Where action is brought for the recovery of any tax hereunder, the person liable shall, in addition, be liable for the cost of collection and the interest and penalties imposed.
g. 
No tax shall be imposed with respect to any parking, garaging or motor vehicle storage fees charged by:
1. 
Any religious, charitable, educational institution;
2. 
Any nonprofit organization except a hospital;
3. 
Garages or parking areas which are part of premises (a) occupied solely as a private one or two family dwelling or (b) leased to residential tenants of multiple dwellings;
4. 
The Bayonne Parking Authority;
5. 
Hospitals and/or any body, corporate and politic or instrumentality of the State of New Jersey including, but not limited to, New Jersey Transit.
Provided, however, that these exemptions shall not apply to fees for the parking, garaging or storing of motor vehicles on property owned by an exempt entity and leased to any nonexempt entity.

a. 
Taxes due under this section shall be paid quarterly. Returns for each quarter are due on or before the 15th of the month following the end of the quarter, that is, April 15, July 15, October 15 and January 15.
b. 
A quarterly parking tax return is required to be filed by every person responsible for the collection of parking taxes whether or not any tax is due for that quarter. Payment of the tax due shall be made with the filed return.
c. 
Every person responsible for the collection of parking taxes shall maintain books and/or records to substantiate the quarterly tax returns, even if no tax is due.
d. 
Pursuant to State law, any person who fails or refuses to file any return required under this section, any person who refuses to permit an officer or agent designated by the City of Bayonne to examine his or her books, records and papers and any person who knowingly files an incomplete, false or fraudulent return or attempts to do anything whatsoever to avoid the full disclosure of the tax due under this section to avoid the payment of the whole or any part thereof is a disorderly person.
e. 
The failure of any person to receive or procure the forms required for filing returns required under this section shall not excuse him from filing a return.

A maximum of 12% of the revenues collected from the tax imposed under this section in any prior calendar year shall be used for administrative costs.

This section shall be known and may be cited as the "Bayonne Hotel and Motel Use and Occupancy Tax."

There is hereby imposed a 6% on charges for the use or occupation of rooms in hotels as authorized by the "Hotel and Motel Occupancy Tax Act," N.J.S.A. 40:48E-1, et seq., as amended in 2006 by N.J.S.A. 40:48E-e. This tax shall be in addition to any and all real estate (ad valorem) taxes or services charges; the tax imposed by the "Sales and Use Tax Act," N.J.S.A. 54:32B-1 et seq.; or any other fee, charge or tax imposed by law.

The hotel and motel room occupancy tax shall be in addition to any other tax or fee imposed pursuant to statute or local ordinance or resolution by any governmental entity upon the occupancy of a hotel room.

No rooming or boarding house that is licensed and regulated pursuant to the Rooming and Boarding House Act of 1979, N.J.S.A. 55:13B-1 et seq., shall be subject to the tax imposed pursuant to the Hotel and Motel Occupancy Tax Act, N.J.S.A. 40:48E-1 et seq., and this section.

All revenue collected under the Hotel and Motel Occupancy Tax Act shall be paid to the Business Administrator of the City of Bayonne who shall be responsible for the collection of the tax, in quarterly installments, on or before those dates when real property tax payments are due to the municipality under State law. The hotel will not receive any credit or refund permitted against any other taxes due. It is the express intention of the City to collect in full both real estate taxes or services charges and the hotel and motel tax.
In accordance with the requirements of P.L. 2003, c. 114:
a. 
All taxes imposed by this article shall be paid by the purchaser.
b. 
A vendor shall not assume or absorb any tax imposed by this section.
c. 
A vendor shall not in any manner advertise or hold out to any person or to the public in general, in any manner, directly or indirectly, that the tax will be assumed or absorbed by the vendor, that the tax will not be separately charged and stated to the customer, or that the tax will be refunded to the customer.
d. 
Each assumption or absorption by a vendor of the tax shall be deemed a separate offense and each representation or advertisement by a vendor for each day that the representation or advertisement continues shall be deemed a separate offense.
e. 
The penalty for violation of the foregoing provisions shall be a fine not exceeding $1,250, a term of imprisonment not exceeding 90 days or a period of community service for a period not exceeding 90 days, or any combination thereof, for each offense.

The tax imposed by this section shall be collected on behalf of the City of Bayonne by the person collecting the rent from the hotel or motel customer. Each person required to collect the tax herein imposed shall be personally liable for the tax imposed, collected, or required to be collected hereunder. Any such person shall have the same right in respect to collecting the tax from a customer as if the tax were a part of the rent and payable at the same time; provided that the Business Administrator of the City of Bayonne shall be joined as a party in any action or proceeding brought to collect the tax.

A copy of this section shall be transmitted to the State Treasurer and to each hotel or motel located within the City of Bayonne.
