A. 
Appointment.
(1) 
Registered Municipal Clerk. The Mayor with the advice and consent of Council shall appoint a person holding a registered municipal clerk certificate as Borough Clerk for a three-year term. In the event of a vacancy in the office of Municipal Clerk, an appointment shall be made for a new term and not for the unexpired term.
(2) 
Acting Municipal Clerk. Within 90 days of the occurrence of a vacancy in the office of Municipal Clerk by reason of the departure of a registered Municipal Clerk, the Mayor with the advice and consent of Council may appoint a person who does not hold a registered municipal clerk certificate to serve as Acting Municipal Clerk for a period not to exceed one year and commencing on the date of the vacancy. Any person so appointed may, with the approval of the New Jersey Department of Community Affairs, be appointed as Acting Municipal Clerk for a maximum of two subsequent one-year terms following the termination of the temporary appointment. B. 
Tenure.
(1) 
Registered Municipal Clerk. Tenure of a registered Municipal Clerk shall begin as of the actual date upon which the person serving as Municipal Clerk is appointed. Reappointment of an incumbent Municipal Clerk made within 60 days following the expiration of the prior term shall not be considered to be a new appointment.
(2) 
Acting Municipal Clerk. Time served as Acting Municipal Clerk may be not be credited as time served as Municipal Clerk for the purpose of acquiring tenure pursuant to statute. (N.J.S.A. 40A:9-133.7)
C. 
Qualifications. Prior to the appointment of a Borough Clerk, he shall have been qualified by training and experience to perform the duties of this office and shall hold a registered municipal clerk's certificate pursuant to N.J.S.A. 40A:9-133a.
D. 
Compensation. The compensation of the Borough Clerk shall be as set forth in the Salary Resolution.[2]

The Borough Clerk shall:
A. 
Keep the minutes and records of the proceedings of the Council, and publish, maintain and compile its ordinances and resolutions as required by law.
B. 
Keep the minutes and records of any Council committee, upon request of the chairman of the committee.
C. 
Provide secretarial and clerical services for the Mayor and members of Council in the discharge of their official duties.
D. 
Have custody of the Borough Seal and affix it to such books, papers and documents as may be authorized pursuant to law.
E. 
Have and take custody of all official books, papers and documents of the Borough for which no other depository is provided by law or ordinance, and preserve and keep them safely.
F. 
Perform such functions as are vested in the Clerk by the licensing provisions of state law or ordinance.
G. 
Issue and deliver, with the assistance of the Police Department, if needed, as in case of emergency, all notices of meetings required to be given to the Council.
H. 
Promptly inform Council members of action taken by the Mayor with respect to any ordinance.
I. 
Receive and transmit all communications to or on behalf of the Council.
J. 
Charge and receive for the use of the Borough such fees for transcripts or certificates as shall be authorized by the Council.
K. 
Perform all of the functions required of municipal clerks by the General Election Law and any other law or ordinance, and receive for municipal use the fees prescribed therefor.
L. 
Perform such functions as are vested in municipal clerks by state law or ordinances relating to bingo and raffle licenses.
M. 
Approve the granting of raffle and bingo licenses as the issuing authority pursuant to N.J.A.C. 13:47-1.1.
N. 
Perform such other, different and additional powers, functions and duties as may be prescribed by law or ordinance.
The Clerk shall be the depositary and custodian of all official surety bonds furnished by or on account of any Borough office, officer or employee, except his own bond, which shall be placed in the custody of the Borough Chief Financial Officer; all insurance policies upon or with respect to risks insured for the benefit of the Borough or to protect it against any claims, demands or liability whatsoever; and all formal contracts for work, labor, services, supplies, equipment and materials to which the Borough may be a party. The Clerk shall also have custody of all leases of property owned or leased by the Borough. The Clerk shall be the depositary for and have custody of all performance bonds running to the Borough as obligee, and other forms of noncash security given by any contractor, subdivision developer or other persons on account of work done or to be done in or for the Borough.

Questions concerning priority of Council business to be performed by the Borough Clerk, as provided by law or ordinance, shall be determined by the Borough Administrator.

The number and type of employees in the office of the Borough Clerk shall be determined by the Borough Administrator with the consent of the governing body.
