As used in this ordinance, the following terms shall have the meanings indicated:
LESSEE
The Closter Nature Center Association, a nonprofit corporation.
LESSOR
The Borough of Closter.
SUBJECT PREMISES
All those premises in the Borough of Closter, more particularly described in Schedule A attached hereto and made a part hereof.[1]

The purpose of this ordinance is to authorize the execution of a lease of the subject premises by the Borough Clerk and the Mayor of the Borough of Closter to the lessee, subject to the terms and conditions set forth therein and further subject to the terms and conditions contained in said lease.
The subject premises shall be used by the lessee for educational and recreational purposes to promote, expand and carry on efforts and endeavors for the preservation of open spaces for the purposes of conservation, education and recreation, for the development of clean air, clean water and clean soil and for the further preservation and encouragement of wildlife and to further encourage an understanding of the need for preservation and conservation of natural resources, to further establish a conservation center within the Borough of Closter and to further construction of facilities relating thereto for the promotion of the health, safety, morals and general welfare of the community.
In consideration of the granting of a lease of the subject premises by the lessor to the lessee, the lessee shall cause to be paid to the lessor the sum of one dollar ($1.) annually on the date of execution the first year and on the anniversary date of said lease for each year thereafter.
The subject lease shall be for a term of twenty-five (25) years commencing upon the execution of the lease herein authorized.
A copy of the subject lease which is hereby authorized is on file in the office of the Clerk of the Borough of Closter. All of the terms and provisions of said lease are incorporated herein by reference as if set forth herein at length and are not reprinted due to the cost of said publication. All of the terms and provisions of said lease are deemed a part hereof as if set forth herein at length.
The purpose for which the subject premises shall be leased shall be for the benefit of the entire Borough of Closter and for all those persons choosing to participate in the program offered. The program shall be open to all residents of the Borough of Closter.
It shall be the responsibility of the Mayor and Council of the Borough of Closter to enforce the conditions of this lease.
The lessee shall be required to annually submit a report to the Mayor and Council of the Borough of Closter setting forth:
A. 
The use to which the leasehold was put during each year.
B. 
The activities of the lessee undertaken in furtherance of the public purpose for which the leasehold was granted.
C. 
The approximate value or cost, if any, of such activities in furtherance of such purpose.
D. 
An affirmation of the continued tax-exempt status of the nonprofit corporation pursuant to both state and federal law.
This ordinance shall take effect immediately after passage and publication as provided by law.

The lessee shall be required to annually submit a report to the Mayor and Council of the Borough of Closter setting forth:

The use to which the leasehold was put during each year.

The approximate value or cost, if any, of such activities in furtherance of such purpose.
D. 
An affirmation of the continued tax-exempt status of the nonprofit corporation pursuant to both state and federal law.
Pursuant to Paragraph 19 of the lease between the Borough of Closter and the Closter Nature Center Association, those lands described in Schedule 1 of this ordinance are hereby removed from said lease and all rights and obligations for such lands pursuant to said lease shall expire sixty (60) days following the effective date of this ordinance.
Schedule A, as contained in Borough of Closter Ordinance No. 1977:321, entitled "An Ordinance Authorizing the Leasing of Certain Public Lands of the Borough of Closter, County of Bergen, State of New Jersey, to the Closter Nature Center Association, A Nonprofit Corporation,"[1] is hereby amended so as to remove therefrom the lands described in Schedule 1 of this ordinance.
