There shall be a sewerage authority known as
the "Township of Bernards Sewerage Authority" which shall have all
the authority, powers, rights and duties set forth in Chapter 138
of the 1946 Laws of New Jersey (N.J.S.A. 40:14A-1, et seq.), as amended
and supplemented, and which shall be a public body corporate and politic.

The Township of Bernards Sewerage Authority
shall consist of five members to be appointed by resolution of the
Township Committee pursuant to said statute and to have and be invested
with all powers and duties conferred by said statute and necessary
for the operation, conduct, control, management and continuance of
said corporation and the sewerage system and the properties, real
and personal, acquired and held by it.

The sewerage authority may reimburse its members
for necessary expenses incurred in the discharge of their duties and
the members may receive compensation for their services, subject to
paragraph c. below, to be paid apportioned to the period of time actually
served by such member.
a. For the period February 1, 1994, through January 31,
1995, the maximum annual compensation to be paid to any member of
the Bernards Township Sewerage Authority shall be an amount equal
to the sum of $1,890 plus the cost (at 1994-1995 rates) of such benefits
as may have been available to a member as of January 31, 1994, plus
reimbursement of reasonable and necessary expenses incurred in the
discharge of the member's duties. For all periods on and after February
1, 1995, the maximum annual compensation to be paid to any member
of the Bernards Township Sewerage Authority shall be $1,890 plus reimbursement
of reasonable and necessary expenses incurred in the discharge of
the member's duties. In the event that the Sewerage Authority determines
to provide any insurance coverage or other benefits to its members
on or after February 1, 1995, the value of such benefits shall be
considered compensation, and shall be charged against that limitation.
b. Such salary and compensation shall be paid in monthly
installments or at such other periodic times as the authority may
determine. No payment of salary or compensation to any member of the
authority or officer thereof shall be made unless and until the authority
shall first determine the annual amount in its budget.
c. Notwithstanding the above, compensation, including
benefits, shall no longer be paid to any member of the sewerage authority.
This paragraph shall be effective (1) as to all members, immediately
upon the written consent of the sewerage authority in accordance with
N.J.S.A. 40:14A-5(d), or (2) in the absence of such written consent,
as to each member upon the member's appointment or reappointment to
a new term of office, and commencement of the term. The sewerage authority
may, however, reimburse its members for necessary and reasonable expenses
incurred in the discharge of their duties. In the event that the sewerage
authority does not consent to the elimination of compensation of its
members, any payment of compensation to members currently holding
office shall be upon the terms and conditions set forth in paragraphs
a. and b. above.
