It is the desire of the Council of the City of DuBois in the
County of Clearfield and Commonwealth of Pennsylvania and said Council
hereby signifies its intention to organize an authority under the
Municipality Authorities Act of May 2, 1945, P.L. 382, as amended,
53 P.S. § 301 et seq.[1]

In pursuance of said desire and intention, and in conformity
with the terms and provisions of said Municipality Authorities Act
and its amendments, the proposed Articles of Incorporation are hereby
set forth in full, as follows:

ARTICLES OF INCORPORATION OF HOSPITAL AUTHORITY OF THE
CITY OF DUBOIS

To the Secretary of the Commonwealth of Pennsylvania Harrisburg,
Pennsylvania

In compliance with the requirement of the Municipality Authorities
Act of 1945, approved the second day of May, 1945, P.L. 382, 53 P.S. § 301
et seq., as amended, and pursuant to an ordinance enacted by the City
of DuBois in the County of Clearfield and Commonwealth of Pennsylvania,
that a Municipal Authority be established under the provisions of
the aforementioned law, the City of DuBois, desiring that a Municipal
Authority be established and that a Certificate of Incorporation be
issued to said Authority, does hereby certify:

The name of the Authority shall be: "The Hospital Authority
of the City of DuBois."

B.
|
The Authority is formed under the act of May second, 1945, P.L.
382, as amended.

C.
|
Other authorities have been organized under provisions of this
Act, or the Act approved the 28th day of June, 1935, P.L. 463 and
are in existence within said City.

D.
|
The name of the incorporating municipality is: City of DuBois,
in the County of Clearfield and Commonwealth of Pennsylvania.

E.
|
The names and addresses of the Mayor and members of Council
of the City of DuBois are as follows: [Here followed the names and

The names and addresses and terms of office of the first members
of the Board of said Authority are as follows: [Here followed the

All of whom reside in and are citizens of the City of DuBois,
County of Clearfield, Pennsylvania.

The purpose of the Authority is to acquire, hold, construct,
improve, maintain, own, operate and lease, as lessor or lessee, hospitals
and hospital facilities, or parts thereof, at such locations in the
City of DuBois as the City Council may direct, in accordance with
a project or projects specified by the City Council in accordance
with the provisions of the Municipality Authorities Act of May 2,
1945, P.L. 382, as amended, 53 P.S. § 301 et seq., and it
is desirable for the health and safety of the people in the City of
DuBois to have such facilities provided by such Authority.
The said proposed Articles of Incorporation of said Authority
shall be executed by and on behalf of the City of DuBois, by the Council
and the Mayor of said City and the seal of said City shall be thereto
affixed, attested by the City Clerk of the Council of said City, and
filed with the Secretary of the Commonwealth. The Solicitor is hereby
authorized and directed to cause to be published the notice of intention
to file the Articles of Incorporation with the Secretary of the Commonwealth
as required by the aforementioned Act.
