The agency is empowered to function, under applicable rules
and regulations, as the designated grantee of record in Charles County,
Maryland, for receipt and dispersal of funds from the Mental Hygiene
Administration of the Maryland Department of Health and Mental Hygiene
for the purpose of planning, managing and monitoring mental health
services in Charles County, Maryland.

The agency is governed by a Board of Directors of no fewer than
11 residents of Charles County, Maryland, who shall be appointed as
provided in the agency's bylaws, the majority of whom are not
providers of mental health care and at least six of whom are appointed
by the County Commissioners of Charles County, Maryland. In addition,
the Charles County Health Officer shall serve as an ex officio nonvoting
member of the Board of Directors.
The Board of Directors shall, at its first meeting, approve
Articles of Incorporation filed with the State of Maryland and shall
adopt bylaws for its governance and operation, which bylaws have been
subject to review and approval of the County Commissioners of Charles
County, Maryland.
The agency shall at least annually report its activities and
accomplishments of the preceding 12 months to the County Commissioners
of Charles County, Maryland, including an accurate accounting of all
funds received and dispersed by the agency.
