The City of Berkeley agrees to join the Sound Barrier Consortium
along with the other Cities as may be identified in the future for
the purpose of consolidating efforts to negotiate with the Missouri
Department of Transportation, the State of Missouri Government and/or
the Federal Government in order to obtain a fair level of funding
from said entities and achieve maximum highway noise reduction in
each City which is a member of the consortium.

The Consortium shall consist of one (1) member from each constituent
City appointed by its legislative body. A Chairman shall be selected
by the member City who shall be responsible for presiding over meetings
and take on such other responsibilities as shall be delegated by the
membership. The Sound Barrier Consortium shall have the power and
authority to negotiate with the Missouri Department of Transportation,
the State of Missouri Government, the Federal Government and any other
governmental entities on behalf of all constituent Cities of any and
all progress in connection with said negotiations.

The Sound Barrier Consortium shall act as advisory body to its
constituent Cities and shall not have authority to bind any constituent
City to any contract, position or agreement.

Any constituent member of the Sound Barrier Consortium may withdraw
from participation and resign its membership at any time.

The City of Berkeley authorizes the Sound Barrier Consortium
to negotiate on its behalf with the Missouri Department of Transportation,
the State of Missouri Government, the Federal Government and any other
governmental entities regarding the issues of highway noise mitigation
and reduction and the funding of same.
