It shall be the duty of all the officers of the City to report
annually to the Board of Aldermen, such reports to embrace a full
statement of the receipts and expenditures of their respective offices
and such other matters as may be required by the Board of Aldermen
by ordinance, resolution or otherwise.
The Mayor or Board of Aldermen shall have power, as often as
he/she or they may deem it necessary, to require any officer of the
City to exhibit his/her accounts or other papers or records and to
make report to the Board of Aldermen, in writing, touching any matter
relating to his/her office.

A. The
Mayor, members of the Board of Aldermen, all officers or employees,
appointed officials, former officers or employees and their legal
representatives shall be indemnified by the City against liabilities,
expenses, counsel fees and costs reasonably incurred by such person
or the estate of such person in connection with or arising out of
any action, suit, proceeding or claim in which such person is made
a party by reason of his/her being, or having been, such officer or
employee; provided, that the City shall only indemnify such officer
or employer with respect to matters as to which he/she shall be found
to have acted in good faith and in a manner reasonably believed to
be in or not opposed to the best interests of the City or, in the
case of a criminal action, have no reasonable cause to believe that
his/her conduct was unlawful. Indemnification herein provided for,
however, shall also apply in respect of any amount paid in compromise
of any such action, suit, proceeding or claim asserted against such
person (including expenses, counsel fees and costs reasonably incurred
in connection therewith); provided that the Board of Aldermen shall
have first approved such proposed compromise settlement and determined
that the officer or employee involved had acted in good faith and
in a manner reasonably believed to be in or not opposed to the best
interest of the City or, in the case of a criminal action, had no
reasonable cause to believe that his/her conduct was unlawful.
B. This
indemnification shall be effective only to the extent that such persons
are not covered by insurance.
