[1976 Code § 14-4]
All legislative power and authority of the Township shall be exercised by the Township Committee pursuant to law.

The Township Committee shall organize annually on January 1 at 12:00 noon or during the first seven days of January, at which time it shall elect a Mayor and Deputy Mayor from among its membership, each elected by a majority vote of the full membership of the Township Committee, to serve a one-year term.

The Mayor shall:
a. 
Preside at all meetings of the Township Committee.
b. 
Appoint advisory committees to study and make recommendations to the Township Committee.
c. 
Appoint advisory committees and or members to certain boards and commissions, as permitted or required by law.
d. 
Appoint personnel to represent the municipality on State, County and regional boards, committees, authorities or commissions when requested to do so by the County or the State or when the best interests of the municipality will be served by participation with other municipalities in regional undertakings. Such appointments shall be with the advice and consent of the Township Committee unless otherwise provided by law.
e. 
Issue proclamations.
f. 
Serve as the municipality's chief official at meetings and ceremonies.
g. 
Execute contracts, agreements and other legal documents following authorization by the Township Committee.
h. 
Serve as a member ex officio on certain statutory boards and commissions.
i. 
Exercise every other power usually exercised by Township Mayors or conferred upon him or her by law and formal action by the Township Committee.
j. 
Fee collected by Mayor or designee for performance of a marriage or civil union: $150 for Holmdel residents and $300 for non-Holmdel residents.
Effective with the adoption of this paragraph, (adopted May 6, 2014 by Ordinance No. 2014-12) a budget appropriation will be created for the anticipated revenue. An annual payment in the amount of fees collected will be donated in equal halves to the Holmdel Township First Aid Squad and Holmdel Township Fire Department.

In the absence of the Mayor, when the Mayor has informed the Township Committee of his or her expected absence and the duration thereof, or in the event the Mayor is incapacitated from performing his or her duties, the Deputy Mayor shall have all of the powers and duties of the Mayor.

In the event of a vacancy in Mayor, the Deputy Mayor shall become Mayor for the unexpired term. In the event of a vacancy in Deputy Mayor, the office shall be filled following the election procedure set forth in subsection 2-2.2 for the unexpired term.

Members of the Township Committee shall be compensated in accordance with the Township's Salary Ordinance. Members of the Township Committee are considered part-time employees, and accordingly, shall not be eligible for or receive any health insurance or similar benefits provided by or paid in part or in full by the Township of Holmdel.

The Township Committee shall determine and announce at its reorganization meeting in January the places, times and dates of regular monthly public meetings. The Township Committee may, by resolution, dispense with or change the date of a regularly scheduled meeting. When the time for any regular meeting falls on a legal holiday as prescribed by law, such meeting shall be held at the same place and the same hour on some other day as established by resolution of the Township Committee.

The presiding officer of the Township Committee may call special meetings (1) when, in his or her opinion necessary or expedient; and (2) upon the written request of one-fourth of the total membership of the Committee. The request shall be addressed to its presiding officer or the Township Clerk. The presiding officer, or in his or her absence the Township Clerk, shall forthwith call such special meetings. The request and call for a special meeting shall specify the purpose of the meeting and no business shall be transacted at any special meeting other than that specified. The call for a special meeting shall be filed with the Township Clerk and served upon each Committee member at least 48 hours prior to the time for which the meeting is called; provided, however, that the presiding officer may determine that an emergency exists affecting the health or safety of the people which requires consideration by the Township committee within a shorter time. Upon such determination, which shall be set forth in the call, the call may be filed with the Township Clerk not less than three hours prior to the time set for the meeting. Upon the filing of any call for a special meeting, the Township Clerk shall forthwith give notice by telephone to each Committee member, at such place as he or she shall have previously designated for that purpose, and shall also serve or cause to be served a written copy of the call upon each Committee member, by delivery of a copy to him or her personally or by leaving a copy at his or her usual place of abode. Upon waiver of notice by all members of the Township Committee, a special meeting may be held without prior notice notwithstanding the above provisions of this subsection.

In compliance with the Open Public Meetings Law, all regular and special meetings of the Township Committee shall be open to the public. The deliberations of the Committee shall be governed by law and the rules of procedure shall be in accordance with the latest revised edition of Robert's Rules of Order, except that, by majority vote, the Committee may elect to set aside procedural rules, provided such setting aside is not in conflict with statutory requirements, and provided also that the setting aside will expedite the Township Committee's work or further public understanding of the issues at hand. The "OPMA Electronic Communication Guidelines" as promulgated by the Office of the Monmouth County Prosecutor by Memorandum dated February 18, 2014, and as may be subsequently amended, are hereby adopted.

A majority of the whole number of members of the Township Committee shall constitute a quorum. If a quorum is not present one-half hour after the appointed time for any meeting, the presiding officer, or, in his or her absence, the Township Clerk, may declare that there is no meeting.

The agenda for each meeting of the Township Committee shall be prepared by the Township Clerk. Except for important or timely matters which may be added to the agenda at any time with the approval of a majority of those present of the Township Committee, the agenda for each meeting of the Committee shall include only such matters of Committee business as have been prescribed or delivered to the Township Clerk not later than eight days preceding the meeting. Copies of the agenda shall be distributed to each member of the Township Committee, the Township Attorney, the Township Engineer and the Township Administrator prior to the regular or special meeting. The Clerk shall post a copy of the approved agenda in a conspicuous place in Town Hall and the Township website.

The Mayor or, in his or her absence, the Deputy Mayor, may call meetings of the Township Committee in executive session to consider the tentative agenda, adopt an approved agenda, and to discuss such other matters as may require consideration by the Committee. Meetings of the Committee in executive session may be attended only by such persons as the Committee may request to attend.

a. 
All proposed ordinances shall be prepared by, or approved by, the Township Attorney upon the direction of the Township Committee. Prior to its introduction, each proposed ordinance shall be submitted to the Township Clerk and the Township Committee.
b. 
An ordinance or resolution may be introduced and seconded by any two members of the Township Committee except the presiding officer when sitting as the Chairman. Each ordinance and resolution shall be limited to a single subject.
c. 
All ordinances shall be introduced, passed and advertised in the manner prescribed by law.

The Township Committee and the Administrator shall file with the Township Clerk all ordinances, resolutions, reports, petitions, correspondence and other papers considered by or presented to it, or to him.

The vote upon every motion concerning a resolution, ordinance or the expenditure of money shall be taken by roll call and the yeas and nays shall be entered on the minutes. All other votes may be by voice vote, except that, upon the request of any Committeeman or at the discretion of the presiding officer, the vote shall be taken by roll call and yeas and nays shall be entered in the minutes. The minutes of each regular and special meeting shall be signed by the Township Clerk.

a. 
Budget Preparation. Pursuant to N.J.S. 40A:4-3 et seq., the budget shall be prepared by the Township Committee in the form prescribed by law. The Township Administrator shall require and receive appropriation requests from the heads of all departments on or before November 15 of each year and he or she and the Chief Financial Officer shall assemble and be prepared to present the consolidated budget request, together with their recommendations, to the Township Committee on or about January 15 of the budget year. Officers and department heads may be required to appear before the Township Committee at informal conferences or public hearings to defend their appropriation requests. The Chief Financial Officer, with the assistance of the officers who receive such revenue and with the advice of the Auditor, shall prepare all estimates of revenues anticipated for the support of each annual budget.
b. 
Budget Operation. The Treasurer shall supervise the overall administration of the budget in accordance with the guidelines established by the Township Committee. He/she shall consult with the Administrator, Auditor and department heads in the establishment of quarterly or other periodic allotments of appropriations as may be considered necessary. The Administrator, with the advice of the department heads, will plan and administer the expenditure program within the limits of such allotments. The Chief Financial Officer will maintain a current register of obligations against each budget account, reporting the status thereof to the Administrator and department heads on a periodic basis.

a. 
While not required by the Open Public Meetings Act, N.J.S.A. 10:4-6 et seq. ("OPMA"), in order to foster transparency and to engage the residents of Holmdel in the Township's governance through the use of modern technology, the Township Committee directs the video recording and live streaming of its public meetings.
b. 
The Township Administrator and Township Clerk are directed to facilitate the video recording and live streaming of the portions of meetings of the Township Committee that are open to the public pursuant to OPRA, to the extent technologically feasible at each public meeting.
c. 
The Township Administrator and Township Clerk are directed to facilitate the creation and maintenance of an electronic repository of video recordings of the meetings of the Holmdel Township Committee that is available to the public over the internet.
d. 
Any failure by the Township to complete a video recording or live streaming of a public meeting as provided in this section shall not be construed as a violation of this section, and further shall not be construed as a legal basis upon which any relief may be granted.
e. 
Any failure by the Township to create or maintain an electronic repository of video recordings as provided in this section shall not be construed as a violation of this section, and further shall not be construed as a legal basis upon which any relief may be granted.
