There shall be a City Attorney, who shall be appointed by the Mayor with the advice and consent of the Council. Prior to his appointment, he shall have been an attorney at law of New Jersey in good standing.

The City Attorney shall be the legal advisor to the Mayor, City Council and the administration. He shall prosecute and defend all legal or equitable actions or proceedings in any court in which the City or any department or agency thereof, except the Planning Board and/or Board of Adjustment, may be a party. He shall prepare all documents and agreements as required by the administration and any department therein. He shall advise the administrative departments of the City, as well as all boards, bodies and commissions other than the Planning Board and/or Board of Adjustment, which are authorized and required within their jurisdiction. He shall also represent the City in all labor negotiations with recognized bargaining organizations, as well as all labor and employment litigation on behalf of the City or any department or agency thereof, except the Planning Board and/or Board of Adjustment. He shall also handle all county tax appeals, as well as any other matters as assigned to him by the City.

The Mayor may appoint two qualified Municipal Attorneys-at-Law of the State of New Jersey to serve as Assistant Municipal Attorneys. The Assistant Municipal Attorneys shall be assigned to the Office of the Mayor and will perform the following functions:
A. 
Shall be designated as the Municipal Prosecutor to prosecute all proceedings for the violation of any City ordinance and to prosecute any actions or proceedings for the violation of any rule, regulation or ordinance of any City Department or for the violation of any law, rule, or regulation of the state or federal government recognizable in the Municipal Court of the City of Passaic;
B. 
Shall be called an Assistant Municipal Attorney who shall prosecute all matters before the Municipal Alcoholic Beverage Control Board and perform any other such legal services and represent the City of Passaic in any other matters as the Mayor may direct.
The City Attorney may enter into any agreement, compromise or settlement of any controversy or litigation in which the City is involved, subject to the approval of the City Council.
The City Attorney shall maintain records of all actions, suits, proceedings and matters which relate to the duties of his office and shall report thereon from time to time as the Mayor or the Council may require. Upon the termination of his service with the City, the City Attorney shall forthwith surrender to his successor all City property, papers and records, together with a written consent to substitution of his successor in any pending actions or proceedings.

The Municipal Attorney shall be compensated through the law firm with which he is associated in accordance with an agreement for such fees as shall be approved by the Council, and he shall be reimbursed by the City for disbursements made and expenses incurred in the performance of his duties, within the limits of available appropriations.
