The Articles of Incorporation of the Health-Care Facilities Authority shall be as follows:

FACILITIES AUTHORITY
ARTICLES OF INCORPORATION
In compliance with the Municipality Authorities Act of 1945, P.L 382, Section 1, its amendments and supplements, the Borough of Sayre, situate in Bradford County, Pennsylvania, pursuant to an ordinance duly adopted by the Borough of Sayre, signifies this desire and intention to form an Authority, hereby:
A. 
The name of the authority shall be the "Sayre Borough Health-Care Facilities Authority."
B. 
This Authority is formed under the Municipality Authorities Act of May 2, 1945, P.L. 382, Section 1, its amendments and supplements.[1]

C. 
Sayre Borough has organized an Authority under the Municipality Authorities Act of May 2, 1945, P.L. 382, as follows:
(1) 
A joint Sayre Authority with the Borough of Athens being known as the "Athens-Sayre Joint Authority," as adopted by Sayre Borough on January 26, 1952, the same being in existence presently.
(2) 
A Parking Authority was formed, adopted by Sayre Borough on December 7, 1959, to be known as "Sayre Parking Authority." Said Authority is presently inactive.
(3) 
No other Authority formed under said Act or any other Act has been formed or presently is in existence in Sayre Borough.

D. 
The name of the incorporating municipality is the "Borough of Sayre."
E. 
The names and addresses of the officers of Sayre Borough are as follows.[2]

F. 
The membership of the Board of Directors of the Authority to be formed hereby shall be seven in number, one of whom shall serve for five years, one of whom shall serve for four years, one of whom shall serve for three years, two of whom shall serve for two years, and two of whom shall serve for one year from the first day of January 1974. Except as set forth herein as to the terms of the initial members of the Board of the Authority, the term of office for each member of the Board shall be five years.

G. 
The names, addresses and terms of office of the first members of the Board of the Authority to be formed hereby are as follows.[3]

H. 
The duration of this Authority shall be a term of 50 years. The term of existence of the Authority shall be extended to May 1, 2047.

Said Borough of Sayre has executed these Articles by its proper officers under its Municipal Seal this 12th day of March 1973.

The following persons, respectively hereinafter designated as "appointees of the Board of Directors of the Authority," are hereby appointed members of the Board of Directors of the Authority with the following terms of office.[1]

The Articles of Incorporation of said Authority, in substantially the form set forth in § A177-15 of this ordinance, shall be executed on behalf of the Borough of Sayre by the President of the Council and the Mayor, under its Municipal Seal, attested by the Secretary of said borough, and such officers are hereby authorized, empowered and directed to do all things necessary and appropriate to effect and establish said Authority in conformity with the Municipality Authorities Act of May 2, 1945, P.L. 382, Section 1, its amendments and supplements.[1]

A. 
The express purpose of said Authority shall be the reconstruction, construction and completion of improvements and additions to health-care facilities and all necessary appurtenances on a certain parcel of land situate in the Borough of Sayre and described as follows,[1] the financing and refinancing thereof, including the issuance of original bonds and the issuance of refunding bonds when and as the Authority deems desirable and proper, and any other actions which may be required in connection with the financing and/or refinancing thereof. This section shall be interpreted as being a specific geographic limitation upon the powers given the Authority under the Municipality Authorities Act of May 2, 1945, P.L. 382, Section 1, its amendments and supplements.[2]

B. 
In addition to the foregoing purpose, said Authority shall have the power to borrow money and issue bonds and other evidences of indebtedness or obligations of the Authority for the creation of a project-financing pool or other funds to enter into agreements with hospitals, health centers and other health-care institutions ("institutions") for the use and operation of such projects and for the security for and payment of any such Authority indebtedness, on such terms and conditions as are mutually agreed upon by the Authority and said institutions, without limitation as to the geographic location of the institutions or the projects financed, and furthermore, to enter into such additional agreements incidental or related to any such borrowings or projects.

C. 
In addition to the foregoing purposes, and without intending to limit in any way said purposes, said Authority shall be for the purpose of financing working capital and of acquiring, holding, constructing, improving, maintaining and operating, owning, leasing, either in the capacity of lessor or lessee, and financing hospitals, health centers and similar facilities as may be provided in the Act, without limitation as to the geographical location of said facilities.

The adoption of this ordinance is deemed necessary for the benefit and preservation of the public health, peace, comfort and general welfare of the people of the Borough of Sayre.
The duration of this Authority shall be a term of 30 years.
This Authority shall become effective upon final adoption.[1]
