A.
Whereas the Board of County Commissioners of York
County, Pennsylvania, has determined that it is desirable for the
health and safety of the people of York County, Pennsylvania, to establish
and incorporate a municipal authority under the Municipality Authorities
Act of 1945, as amended, being the Act of May 2, 1945, P.L. 382, as
amended,[1] of the General Assembly of the Commonwealth of Pennsylvania
for the purpose of acquiring, holding, constructing, improving, maintaining
and operating, owning and leasing, either in the capacity of lessor
or lessee, land, facilities and equipment for the disposal of ashes,
garbage, rubbish and other refuse materials by incineration, landfill
or other methods;

B.
Whereas the Board of County Commissioners of York
County, Pennsylvania, desires to initiate and take all action necessary
to incorporate and establish such municipal authority;

Now, therefore, it is hereby resolved by the Board
of County Commissioners of York County, Pennsylvania, as follows.
The Board of County Commissioners shall undertake
and do all things necessary for the incorporation and establishment
of the York County Solid Waste and Refuse Authority as a municipal
authority under the provisions of the Municipality Authorities Act
of 1945, as amended, being the Act of May 2, 1945, P.L. 382, as amended,
of the General Assembly of the Commonwealth of Pennsylvania, and the
Board of County Commissioners of York County, Pennsylvania, is authorized
to execute on behalf of said Board all instruments, documents and
papers and undertake any other action necessary for the incorporation
and establishment of such municipal authority.
The project or projects which shall be undertaken
by the Authority are to acquire, hold, construct, equip, furnish,
improve, maintain, operate, own and lease, either as lessor or as
lessee, land facilities and equipment for the disposal of ashes, garbage,
rubbish and other refuse materials by incineration, landfill or other
methods in the County of York, Pennsylvania.
The Authority shall have no power to pledge
the credit or taxing power of the Commonwealth of Pennsylvania, the
County of York or any political subdivision, nor shall the bonds issued
by the Authority be deemed to be obligations of the Commonwealth of
Pennsylvania, the County of York or any of its political subdivisions,
nor shall the Commonwealth of Pennsylvania, the County of York or
any political subdivision thereof be liable for the payment of premium,
if any, or interest on the bond, nor shall the members, officers or
employees of the Authority personally be liable on the Authority obligations.
A.
The Articles of Incorporation of the York County Solid
Waste and Refuse Authority, to be filed with the Secretary of the
Commonwealth of Pennsylvania, shall be in the form as attached hereto
as Exhibit A and incorporated herein.
B.
The notice of advertisement of the filing of such
Articles of Incorporation of the York County Solid Waste and Refuse
Authority shall be in the form as attached hereto as Exhibit B and
incorporated herein.[1] Notice of intention of filing the Articles of Incorporation
with the Secretary of the Commonwealth of Pennsylvania on December
28, 1971, shall be advertised in the York Legal Record and a newspaper
published and of general circulation in York County, Pennsylvania.

Articles of Incorporation

The name of the Authority shall be the "York
County Solid Waste and Refuse Authority," and its registered office
shall be at the Courthouse, York, Pennsylvania.

The Authority is formed under the Municipality
Authorities Act of 1945, as amended, being the Act of May 2, 1945,
P.L. 382, of the General Assembly of the Commonwealth of Pennsylvania.[2]

of Pennsylvania, as amended, or under the Act approved the 28th day
of June 1935 (Pamphlet Law 463).
