The following intergovernmental agreement with Willistown Township,
Chester County, is approved.
There is hereby created the Bartram Bridge Joint Preservation
Board. This Board shall have the organization, powers and duties set
out in this agreement.
The Joint Preservation Board shall have the following powers
and duties:
A. The
Board shall formulate, advise, recommend and promote to the respective
governing bodies of Newtown and Willistown policies for the management,
use and preservation of the Bartram Covered Bridge.
B. The
Board shall identify problems and recommend plans and programs to
the respective governing bodies of Newtown and Willistown for the
repair, supervision, operation and maintenance of the Bartram Covered
Bridge.
C. The
Board shall endeavor to take advantage of such federal, state, county
and local programs of assistance for the establishment, administration,
maintenance and operation of sites of established historical, architectural
or aesthetic value, including education services, exchange of information,
assignment of technical personnel, planning assistance and coordination
and any other program of assistance as may seem to the Board and the
respective governing bodies of Newtown and Willistown to be advantageous.
The membership and organization of the Joint Board shall be
as follows:
A. The
Board shall consist of five members. Two members shall be appointed
by the governing body of Willistown Township and two members shall
be appointed by the governing body of Newtown Township. The fifth
member shall be appointed by the other four members. The fifth member
shall be a resident of Newtown or Willistown Township, and the position
will alternate between said townships every two years. Members shall
serve for terms of two years each, provided that the first members
selected shall draw lots so that two shall serve for one year and
three shall serve for two years. Thereafter, members shall serve for
two-year staggered terms. At least one member from each municipality
shall serve a one-year term. All terms shall expire December 31 of
each calendar year.

B. Vacancies.
Vacancies on the Board shall be filled in the same manner that original
appointments are made for the four members appointed by the governing
bodies. If a vacancy exists with the fifth member, the Township in
which the fifth member resides will present two names to the Board
for consideration for the membership for the balance of the unexpired
term of office.

C. Meetings.
The Joint Board shall hold regular meetings, open to the public and
held in the Municipal Building. Special meetings may be called by
the Chairman or by any two members, by written notice, at least five
days before the meeting. Notice of all regular and special meetings
shall be provided in the same manner as notices of meetings of the
governing bodies of the respective townships. The Joint Board shall
provide notice of any such meetings to the respective Township Secretaries
at least five days before the meeting.
D. Compensation.
Members of the Joint Board shall serve without pay, provided that
they may be reimbursed for actual out-of-pocket expenses actually
and necessarily incurred by them in the performance of their duties.
E. Officers.
The members of the Joint Board shall select one of their members as
Chairman, one as Vice Chairman and one of their members as Secretary.
Officers will serve for a one-year term of office, such term to expire
the first Monday of January of each calendar year.

F. Quorum
and voting. An affirmative vote of at least three members shall be
required to pass any measure. Three members of the Board shall constitute
a quorum.
The Joint Board shall prepare an annual budget, listing anticipated
money to be received and anticipated costs to be paid out. The Joint
Board shall have such funds as are provided to it from time to time
by Newtown and Willistown, such funds as it can raise by providing
charges for its services and programs and such funds as may be donated
to the Board. The Joint Board shall submit a detailed written itemized
budget proposal to the governing bodies of Newtown and Willistown
no later than October 1 of each calender year.
The Joint Board shall keep records of its meetings and activities
and shall make an annual written report to the governing bodies of
Newtown and Willistown and generally make the report known and available.
The Joint Board shall continue in existence until either Newtown
or Willistown passes an ordinance withdrawing its participation in
the Joint Board. Participation may be canceled only by giving notice
at least 90 days before the end of any fiscal year of the Board, to
be effective no earlier than the end of the fiscal year. No such notice
shall relieve any municipality from an obligation of providing funds
previously agreed to be paid to the Joint Board. The fiscal year of
the Board shall be January 1 to December 31.
Nothing herein contained shall be construed as abolishing or
limiting any existing municipal agency, board, authority or commission,
even though such agency, board, authority or commission may have a
responsibility related to the responsibilities delegated to the Joint
Board hereunder.
The parties understand that their respective powers to enter
into this agreement may be exercised only by the adoption of ordinances
by the governing bodies of both of them in the manner mandated by
law. Both parties either represent that all such procedures and actions
have been taken for the adoption of such an ordinance or agree that
all procedures or actions necessary or advisable in order to adopt
such ordinances shall be taken as promptly as possible.
