There is hereby established a citizens advisory board known
as the "Railroad Advisory Board".

The Railroad Advisory Board shall consist of five (5) members
who shall be residents of the City of Chillicothe, Missouri, and shall
have resided in the City for not less than two (2) years before the
effective date of their appointment.

The members of the Railroad Advisory Board shall be appointed
by the Mayor and confirmed by a majority of the City Council voting
on the appointment. From the first (1st) appointees confirmed by the
City Council the Mayor shall appoint the first (1st) President of
the Board.

Except for the initial appointments, the members of the Railroad
Advisory Board shall hold office for terms of four (4) years each
and until their successors are appointed and qualified. No one shall
be reappointed to serve more than two (2) consecutive four (4) year
terms, together with the balance of any unexpired term if originally
appointed to fill a vacancy. The initial appointments shall be for
terms from one (1) to four (4) years to stagger the terms of the Board
members.

All vacancies of an uncompleted term shall be filled in the
same manner as original appointments are made, but the term shall
be for the unexpired term of the vacating member.

In January of each year the members of the Railroad Advisory
Board shall elect one (1) of their members as President, and also
elect a Secretary and such other officers as the Board deems necessary.

The purpose of the Railroad Advisory Board is to provide citizens
input, advice and recommendations to the Mayor and City Council regarding
policy relating to the operation of any City owned railroad and related
facilities.

The Railroad Advisory Board may make and recommend to the City
Council for adoption such bylaws, rules and regulations for their
guidance and for the government of the City owned railroad and associated
facilities as may be expedient and not inconsistent with this Chapter.

The Railroad Advisory Board shall hold regular meetings once
each calendar quarter on the third Thursday of the second month of
each calendar quarter. The Board shall advise the City Clerk of all
regular and special meetings, and the Clerk will prepare all notices
of such meetings as required by law.

The Railroad Advisory Board at the Board's bi-monthly meetings
shall review the income and receipts of the railroad operation and
advise the City Council of any concerns regarding such income and
expenses.

The Railroad Advisory Board shall review and recommend an annual
budget to the City Auditor as to the operation of the railroad and
associated facilities.

The operator of the railroad and City Officials will provide
such information and assistance to the Railroad Advisory Board as
is reasonably necessary for the Board to carry out its duties.

Each member of the Railroad Advisory Board shall receive a sum,
as set by the City Council from time to time, for each meeting of
such Board that is attended by such member.
