There is hereby established a commission to be known as the
"Tax Increment Financing Commission of the City of Pacific, Missouri"
(the "Commission").

A. The
Commission shall consist of twelve (12) members, as follows:
1. Six (6) members shall be appointed by the Mayor with the consent
of the majority of the Board as provided in the Act;
2. Two (2) members shall be appointed by the school boards whose districts
are included within the redevelopment plan or the redevelopment area.
Such members shall be appointed in any manner agreed upon by the affected
districts;
3. Three (3) members shall be appointed by the chief elected official
of the County within the redevelopment project or redevelopment area
with the consent of a majority of the Governing Body of the County;
and
4. One (1) member shall be appointed in any manner agreed upon by the
affected districts to represent all other districts levying ad valorem
taxes within the area selected for a redevelopment project or the
redevelopment area, excluding representatives of the Governing Body
of the City of Pacific.

A. The
terms of the members of the Commission appointed by the Mayor, with
the consent of a majority of the Board as provided in the Act, shall
be four (4) years, except that two (2) members shall initially be
designated to serve for terms of two (2) years, two (2) members shall
initially be designated to serve for terms of three (3) years, and
two (2) members shall initially be designated to serve for terms of
four (4) years.
B. At
the option of the members appointed by the municipality, the members
who are appointed by the school boards and other taxing districts
may serve on the commission for a term to coincide with the length
of time a redevelopment project, redevelopment plan or designation
of a redevelopment area is considered for approval by the commission,
or for a definite term pursuant to this subdivision. If the members
representing school districts and other taxing districts are appointed
for a term coinciding with the length of time a redevelopment project,
plan or area is approved, such term shall terminate upon final approval
of the project, plan or designation of the area by the governing body
of the municipality. Thereafter the commission shall consist of the
six (6) members appointed by the municipality, except that members
representing school boards and other taxing districts shall be appointed
as provided in this Section prior to any amendments to any redevelopment
plans, redevelopment projects or designation of a redevelopment area.
If any school district or other taxing jurisdiction fails to appoint
members of the commission within thirty (30) days of receipt of written
notice of a proposed redevelopment plan, redevelopment project or
designation of a redevelopment area, the remaining members may proceed
to exercise the power of the commission. Members appointed by the
County Executive or Presiding Commissioner prior to August 28, 2008,
shall continue their service on the commission herein established
without further appointment unless the County Executive or Presiding
Commissioner appoints a new member or members.

A. The
TIF Commission shall have the following duties only:
1. To hold public hearings required by Section 99.825 of the TIF Act
on any proposed redevelopment plan, redevelopment project or designation
of redevelopment area or any amendment thereto and to provide notices
as required by Section 99.825 of the TIF Act;
2. To vote on recommending any such plan, project, designation or amendment
within thirty (30) days of the completion of any such hearing;
3. To make recommendations to the Board of Aldermen of the City within
ninety (90) days of the completion of any such hearing; and
4. To hold public hearings, vote and make recommendations to the Board
of Aldermen of the City as required by the TIF Act with regard to
any existing redevelopment plan, redevelopment projects or redevelopment
area where there is proposed an altering of exterior boundaries, the
affecting of the general land uses established pursuant to such redevelopment
plan or changing the nature of such redevelopment project, and to
provide notices as required by Section 99.830 of the TIF Act.

The TIF Commission shall elect from its membership a Chairperson
and Vice Chairperson, each for a term of one (1) year. The TIF Commission
may adopt from time to time such rules of procedure as the TIF Commission
may deem necessary to effectuate the duties under this Article.

The Mayor of the City of Pacific, Missouri, is hereby authorized
and directed to send notice to affected taxing districts requesting
the appointment of six (6) additional members to the Commission as
provided by the Act. Upon failure to appoint, the remaining Commission
members may proceed to exercise the powers of the Commission.
