It is the joint desire and intention of the municipal authorities of the Borough of Athens and the Borough of Sayre, both municipalities of the Commonwealth of Pennsylvania and both situated in Bradford County, to organize an authority under the Municipality Authorities Act of 1945, approved May 2, 1945, its supplements and amendments,[1] for the purpose of exercising any and all powers conferred by said Act.

The name of the proposed Authority is the "Athens-Sayre Joint Authority."
The proposed Articles of Incorporation of said Authority are as follows:
ATHENS-SAYRE JOINT AUTHORITY ARTICLES OF INCORPORATION
TO THE SECRETARY OF THE COMMONWEALTH OF PENNSYLVANIA:
In compliance with the Municipality Authorities Act of 1945, its supplements and amendments,[1] the Borough of Athens and the Borough of Sayre, both situated in Bradford County, Pennsylvania, and both municipalities of the Commonwealth of Pennsylvania, pursuant to identical ordinances duly adopted by the respective municipal authorities of said municipalities, signifying their joint desire and intention to form an Authority, hereby certify:
1. The name of the Authority shall be the "Athens-Sayre Joint Authority."
2. This Authority is formed under the Municipality Authorities Act of 1945, its supplements and amendments.
3. No other joint Authority organized under the Municipality Authorities Act of 1945, its supplements or amendments, or under the Act approved June 28, 1935, P.L. 463, its supplements or amendments, is in existence in or for the incorporating municipalities named herein.
4. The respective names of the incorporating municipalities are the Borough of Athens and the Borough of Sayre.
5. The names and addresses of the Burgess and the members of Council of the Borough of Athens, such persons being the municipal authorities of said municipality, are as follows:[2]
6. The names and addresses of the Burgess and the members of the Council of the Borough of Sayre, such persons being the municipal authorities of said municipality, are as follows:[3]
7. The membership of the Board of the Authority shall consist of eight members, with four members being appointed by the Borough of Athens and the remaining four members being appointed by the Borough of Sayre. Said appointments shall be made in the manner provided by applicable statutes.

The registered office of the Authority shall be River Street, Athens, Pennsylvania 18810.

8. The names, addresses and terms of office of the initial members of the Board of the Authority to be formed hereby are as follows:[4]

9. Whenever a vacancy shall, for any reason, exist in the Board of the Authority, the vacancy shall be filled by the municipal authorities of the municipality in the representation of which the vacancy occurs.
10. Certified copies of the ordinances of the Borough of Athens and of the Borough of Sayre are attached hereto as Exhibits "A" and "B."
11. The term of existence of the Authority shall be increased to the date which shall be 50 years from the approval of these Articles of Amendment by the Secretary of the Commonwealth of Pennsylvania.

IN WITNESS WHEREOF, the incorporating municipalities have executed these Articles, each by its proper officers thereunto duly authorized, and under the municipal seal, this 4th day of February A.D., 1952.

The following persons, respectively hereinafter designated as appointees of the Borough of Athens or of the Borough of Sayre, are hereby appointed members of the Board of the Authority, with the following terms of office:[1]

The Articles of Incorporation of said Authority, in substantially the form set forth in § 28-3 of this article, shall be executed on behalf of the Borough of Athens by the President of Council and the Burgess of the Borough of Athens and under its Municipal Seal attested by the Secretary of the said Borough, and on behalf of the Borough of Sayre by the President of Council and the Burgess of the Borough of Sayre and under its Municipal Seal attested by the Secretary of said Borough. Such officers are hereby authorized, empowered and directed to do all things necessary and appropriate to effect and establish the said Authority in conformity with the Municipality Authorities Act of 1945, its amendments and supplements.[1]

The adoption of this article is deemed necessary for the benefit and preservation of the public health, peace, comfort and general welfare, and will increase the prosperity of the people of the Borough of Athens and the Borough of Sayre.

Whereas, the Valley Joint Sewer Authority (the "Authority") is a municipal authority duly incorporated pursuant to the Municipalities Authority Act of 1945, as amended and supplemented of the Commonwealth of Pennsylvania (the "Authorities Act"); and[1]

B. 
Whereas, the Authority is presently organized and existing under the provisions of said Authorities Act; and
C. 
Whereas, the Authority wishes to recommend to the municipalities of the Borough of Sayre, the Borough of Athens, the Borough of South Waverly and the Township of Athens that the corporate life of the Authority be extended for additional 50 years, which amendment is authorized and permitted by the Authorities Act;
D. 
Now therefore be it ordained by the Borough Council to adopt the recommendations of the Valley Joint Sewer Authority as follows.
The Board of the Valley Joint Sewer Authority hereby recommends to the above-mentioned municipalities that the term of existence of the Authority be limited to 50 years from the date of the approval of these Articles of Amendment by the Secretary of the Commonwealth.
Proper officers of the Authority are hereby authorized to execute, verify and file appropriate Articles of Amendment with the Secretary of the Commonwealth of Pennsylvania and to take all other action and to do all other things that may be necessary in order to accomplish such amendment of the Articles of Incorporation of the Authority in the manner herein enacted and ordained, provided that each of the above-mentioned municipalities approves of this article.
