A. 
Whereas the Maryland and Pennsylvania Railroad acted as an essential component to promote development and enhance transportation capabilities in York County for nearly 100 years;
B. 
Whereas it is in the best interests of the residents of and visitors to York County to maintain and preserve historical rail lines and rights-of-way formerly owned or used by the Maryland and Pennsylvania Railroad; and
C. 
Whereas it is the desire of the Board of Commissioners of York County to establish an Authority to maintain and preserve, for public use, transportation sites and property formerly part of the Maryland and Pennsylvania Railroad.
D. 
Resolved, that the Maryland and Pennsylvania Railroad Preservation Authority be established in accordance with the requirements of Section 303 of the Municipality Authorities Act of 1945 (53 P.S. § 301 et seq.), as amended, and that Articles of Incorporation to such effect be duly executed and filed in the offices of the Commonwealth of Pennsylvania.
E. 
Further resolved, that the initial Board of Directors of the Authority be appointed as listed in the Authority's Articles of Incorporation and that said Board of Directors be, and they hereby are, authorized, directed and empowered to appoint officers of the Authority and to take all actions necessary in connection with the establishment, operation, functioning and continuation of said Authority.
F. 
Further resolved, that the officers and solicitors of York County be, and they hereby are, authorized, directed and empowered to execute all such documents as may be necessary to establish said Authority and to take such other acts as may be necessary in connection with said duties.
The Articles of Incorporation of the Maryland and Pennsylvania Railroad Preservation Authority are as follows:
Articles of Incorporation
In compliance with the requirements of the Municipality Authorities Act of 1945, its supplements and amendments (relating to Articles of Incorporation), the undersigned, desiring to incorporate an authority, hereby state that:
1.
The name of the Authority is "Maryland and Pennsylvania Railroad Preservation Authority."
2.
The address of this Authority's initial registered office in this commonwealth is 100 East Market Street, York, PA 17401 (York County).
3.
The Authority is incorporated under the Municipality Authorities Act of 1945, as supplemented and amended, for the following purposes:
a.
To acquire, hold, construct, finance, improve, maintain and operate buildings for public use as owner, lessor or lessee, which buildings were formerly owned or used by the Maryland and Pennsylvania Railroad, or as may be added later;
b.
To acquire, hold, construct, finance, improve, maintain and operate right-of-way transportation sites or equipment and all facilities necessary or incident thereto, which transportation sites or equipment were formerly owned or used by the Maryland and Pennsylvania Railroad; and
c.
To acquire, hold, construct, finance, improve, maintain and operate recreation grounds and facilities to preserve artifacts and objects of the Maryland and Pennsylvania Railroad, including but not limited to a museum and historic railroad village buildings for educational activities and display and sale of commemorative or historical souvenirs, documents and other artifacts, as well as all necessary activities in furtherance thereof.

Other Authorities have been organized by York County as set forth below:
Redevelopment Authority of the County of York was organized by York County on May 13, 1964, under the provisions of the Municipality Authorities Act of 1945, as amended and supplemented, and remains in existence in and for the incorporating municipality.
York County Industrial Development Authority was organized by York County on August 23, 1967, under the provisions of the Municipality Authorities Act of 1945, as amended and supplemented, and remains in existence in and for the incorporating municipality.
York County Hospital Authority was organized by York County on May 19, 1971, under the provisions of the Municipality Authorities Act of 1945, as amended and supplemented, and remains in existence in and for the incorporating municipality.
York County Solid Waste Authority was organized by York County on December 28, 1971, under the provisions of the Municipality Authorities Act of 1945, as amended and supplemented, and remains in existence in and for the incorporating municipality.
York County Rail/Trail Authority was organized by York County on September 5, 1990, under the provisions of the Municipality Authorities Act of 1945, as amended and supplemented, and remains in existence in and for the incorporating municipality.
Susquehanna Valley Regional Airport Authority was organized by York County on September 5, 1990, under the provisions of the Municipality Authorities Act of 1945, as amended and supplemented, and remains in existence in and for the incorporating municipality.
Air Transportation Authority of York County was organized by York County on October 17, 1990, under the provisions of the Municipality Authorities Act of 1945, as amended and supplemented, and remains in existence in and for the incorporating municipality.
York Area Transportation Authority was organized by York County on November 1, 1974, under the provisions of the Municipality Authorities Act of 1945, as amended and supplemented, and remains in existence in and for the incorporating municipality.
5.
The Authority does not contemplate pecuniary gain or profit, incidental or otherwise.
6.
The Authority is incorporated pursuant to a resolution duly adopted by the York County Commissioners ("Commissioners"), which Commissioners are the municipal authorities of York County.

The names and terms of office of the first members of the Board of the Authority are as follows:

George M. Trout: one year.
Daniel G. Meckley, III: two years.
Willis C. Kartorie: three years.
Richard L. Reinhardt: four years.
John L. Finlayson: five years.
8.
These Articles of Incorporation may be amended as provided in Section 305 of the Municipality Authorities Act of 1945, as amended and supplemented.[1]
9.
The initial term of the Authority shall be 50 years from the date of filing of these Articles of Incorporation with the Pennsylvania Department of State.
