The City of Vineland is hereby authorized to
act as an incorporator to create a nonprofit corporation to be known
as the "Vineland Police Athletic League," and the Mayor and City Clerk
are hereby authorized to execute a certificate of incorporation containing
provisions authorized by and consistent with this article. The City
Clerk is further authorized to file the certificate of incorporation
authorized by this article with the New Jersey Secretary of State
after execution by the Mayor and City Clerk.
Pursuant to N.J.S.A. 15A:1-1 et seq., the certificate
of incorporation shall include the following purposes:
A. To provide and maintain a method for the Vineland
Police Department to exchange ideas, experiences and information on
youth problems, their causes and treatment.
B. To study methods and procedures necessary to develop
a constructive program with a goal toward solving youth problems.
C. To promote competition in the field of sportsmanship
and nationally in the interest of youth.
D. To promote friendly and cooperative relationships
between members of the Vineland community and the Vineland Police
Department.
The duration of the corporation shall be perpetual.
The Board shall elect annually at the reorganization
meeting a Chairperson, Vice Chairperson, Secretary and Treasurer in
accordance with its bylaws. The Board shall have no other officers.
The Chairperson may appoint ad hoc committees as needed.
The Board shall develop bylaws for the corporation.
All business not inconsistent with the powers
of the Board shall be conducted in accordance with its bylaws. Amendments
to the bylaws require a majority vote of the entire Board.
Upon dissolution of the corporation, after payment
of any debt, the corporation's assets shall not be distributed to
any Board member or officer but shall be the property of the City
of Vineland, consistent with the provisions of Section 115 of the
United States Internal Revenue Code.
