Pursuant to the Municipal Utilities Authority Law, N.J.S.A. 40:14B-1 et seq., there is hereby created a public body corporate and politic, as an agency and instrumentality of the Township of Delaware in the County of Hunterdon and State of New Jersey, under the name and style of "The Delaware Township Municipal Utilities Authority." The Delaware Township Municipal Utilities Authority hereby created is a utilities authority as contemplated and provided for by the Municipal Utilities Authorities Law and any other statutes heretofore enacted and applicable thereto, and all amendments and supplements hereafter enacted thereto.
The Delaware Township Municipal Utilities Authority shall consist of five members who shall be appointed by resolution of the Township Committee in the manner provided by law; each member of the Township Municipal Utilities Authority shall receive compensation for his service as such member within the limitation herein stated in an amount not to exceed $1 in any one year, as provided by law by the Township Committee.

A. 
The Delaware Municipal Utilities Authority shall consist additionally of two alternate members to be appointed by the Township Committee.
B. 
Said alternate members shall be designated by the Township Committee as "Alternate No. 1" and "Alternate No. 2" and shall serve during the absence or disqualification of any regular member or members.
C. 
The term of each alternate member shall be five years commencing February 1 of the year of appointment; provided, however, that the terms of the initial such appointees appointed pursuant to this section shall be as follows:
(1) 
Alternate No. 1 shall be appointed for an initial term of four years commencing February 1 of the year of appointment and expiring the fourth January 31st next ensuing after the date of appointment.
(2) 
Alternate No. 2 shall be appointed for an initial term of five years commencing February 1 of the year of appointment and expiring the fifth January 31st next ensuing after the date of appointment.
D. 
Alternate members may participate in discussions of the proceedings before the authority but may not vote except in the absence or disqualification of a regular member; in such absence or disqualification, Alternate No. 1 shall first be designated to take place of such absent or disqualified member; if Alternate No. 1 is also absent or disqualified, or if there is a second absent or disqualified regular member, Alternate No. 2 shall be so designated; a vote of the Authority shall not be delayed in order that a regular member may vote instead of an alternate member.
After adoption, a copy of this chapter, duly certified by the Township Clerk, shall be filed forthwith by the Township Clerk in the office of the Secretary of State of the State of New Jersey.
