There is hereby created the Office of Village Manager, an executive office of the Village. The Village Manager shall also serve as the Village Treasurer.
The Manager shall be appointed by the Mayor, by and with the advice and consent of 2/3 of the members of the Board of Trustees, to serve for an indefinite term. He shall be chosen solely on the basis of his executive and administrative qualifications with special reference to his actual experience in or his knowledge of accepted practice in respect to the duties of his office hereinafter set forth. At the time of his appointment and during his tenure of office he need not be a resident of the Village or the state. No trustee shall receive such appointment during the term for which he shall have been elected nor within one year after the expiration of his term.

The Mayor may remove the Manager, on any formal charge, whenever the Mayor is of the opinion that the interests of the Village demand removal, but the Mayor shall report the reasons for the removal to the Board of Trustees at a meeting to be held not less than five days nor more than 10 days after the removal. If the Mayor fails or refuses to report to the Board of Trustees the reasons for the removal, or if the Board of Trustees by a two-thirds vote of all its members authorized by law to be elected, disapproves of the removal, the Manager thereupon shall be restored to office. The vote shall be by yeas and nays, which shall be entered upon the minutes of the Board of Trustees.

The Manager shall be the chief administrative officer of the Village. He shall be responsible to the Mayor and Board of Trustees for the proper administration of all affairs of the Village. To that end, he shall have power and shall be required to:
A. 
Appoint and, when necessary for the good of the service, suspend or remove all officers and employees of the Village, except as otherwise provided by this Code or by any law of the State of Illinois, and except as he may authorize the head of a department or office to appoint, suspend, or remove subordinates in such department or office. Nothing herein shall be deemed to give the Manager power to make any appointments or to suspend or remove any officers or employees required by this Code or by law to be made by the Mayor and/or Board of Trustees; provided, however, that, whenever necessary to fill vacancies in administrative positions that are required by this Code or by law to be appointments of the Mayor and/or Board of Trustees, the Manager shall submit the names of qualified individuals for approval by said corporate authorities. No appointment to an administrative office shall be made without the Manager's endorsement. The Manager may recommend the removal or suspension of any such appointee when it would be in the best interest of the Village, and the corporate authorities shall give full weight to the Manager's recommendations. All recommendations for appointment or removal shall be based solely on the merit, qualifications, or disqualifications of the official concerned without regard to his political beliefs or affiliations.
B. 
Prepare the budget annually and submit it to the Board of Trustees, together with a message describing the important features, and be responsible for its administration after adoption.
C. 
Prepare and submit to the Board of Trustees as of the end of the fiscal year a complete report on the finances and administrative activities of the Village for the preceding year.
D. 
Keep the Board of Trustees advised of the financial condition and future needs of the Village, and make such recommendations as he may deem desirable.
E. 
Recommend to the Board to Trustees a standard schedule of pay for each appointed office and position in the Village service, including minimum, intermediate, and maximum rates.
F. 
Recommend to the Board of Trustees (from time to time) adoption of such measures as he may deem necessary or expedient for the health, safety, or welfare of the community or for the improvement of administrative services.
G. 
Consolidate or combine offices, positions, departments, or units under his jurisdiction, with the approval of the Board of Trustees. The Manager may be the head of one or more departments.
H. 
Attend all meetings of the Board of Trustees unless excused therefrom and take part in the discussion of all matters coming before the Board.
I. 
Supervise the purchase of all materials, supplies, and equipment for which funds are provided in the budget; let contracts necessary for operation or maintenance of municipal services for amounts not in excess of those established from time to time by the Board of Trustees; receive sealed bids for purchases or contracts for amounts in excess of those established from time to time by the Board of Trustees, and present them to the Board for approval, and advise the Board on the advantages or disadvantages of contract and bid proposals. The Manager has up to fund-level spending authority. The Manager may issue such rules governing purchasing procedures within the administrative organization.
J. 
See that all laws and ordinances are duly enforced.
K. 
Investigate the affairs of the Village or any department or division thereof. Investigate all complaints in relation to matters concerning the administration of the government of the Village, and in regard to service maintained by the public utilities in the Village, and see that all franchises, permits, and privileges granted by the Village are faithfully observed.
L. 
Devote his entire time to the discharge of his official duties.
M. 
Perform such other duties as may be required by the Board of Trustees, not inconsistent with law, or other provisions of this Code.
N. 
For all items of goods, services and personal property previously budgeted, and without further approval of the Mayor and Board of Trustees, and where not prohibited by statute, the Village Manager is authorized to:

(1) 
Purchase goods, services and personal property when the cost thereof does not exceed $25,000;

(2) 
Trade-in personal property in the Village when such property is no longer useful to the Village and the trade-in value does not exceed $25,000;

(3) 
Sell personal property of the Village when it is no longer useful to the Village and the sale price approximates the item’s market value and is not expected to exceed $25,000;

(4) 
Scrap or dispose items of personal property when, in the judgment of the Village Manager, the cost to sell such personal property, in either time or money, is expected to exceed the value of the disposable property.

Neither the Mayor nor the Board of Trustees shall direct or request the appointment of any person to, or his removal from, office by the Manager or any of his subordinates, or in any manner take part in the appointment or removal of officers and employees in the administrative services of the Village, except as otherwise provided by law or elsewhere in this article or this Code. Except for the purpose of inquiry, the Board to Trustees shall deal with the administrative service solely through the Manager, and neither the Board nor any member thereof shall give orders to any subordinates of the Manager, either publicly or privately.
In case of accident, disaster, or other circumstances creating a public emergency, the Manager may award contracts and make purchases for the purpose of meeting said emergency; but he shall file promptly with the Board of Trustees a certificate showing such emergency and the necessity for such action, together with an itemized account of all expenditures.

The Manager shall furnish a surety bond as provided by statute and Chapter 21, Administration, § 21-1-6, of this Code, said bond to be conditioned on the faithful performance of his duties.

The Manager shall receive such compensation as the Board of Trustees shall fix from time to time.
