Pursuant to and in accordance with applicable law and administrative
regulations, including, inter alia, the Cable Communications and Policy
Act of 1984, as amended, and the applicable regulations of the Federal
Communications Commission, the Borough of Littlestown, Adams County,
Pennsylvania (the "Borough"), by the Littlestown Borough Council (the
"Borough Council"), hereby authorizes the granting of, and does hereby
grant, a nonexclusive franchise to Comcast of Southeast Pennsylvania,
LLC and Comcast of Colorado/Pennsylvania/West Virginia, LLC (collectively, "Comcast"),
for the construction, maintenance and operation of a cable television
system (the "CTVS") within the corporate limits of the said Borough,
and to provide CTVS service to such persons, firms, organizations
and corporations as desire such service.
The CTVS franchise hereby authorized and granted shall be subject
to and in accordance with that certain Franchise Agreement, dated
June 23, 2008, by and between the Borough and Comcast, which Agreement
is hereby ratified, confirmed and incorporated herein by reference
and made a part hereof. The termination of the Borough's previous
Cable Television Franchise Agreements with Susquehanna Communications
and Adelphia Cable is also ratified and confirmed, in view of Comcast's
previous acquisition of both of such former cable television providers.
