The purpose of this chapter is to authorize the Village of Potsdam and the Town of Potsdam to jointly authorize and provide for the administration of the Potsdam Empire Zone Program. The Village of Potsdam is hereby authorized and empowered to submit an application for redesignation of certain areas within the Town and the Village of Potsdam as an Empire Zone; provided, however, that such authorization and empowerment shall be conditioned upon the Town of Potsdam’s passage of a local law and upon the concurrence, through properly adopted resolution(s) with respect to such application of the governing bodies of any and all cities, towns and villages in which such zone is located.

A. 
The boundaries of said areas to be included in said Empire Zone shall be set forth in Schedule A,[1] which is attached hereto and made a part hereof.

B. 
The boundaries of said Regionally Significant Projects to be included in said Empire Zone shall be set forth as follows:
(1) 
North Lawrence Dairy, Inc., 22 County Route 52, North Lawrence, NY, Tax Map #36.003-3-38.
(2) 
Newton Falls Fine Paper Company, LLC, 875 County Route 60, Newton Falls, NY.

C. 
The Village and Town Boards may amend from time to time the Potsdam Empire Zone boundaries per the applicable state regulations.

A. 
The Potsdam Planning and Development Office is designated as the administrative entity for the Potsdam Empire Zone Program. The Director of Planning and Development shall serve as the staff for the Potsdam Zone Administrative Board.
B. 
Except where provided for in state or local law, the Potsdam Zone Administrative Board shall serve as the policy-making and oversight entity for the Potsdam Empire Zone.

Pursuant to the requirements of § 963(a) of the General Municipal Law, the Treasurer of the Village of Potsdam shall continue to serve as the Local Empire Zone Certification Officer of the Potsdam Empire Zone and shall, pursuant to the regulations promulgated pursuant to Article 18- B of the General Municipal Law, perform the following duty, to wit: certify jointly with the New York State Commissioner of Economic Development and the New York State Commissioner of Labor those business enterprises that are eligible to receive those benefits referred to in § 966 of the General Municipal Law and any other applicable statutes.

The Potsdam Zone Administrative Board (ZAB) is organized for the following purposes:
A. 
To be responsible for setting policy operations of the Empire Zone located in the Village and Town of Potsdam.
B. 
To provide, or enter into contracts, including with the Town and Village of Potsdam, for the provision of services essential to the development of business and job opportunities within the zone such as strategic zone planning, marketing of the zone, applying for state or federal assistance, coordinating the delivery of local and state services, and providing technical assistance to businesses located within the Empire Zone.
C. 
To enter into contracts, as may be needed, with various state agencies for service delivery in the Empire Zone.
D. 
Pursuant to Article 18-B of the General Municipal Law, the Local Empire Zone Administrative Board as presently constituted is hereby continued. The Local Empire Zone Administrative Board, pursuant to § 963(a) of the General Municipal Law, as amended, shall approve for certification by the Zone Certification Officer, the New York State Commissioner of Economic Development, and the New York State Commissioner of Labor the applications of those businesses eligible for certification to receive the benefits referred to in § 966 of the General Municipal Law, and shall perform all other duties required of it pursuant to § 963(b) of the General Municipal Law.

A. 
Members. The Zone Administrative Board (ZAB) shall consist of at least nine members. Members must be residents of the Town or Village of Potsdam or own or be involved in the management of a business or organization located in the Town or Village of Potsdam. At least one member of the ZAB shall be a resident of the Empire Zone. Membership shall include individuals from the financial service field, organizations serving low-income persons, the business community, education, and local government. The Mayor of the Village of Potsdam and the Supervisor of the Town of Potsdam, or one representative each nominated by them, shall serve as members. The Mayor and Supervisor, or their representatives, shall not count toward the minimum of nine members.

B. 
Membership terms. Initial ZAB members shall be appointed to one three-year term. Subsequently, members will serve staggered terms, with three members to serve for three years, three for two years and three for one year. Members may be reappointed to consecutive terms.
C. 
Voting. A member shall be entitled to one vote at meetings of the ZAB.
D. 
Membership appointment. Members shall be appointed jointly by the Village of Potsdam Board of Trustees and the Potsdam Town Board. ZAB members will provide nominations for the ZAB, except for the two members nominated by the Town Supervisor and the Village Mayor.
E. 
Policies and procedure. The Potsdam ZAB, by its bylaws, may set its regular and special meetings, officers, committees and other policies and procedures for the administration of the zone program.
